Re: Consent to Assignment of Oil and Gas Leases Nos. CO0011001159-000 and
CO0011001160-000(the "Leases"),located in Weld County, Colorado.
Dear Sir/Madam:
As part of an internal corporate reorganization, Carrizo Oil 8c Gas, Inc. ("Parent") intends
to transfer and assign all of its right, title and interest in and to the Leases (the "Assignment") to
a newly-formed, wholly owned subsidiary, Carrizo (Niobrara) LLC ("Subsidiary"). For
accounting purposes, the Assignment is intended to be effective as of October 1, 2011. In
accordance with each Lease, Parent hereby respectfully requests your consent to such
Assignment. Subsidiary is located at the same address as Parent:

1000 Louisiana Street,Suite 1500
Houston,Texas 77002
The Assignment made by Parent of its interest in each Lease shall be made subject to the terms
and conditions thereof. Please rest assured that this Assignment will not in any way affect the
terms of either Lease.
Please indicate your consent for Parent to assign all of its interest in each Lease to
Subsidiary, by signing in the space provided below and, at your earliest convenience, returning
one (1) fully executed copy of page 2 of this letter to Carrizo in the enclosed pre-addressed,
postage-paid envelope.

Dear Ms. Gesick:
Thank you for your e-mail dated November 15, 2011 to Pam Perry in our office
informing us that our request for consent and assignment of the above-referenced leases require a
$25.00 fee per lease. Therefore, enclosed is Carrizo Oil & Gas, Inc.'s ("Carrizo") check, number
73696, in the amount of$50.00 made payable to "Weld County" which represents your fee for
consent and assignment of these two (2) leases (your Lease Nos. 2010-2776 and 2010-2777). It
is my understanding that, upon receipt of our check, you will place this matter on the Board's
Agenda, obtain the required Board approval and return the signed Consent letter to our office.
