HomeMy WebLinkAbout20110910.tiff RESOLUTION RE: APPROVE INTERGOVERNMENTAL AGREEMENT FOR ROADWAY IMPROVEMENTS TO COUNTY ROAD 7 AND ZINNIA AVENUE AND AUTHORIZE CHAIR TO SIGN -TOWN OF FIRESTONE WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to Colorado statute and the Weld County Home Rule Charter, is vested with the authority of administering the affairs of Weld County, Colorado, and WHEREAS, the Board has been presented with an Intergovernmental Agreement for Roadway Improvements to County Road 7 and Zinnia Avenue between the County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld County, on behalf of the Department of Public Works, and the Town of Firestone, commencing upon full execution, with further terms and conditions being as stated in said agreement, and WHEREAS, after review, the Board deems it advisable to approve said agreement, a copy of which is attached hereto and incorporated herein by reference. NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld County, Colorado, that the Intergovernmental Agreement for Roadway Improvements to County Road 7 and Zinnia Avenue between the County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld County, on behalf of the Department of Public Works, and the Town of Firestone be, and hereby is, approved. BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized to sign said agreement. Box 758, 915 10th Street, Greeley, Colorado 80632, hereinafter referred to as "WELD COUNTY", and the Town of FIRESTONE,Colorado,a municipal corporation organized and existing under and by virtue of the laws of the State of Colorado, whose address is 151 Grant Avenue, Firestone, Colorado, 80520, hereafter referred to as "FIRESTONE". WITNESSETH: WHEREAS,WELD COUNTY has operational and maintenance jurisdiction of Weld County Road 7 between Zinnia Avenue and Mead High School, hereinafter referred to as "WCR7", and WHEREAS,FIRESTONE has operational and maintenance jurisdiction of Zinnia Avenue between WCR 7 and WCR 5.5, hereinafter referred to as "Zinnia", and WHEREAS,both parties wish to make improvements to Zinnia Avenue and to WCR 7 from WCR 7 to Mead High School and share in the construction costs of such improvements herein referred to as the"PROJECT",which improvements are more particularly described in the public improvement construction plan set titled"ZINNIA AVE.IMPROVEMENTS(WCR 5.5 TO WCR 7)" and the bidding/construction documents included in the "PROJECT MANUAL FOR THE ZINNIA AVE. IMPROVEMENTS (WCR 5.5 TO WCR 7)", both having been prepared cooperatively by WELD COUNTY and FIRESTONE, and WHEREAS, the parties hereto desire to enter into this Agreement to define the roles and responsibilities of each of the parties regarding the construction of the PROJECT, and WHEREAS, both parties are authorized to enter into intergovernmental agreements with one another,pursuant to C.R.S. §29-1-203 and Colorado Constitution Article XIV,Sec. 18(2),for the purpose of achieving greater efficiencies for the provision of services to the public. NOW THEREFORE, in consideration of the mutual promises and covenants contained herein, the parties hereto agree as follows: 1. DESCRIPTION OF IMPROVEMENTS: In general,the PROJECT'S improvements shall consist of the widening and paving portions of the current gravel roads known as WCR 7 and Zinnia Avenue. The width of paving shall be 32 feet and shall consist of two twelve foot-wide travel lanes and four foot-wide shoulders. The total construction cost for the PROJECT is estimated to be approximately$664,349.09. The estimated cost is detailed in Exhibit A,dated February 24,2011,which is attached hereto and made a part hereof by this reference. 1 2. DESIGN OF IMPROVEMENTS: WELD COUNTY and FIRESTONE have previously prepared construction plans,bidding documents, and construction documents that will be used for the construction of the PROJECT with the costs for the design included in a separate contract. 3. ACQUISITION OF ADDITIONAL RIGHT-OF-WAY: No additional right-of-way is needed for the completion of the Project. A staging area will need to be secured from an adjacent private land owner. FIRESTONE shall lead the negotiations with the landowner. 4. CONSTRUCTION OF IMPROVEMENTS: The construction of the PROJECT shall be performed by a private contractor selected as the lowest qualified successful bidder. FIRESTONE shall be the lead agency with regards to the bidding and administration of the construction of the improvements for the PROJECT. FIRESTONE shall have full authority in all contractual arrangements with the contractor,utility companies,ditch companies,and landowners whose cooperation and participation are required for completion of this PROJECT. FIRESTONE shall provide construction contract administration,construction observation,and construction staking services. WELD COUNTY shall have full access to the contract administration documents and to the construction site for the purpose of performing inspections of their own on WCR 7. FIRESTONE and WELD COUNTY will work cooperatively on issues of clarification,resolution,and changes that may arise during construction but agree that direction to the contractor shall come only from FIRESTONE. FIRESTONE and WELD COUNTY shall each designate a Project Manger to oversee day to day progress of the PROJECT and to act as their respective representatives on decisions related to clarification,resolution,and changes that may arise during construction. WELD COUNTY The following parties shall serve as the designated Project Managers: FIRESTONE: WELD COUNTY: David Lindsay, P.E. Wayne Howard, P.E. REIMBURSEMENT OF PROJECT COSTS: WELD COUNTY and FIRESTONE shall share costs for the construction of the PROJECT. Exhibit A segregates the costs of the construction based on the physical improvements within the portions of the roadways under the jurisdiction of WELD COUNTY and FIRESTONE. FIRESTONE shall be responsible for all of the construction contract costs for the improvements on Zinnia Avenue. WELD COUNTY shall be responsible for all of the construction costs for the improvements on WCR 7. Other costs related to the construction of the PROJECT shall include: a. Construction contract administration, construction observation, and construction staking; and b. Geotechnical Engineering and materials testing including compaction testing, pavement density testing, and concrete strength testing. Distribution of these other costs shall be based on WELD COUNTY's and FIRESTONE's 2 proportionate share of the cost. An estimate of these costs is provided in Exhibit B. FIRESTONE agrees to provide WELD COUNTY with copies of all invoices and payment applications related to the construction of the PROJECT and WELD COUNTY agrees to reimburse FIRESTONE for its portion of the costs within 30 days of receipt of each invoice up to,but not exceeding,a total of$316,133.73,which amount includes a 5%contingency if there are unexpected costs. FIRESTONE agrees that no costs in excess of the contracted amounts shall be incurred without prior input from WELD COUNTY. 6. ENTIRE AGREEMENT: This writing, together with Exhibit A and Exhibit B attached hereto, constitutes the entire Agreement between the parties hereto with respect to the subject matter herein, and shall be binding upon said parties, their officers, employees, agents and assigns and shall inure to the benefit of the respective survivors,heirs,personal representatives, successors ands assigns of said parties. 7. NO WAIVER OF IMMUNITY: No portion of this Agreement shall be deemed to constitute a waiver of any immunities the parties or their officers or employees may possess, nor shall any portion of this Agreement be deemed to have created a duty of care which did not previously exist with respect to any person not a party to this Agreement. 8. NO THIRD PARTY BENEFICIARY ENFORCEMENT: It is expressly understood and agreed that the enforcement of the terms and conditions of this Agreement,and all rights of action relating to such enforcement,shall be strictly reserved to the undersigned parties and nothing in this Agreement shall give or allow any claim or right of action whatsoever by any other person not included in the Agreement. It is the express intention of the undersigned parties that any entity other than the undersigned parties receiving services or benefits under this Agreement shall be considered to be an incidental beneficiary only. 3 IN WITNESS WHEREOF, the parties hereto have executed this Agreement in duplicate of the day and year first hereinabove written.
