• EASEMENT AGREEMENT
THIS EASEMENT AGREEMENT is made on September 28, 2011, by and
between ALICE E PEAR,hereafter Owner, and DAN ODELL,hereafter Holder.
For and in consideration of the sum of$125.00 in hand paid by Holder to Owner and in
further consideration of the mutual promises covenants and agreements herein contained,Owner
hereby grants Holder an easement for ingress and egress over, across and through the property
described in Exhibit A for the sole use and benefit of the property described in Exhibit B upon the
terms and conditions hereinafter set forth and upon no other terms or conditions whatsoever.
1. The interest herein granted is an easement interest only and this agreement does not
convey any fee interest in or to the property described in Exhibit A nor any interest of any kind in
or to any water in, on or under the said property nor any interest in or to any coal, oil, gas, sand,
gravel or any other minerals in,on or under the said property.
2. The easement herein granted is for purposes of ingress and egress to a saw mill
business operated by Holder on the property described in Exhibit B and for no other purpose
whatsoever. This easement includes the right to access the above described saw mill business by
automobile or heavy truck or by walking and not by any other means. This purpose of this easement
is to allow access to the above business by Holder,by Holders's employees,by persons delivering
equipment and supplies to Holder's said business and by customers of Holder's said saw mill and
by no other persons whomsoever.
• 3. This easement does not grant Holder any right to install any utilities,fences,gates
or other structures within the bounds of the easement,either on or below the surface thereof,nor the
right to obstruct the easement in any fashion or for any purpose.
4. This easement is non-exclusive and Owner reserves the right to use the property for
any purpose which does not interfere with Holder's lawful use of the easement granted herein and
also reserves the right to grant other easements to other persons over,across,under and through the
property described in Exhibit A.
5. This easement is temporary in duration and is not a permanent easement. This
easement shall terminate without notice if Holder ceases to operate the saw mill business upon the
property described in Exhibit B for 90 or more consecutive days.
6. This easement is personal unto Holder and neither this easement,nor any interest
herein, nor any of the rights granted hereunder can be sold, conveyed, transferred, assigned,
mortgaged,pledged or hypothecated, by will or by deed, and any attempt so to do will cause the
termination hereof at Owner's sole election. This easement will terminate upon the death of
Holder and will not inure to the benefit of the said Holder's heirs, administrators, successors or
assigns, except that the provisions of paragraphs 9 and 10 below will remain in effect
notwithstanding the termination of the easement pursuant to this paragraph.

• 7. This easement and does not run with the land and will terminate if Holder sells,
conveys,gives or otherwise transfers any interest in the property described in Exhibit B to any other
person whomsoever or in the event any person not a party hereto acquires any ownership interest
whatsoever in the property described in Exhibit B.
8. The parties expect that Holder will change his position in reliance upon this easement
and that Holder will enter into limited possession and use of the easement herein granted in
accordance with the terms hereof. Nevertheless,despite such use and reliance,this easement shall
never ripen into a permanent easement no matter how long such use and reliance is continued.
9. Holder acknowledges that an important part of the consideration for Owner granting
the within easement is Holder's promise not to expand or change the character of the saw mill
operation from that operation as it is presently conducted by Holder in Boulder County,Colorado
and that, in the absence of such an undertaking, Owner would not have granted this easement.
Therefore,as further consideration for this easement,Holder agrees that Holder will not utilize any
equipment or upgrade any facilities that cause any greater visual, auditory, air quality or storm
drainage impacts upon neighboring properties than the Boulder County operation. Any outdoor
storage of materials (logs, shavings, slabs, or firewood) shall be adequately screened from the
neighbor's and the public's view by six foot high or higher privacy fences. Noise emissions from
this facility shall not exceed the ambient decibel level at the property lines. All outdoor processing
equipment shall be adequately muffled so as to produce noise levels not exceeding ambient levels
at the property lines. Air quality emissions will be monitored and regulated by the APEN and will
remain below the triggering levels for regulation set by the Air Pollution Control Division of the
• CDPHE. Dust collection systems will be in place at all sources and at all processing buildings.
There will be no visible or noticeable impact on air quality either on site or in the neighborhood.
All equipment used in the sawmill operation will be of similar size, type and capacity as that
currently used in the Boulder County operation.No traditional,large scale sawmill equipment shall
be used,such as circular sawmills,gang-saws or any machine over forty horsepower.
10. In the event Holder shall breech any of the terms set forth in paragraph 9,above,
Owner, her heirs, successors, administrators or assigns, shall have an action against Holder for
injunctive relief to compel termination and cessation of such breech and to enjoin any activities
conducted contrary to the provisions of said paragraph 9. Holder agrees that in any such action
Owner, her heirs or assigns, would have no speedy or adequate remedy at law and would suffer
immediate and irreparable injury in the absence of injunctive relief and that Owner,her heirs and
assigns would suffer a loss of the use and enjoyment of their neighboring property such as could not
be properly compensated by monetary damages alone.
11. The provisions of paragraphs 9 and 10 hereof shall survive any termination of the
within easement under the provisions of paragraphs 5,6 or 7,above,shall be binding upon Holder's
heirs and assigns and shall be deemed to be covenants running with the land.
12. In any action brought to enforce or interpret the provisions hereofthe prevailing party
shall be awarded his costs and reasonable attorney fees.

• 13. Venue for any action brought hereunder shall be and lie in the District Court in and
for the County of Weld, State of Colorado.
15. This easement agreement shall be enforced and interpreted under and pursuant to the
law of the State of Colorado.
