Everist, Incorporated. Two copies of the amendment application are on file with the Division of Reclamation, Mining & Safety. This copy of the adequacy packet is delivered to you pursuant to 34-32 . 5-112 (9) (a) , Colorado Revised Statutes 1995, as amended, which states in part : .... the applicant shall place a copy of such application for public inspection at the office of the Board and Office of the County Clerk and Recorder of the county in which the affected land is located. Please place this packet with the application book we deliv- ered in September 2011 . It must be kept for public review until the amendment has been approved by the Division. We will contact you once it is and make arrangements to pickup this copy. Please acknowledge receipt of the copy of the adequacy packet by signing in the appropriate space provided below and returning one copy of this letter to the person delivering the book. Everist, Inc. Carr Gravel Resource, Permit # M-1988-048 Adequacy Response #1 On behalf of our client L.G. Everist, Inc . , I will respond to your October 4, 2011 adequacy review letter in the order and number format presented in that document. Exhibit B-Index Map(Rule 6.4.2) This comment touches on several exhibits, but it appears here first... The provided maps show a segment of the access road from WCR 120 in the SE corner of the permit exiting and then re-entering the permit boundary. It appears that the road crosses property owned by GMS Land& Cattle Co LLC. Unless this segment is a pre-existing roadway that will not be modified or improved, it should be included in the permit area.This road segment could also raise legal access, and damage waiver issues as well (Exhibits A, N, 0 and perhaps S). Please address as appropriate. The land in question is part of a larger parcel owned by L.G. Everist, Inc. It lays within the Lehr Pit (M-1983-213 ) oper- ated by Weld County under a lease with L.G. Everist, Inc. . The road from the Southeast corner of the permit area to the north line of the County Permit area, the section you refer to was an improved road, existed prior to L.G. Everist, Inc. permitting the Carr Gravel Resource in 1988 . I have clarified the Ownership Maps to show the area north of WCR 120 and in the Lehr Pit is part of the property owned by L.G. Everist, Inc. There is no need to improve or modify the road only do regular routine maintenance on it. L.G. Everist, Inc. , sent me a couple of documents addressing the road that crosses the Lehr Pit (M-1983-213) operated by Weld County. The first document was the ASSIGNMENT AND ASSUMPTION or LEASES for the property they purchased from Lehr, and the second was a copy of the AGREEMENT FOR USE OF SOIL AND/OR GRAVEL FOR ROAD PURPOSES (lease) between Lehr and Weld County. Both are attached for your review. ENVIRONMENT, INC. PAGE 2 L.G. EVERIST, INC. - CARR GRAVEL RESOURCE ADEQUACY RESPONSE OCTOBER 20, 201 1 The first has little bearing on the road question but proves that L.G. Everist, Inc . , is the lease holder. The second one covers the access road in paragraph 3 titled Access : . In this section the county agrees to " . . .obliterate said haul road. . . if requested by owner. " . This infers that the road will remain unless L.G. Everist, Inc . asks for it to be removed. I can assure you that Everist will not ask for it to be removed. Exhibit C-Pre-Mining and Mining Plan Maps(Rule 6.4.3) One or more maps may be necessary to legibly portray the following information: (a) all immediately adjacent surface owners of record: Please submit this information. I have revised the ownership information on this map exhibit to match Figure O-1 Ownership Map revised on October 17 , 2011 . (b) the name and location of all creeks, roads, buildings,oil and gas wells and lines, and power and communication lines on the area of affected land and within two hundred (200)feet of all boundaries of such area; I have added fences, powerlines and telecommunication lines to the maps and a list of the structures and the owners of struc- tures to the Mining Plan Map. These items were shown on the 1988 and 2000 Map Exhibits to the best of my knowledge and have not changed. The scale of the map may make it difficult to discern their locations . The fences usually follow the property lines and in some cases are covered by the property line marker so do not show. They are listed on the map. (g) Show the owner's name, type of structures, and location of all permanent or man-made structures contained on the area of affected land and within two hundred (200)feet of the affected land. Please include this information. After the 2000 amendment was approved, Weld County moved WCR 126 and built a new bridge for the road. A house and shed were also built within 200 feet of the permit area in 2003 . No mining will take place within 200 feet of these structures as mining is done in that area. I have added the missing items to both map exhibits . Exhibit E-Reclamation Plan(Rule 6.4.5) The reclamation plan states that the "retention pond"will retain storm water runoff from the proposed Transload area. Please be aware that SEC regulations state that storm water runoff may not be detained for longer than 72 hours. Site runoff captured by this retention pond will either need to infiltrate or be discharged appropriately within 72 hours.Water used for dust control purposes will need to be obtained from an SEO approved source (such as well#52769-F)as stated in the Mining plan. Thank you for the information. The water from well #52789-F has been adjudicated for uses at the mine. Everist follows the procedures you note in your advisory statement. ENVIRONMENT, INC. EVERIST, INC. - CARR GRAVEL RESOURCE ADEQUACY RESPONSE OCTOBER 20, 2O1 1 Exhibit L -Reclamation Costs(Rule 6.4.12) The reclamation costs provided will be reviewed further.A reclamation estimate may also be calculated by DRMS. You will be contacted if additional information is required for DRMS to calculate a reasonable estimate prior to approval of this permitting action. If the Division needs additional information to complete their Reclamation Cost review we are prepared to provide it once you tell us what you need. Exhibit N-Source of Legal Right to Enter(Rule 6.4.14): You must provide the source of your legal right to enter and initiate a mining operation on the affected land. This information is on file in the 1988 permit application packet and also in the 2000 amendment packet . We submitted a copy of the deed showing that L.G. Everist, Inc . owns all of Sec . 35, T-11-N, R-67-W and Sec . 1, T-10-N, R-67-W with the submittal of this amendment . The deed and a notarized affidavit of ownership was submitted in 2000 showing part of the E;4 of Sec 27, T-11-N, R-67-W is owned by Andesite (a wholly-owned subsidiary of L.G. Everist, Inc . ) . A copy of a lease covering the part of the W4 of See 26, T-11- N, R-67-W. with Thomas was submitted in 1988 and has been renewed. These items constitute proof that L.G. Everist, Inc . has the right to enter and operate the mine . To simplify this we are providing a notarized affidavit confirming the right to enter the mine based on this information. Exhibit 0-Owner(s) of Record of Affected Land(Surface Area) and Owners of Substance to be Mined(Rule 6.4.15): Please submit a complete list of all owners and show the owners on your map in Exhibit C. Attached is a copy of Exhibit 0 - Owners of Record revised on 9/22/11 and Figure 0-1 Ownership Map revised on 10/17/11 showing all the owners on or around the permit areas as of that date . This information has been added to map Exhibit C-1 also. This list was used when sending the adjoining landowner certified letters . Exhibit S-Permanent Man-made Structures (Rule 6.4.19) The Exhibit S submitted with the amendment applications simply states that there are "no changes to this Exhibit". Has it been verified that the ownership of structures within 200 feet of the affected area remains unchanged, and that there are no additional structures, since the previous amendment? Yes, This statement applies to the amendment area within 200 feet of the Transload Area. The structures I noted in the response to rule 6 .4 . 3 (g) above were added around the 2000 amendment permit area after it was approved and were built ENVIRONMENT, INC. PAGE 4 L.G. EVERIST, INC. - CARR GRAVEL RESOURCE ADEQUACY RESPONSE OCTOBER 20, 201 1 within 200 feet of the area where mining is complete. No mining will take place within 200 feet of these structures . Please note that roadways and above-ground or underground utilities (if present)within 200 feet of the proposed affected area are considered permanent man-made structures. In accordance with Rule 6.4.19, when mining operations will adversely affect the stability of any significant,valuable and permanent manmade structure located within 200 feet of the affected area,the applicant may either: a.) Provide a notarized agreement between the applicant and the person(s)having an interest in the structure, that the applicant is to provide compensation for any damage to the structure;or b.) Where such an agreement cannot be reached, the applicant shall provide an appropriate engineering evaluation that demonstrates that such structure shall not be damaged by activities occurring at the mining operation. Please provide evidence(certified letter to structure owners)that a notarized agreement between the structure owners and the applicant was pursued. If an agreement is unable to be reached a geotechnical assessment may be provided to demonstrate that the structures shall not be damaged. New agreements are not needed for the structures in place prior to this amendment since they were dealt with in 1988 and 2000 during permit review at those times . Additional Information You will also need to provide the Division with proof of notice publication. Publication in the Greeley Tribune, the legal notice paper for Weld County, started on September 24, 2011 and ended on Octo- ber 17 , 2011 . The public comment period ends on November 7, 2011 . A copy of the return receipt cards for the adjoining landowners are attached. Two owner notice cards were not returned by the Post Office so I have provided a printout from vsPs.CoM showing they were delivered. A copy of the Proof of Publication will be submitted as soon as it is received. Any letters from other commenting agencies/entities received by the Division to date have been included with this correspondence for you to review. US Army Corps of Engineers - L.G. Everist, Inc . , understand the permitting requirements outlined by the Corps and will obtain any permits necessary should they encounter any of the conditions listed during mining. Office of the State Engineer - L.G. Everist, Inc . , thanks Ms . Bucker for the time she took to review their permit . Office of Archaeology & Historic Preservation (RECEIVED WITH INSPEC- TION REPORT) - Lynn Shults contacted History Colorado and found the two sites listed lay along Lone Tree Creek in the SE'%, Sec. 26 and the N%NE44NElA, Section 35, T-11-N, R-67-W, 6th P.M. Both of these areas lie outside the area where mining took place on those Sections . They will not be disturbed in the future . There are no cultural sites listed in the State records for Sec 1, T-10-N, R-67-W, the area that is left to be . ENVIRONMENT, INC. PAGE 5 L.G. The application was called complete for review on September 21,2011. All comment and review periods began on September 21, 2011. The decision date for this application is December 20,2011. Please be advised that if you are unable to satisfactorily address any concerns identified in this review before the decision date,it will be your responsibility to request an extension of the review period. If there are outstanding issues that have not been adequately addressed prior to the end of the review period, and no extension has been requested,the Division will deny this application. The provided maps show a segment of the access road from WRC 120 in the SE corner of the permit exiting and then re-entering the permit boundary'. It appears that the road crosses property owned by GMS Land & Cattle Co LLC. Unless this segment is a pre-existing roadway that will not be modified or improved, it should be included in the permit area. This road segment could also raise legal access, and damage waiver issues as well (Exhibits A,N,O and perhaps S). Please address as appropriate. EXHIBIT C- Pre-mining and Mining Plan Map(s) of Affected Lands (Rule 6.4.3): One or more maps may be necessary to legibly portray the following information: (a) all immediately adjacent surface owners of record: Please submit this information. Please be aware that SEO regulations state that storm water runoff may not be detained for longer than 72 hours. Site runoff captured by this retention pond will either need to infiltrate or be discharged appropriately within 72 hours. Water used for dust control purposes will need to be obtained from an SEO approved source(such as well#52769-F)as stated in the Mining plan. EXHIBIT L-Reclamation Costs (Rule 6.4.12): The reclamation costs provided will be reviewed further. A reclamation estimate may also be calculated by DBMS. You will be contacted if additional information is required for DRMS to calculate a reasonable estimate prior to approval of this permitting action. EXHIBIT N- Source of Legal Right to Enter (Rule 6.4.14): You must provide the source of your legal right to enter and initiate a mining operation on the affected land. EXHIBIT 0 - Owner(s) of Record of Affected Land (Surface Area) and Owners of Substance to be Mined (Rule 6.4.15): Please submit a complete list of all owners and show the owners on your map in Exhibit C. EXHIBIT S-Permanent Man-Made Structures(Rule 6.4.19): The Exhibit S submitted with the amendment applications simply states that there are "no changes to this Exhibit". Has it been verified that the ownership of structures within 200 feet of the affected area remains unchanged, and that there are no additional structures, since the previous amendment? Please note that roadways and above-ground or underground utilities (if present) within 200 feet of the proposed affected area are considered permanent man-made structures. In accordance with Rule 6.4.19, when mining operations will adversely affect the stability of any significant, valuable and permanent man- made structure located within 200 feet of the affected area,the applicant may either: a.) Provide a notarized agreement between the applicant and the person(s) having an interest in the structure, that the applicant is to provide compensation for any damage to the structure;or b.) Where such an agreement cannot be reached, the applicant shall provide an appropriate engineering evaluation that demonstrates that such structure shall not be damaged by activities occurring at the mining operation. Please provide evidence (certified letter to structure owners) that a notarized agreement between the structure owners and the applicant was pursued. If an agreement is unable to be reached a geotechnical assessment may be provided to demonstrate that the structures shall not be damaged. A search of the Colorado Cultural Resource Inventory database indicates that two cultural resources (sites 5WL276 and 5WL339)are located within the permit area adjacent to Lone Tree Creek.These sites while never receiving an official determination of eligibility for the National Register of Historic Places (NRHP)may possess a high-degree of integrity,have the potential for associated buried cultural deposits,possess interpretable data related to intra-site spatial layout,and are a type of resource increasingly threatened by development activities along the Front Range of Colorado. As such,we recommend that ground-disturbing activities associated with the project avoid both site locations. if site avoidance is not possible,we recommend further consultation with our office in order to identify options to avoid,minimize,or mitigate the adverse effect to these resources. Please he aware that our files contain incomplete information for this area,as most of Colorado has not • yet been inventoried for cultural resources. As a result, there is the possibility that as yet unidentified cultural resources exist within the proposed project area. Nichols State Historic Preservation Officer ECN/MAT 2 ASSIGNMENT AND ASSUMPTION OF LEASES THIS ASSIGNMENT AND ASSUMPTION OF LEASES (this"Assignment") is made and entered into to be effective as of July 12,2011,between RANDY B.LEHR,TRUS FEE,OF THE VICTOR LEHR TESTAMENTARY TRUST ("Assignor"), whose legal address is Rural Route I,Box 98,Texhoma,Oklahoma 73949, and L.G.EVERIST,INCORPORATED,an Iowa corporation("Assignee"),whose legal address is 7321 East 88th Avenue, Suite 200,Henderson, Colorado 80640. Recitals A. On May 24,2011.,Assignor,as seller,and Assignee,as buyer,entered into an Option to Purchase (the "Option") wherein Assignor granted to Assignee an option to purchase certain real property and improvements described therein located in Weld County, Colorado(the"Property"). B. On or about June 17, 2011, pursuant to the terms of the Option,Assignee and Assignor executed a Contract to Buy and Sell Real Estate(the"Purchase Contract")setting forth the terms and conditions for the sale of the Property by Assignor to Assignee. C. Simultaneously with the execution of this Assignment, Assignor has conveyed the Property to Assignee pursuant to the terms and conditions of the Purchase Contract. D. In connection with the conveyance of the Property to Assignee, Assignor and Assignee intend that Assignor assign and transfer to Assignee all of Assignor's right., title and interest in and to those certain leases, agreements and contracts described on Exhibit A attached hereto and incorporated herein by this reference(the"Assigned Agreements"). E. Capitalized terms used herein and not otherwise defined herein shall have the respective meanings given to them in the Purchase Contract. Agreement NOW THEREFORE, for good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged by Assignor,the parties hereby agree as follows: 1. Assignment. Assignor hereby assigns, sells, transfers and conveys to Assignee,all right,title and interest of Assignor as landlord in and to the Assigned Agreements. 2. Indemnities;Assumption. (a) Assignor shall indemnify,defend and hold Assignee harmless from all obligations on the part of Assignor arising under the Assigned Agreements prior to the date hereof and from all claims,judgments, injuries,losses,liabilities,costs and expenses (including, without limitation, reasonable attorneys' fees and disbursements)incurred in connection therewith. 107223.00006-1419390.2 (b) Assignee hereby expressly assumes all liabilities and agrees to perform all obligations of Assignor under the Assigned Agreements to be performed from and after the date hereof and shall indemnify,defend and hold Assignor harmless from all obligations on the part of Assignor arising under the Assigned Agreements from and after the date hereof and from all claims, judgments, injuries, losses, liabilities, costs and expenses (including, without limitation, reasonable attorneys' fees) incurred in connection therewith. 3. Further Assurances. Assignor hereby covenants that Assignor will, at any time and from time to time upon written request therefor, execute and deliver to Assignee or Assignee's successors, nominees or assigns, such documents as Assignee or its successors, nominees or assigns may reasonably request in order to fully assign and transfer to and vest in Assignee or Assignee's successors,nominees and assigns the Assigned Agreements. 4. Attorneys Fees and Costs. In the event of any litigation or arbitration initiated to enforce the terms of this Assignment, the prevailing party shall be entitled to an award for its reasonable attorneys' fees and expenses and the fees and costs of any experts or consultants engaged in connection with such litigation or arbitration. 5. Governing Law. This Assignment shall be governed by, interpreted under,and construed and enforced in accordance with,the laws of the State of Colorado. 6. Counterparts. This Assignment may be executed in one or more counterparts, each of which shall constitute an original, but all of which, when taken together, shall constitute but one agreement. 7. Successors and Assigns. This Assignment shall bind and inure to Assignor and Assignee and their respective successors and assigns.
