Home My WebLink About20111608.tiff RESOLUTION RE: APPROVE AGREEMENT FOR INTERNET SERVICES AND AUTHORIZE CHAIR TO SIGN - COLORADO CODE PUBLISHING COMPANY WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to Colorado statute and the Weld County Home Rule Charter, is vested with the authority of administering the affairs of Weld County, Colorado, and WHEREAS, the Board has been presented with an Agreement for Internet Services between the County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld County, and Colorado Code Publishing Company, commencing upon full execution, and shall be in effect for a period of one (1) year and shall be automatically renewed thereafter for succeeding one-year terms until five (5) years hereafter, unless sooner terminated, with further terms and conditions being as stated in said agreement, and WHEREAS, after review, the Board deems it advisable to approve said agreement, a copy of which is attached hereto and incorporated herein by reference. NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld County, Colorado, that the Agreement for Internet Services between the County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld County, and Colorado Code Publishing Company be, and hereby is, approved. BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized to sign said agreement. Lfl CTIS n C s 2011-1608 1 -aS I BC0042 AGREEMENT FOR INTERNET SERVICES ��t/y THIS AGREEMENT is made and entered into this l9 day of Jtmd, 2011, by and between COLORADO CODE PUBLISHING COMPANY, a Colorado corporation, hereinafter referred to as the "Publisher," and the COUNTY OF WELD, COLORADO, a Colorado municipal corporation, hereinafter referred to as the "County." WITNESSETH; upon the mutual promises, covenants and considerations furnished by the parties hereto, it is agreed as follows: I. Internet Code Service. The Publisher currently hosts intemet services to the County for the Code. Such service will continue under the current process, as more fully described in Section 2 below. The Code currently on line has been updated through June 2010. 2. Internet Updates. The Publisher agrees to provide intemet supplementation for the County Code at the Publisher's website as described below. a. Initial conversion. Within one (1) month, the Publisher shall convert and reformat the existing Code to an online version for the amount of eight hundred dollars ($800.00). The Table of Up-To-Date Pages shall be removed from the existing Code. b. Initial update. The County shall provide existing ordinances adopted prior to the date of this Agreement, which will be supplemented into the initial converted Code. Said existing ordinances will be incorporated into the converted Code at the cost of thirteen dollars ($13.00) per page of affected text. The number of affected pages shall be determined by the Publisher based on the updated Code pages as they appear on line. c. Monthly hosting. The Publisher currently charges the amount of sixty-six dollars ($66.00) per month to host the Code at its website. The monthly hosting fee shall be reduced to fifty dollars ($50.00) at the time of completion of the initial conversion described in Paragraph a. above. The cost of fifty dollars ($50.00) for the initial month of hosting shall be waived by the Publisher. The charge shall be invoiced quarterly, semiannually or annually, at the County's direction. d. Update on line. Subsequent to the initial conversion and update described above, the County shall provide to the Publisher in electronic format the ordinances adopted by the County which affect the Code. The Publisher shall prepare and post on line an internet update for the affected Code sections and accompanying legislative history. The Ordinance Disposition Table and Index shall be updated as part of the Internet process. e. Internet update rate. The Publisher shall prepare the internet update as described above, at a cost of fifteen dollars ($15.00) per page of affected text. The number of affected pages shall be determined by the Publisher based on the updated Code pages as they appear on line. f. Timetable. The intemet update will be accomplished within four (4) weeks after the Publisher receives the ordinances. g. Electronic version. The Publisher shall provide a CD of the updated Code after each update at the cost of fifty dollars ($50.00). If requested by the County, additional CDs shall be provided at the cost of twenty-five dollars($25.00)each. &(//C/' f. J h. Payment. The Publisher shall invoice the County for the above services at the time of completion of the service. Within twenty (20) days of receipt of the invoice, the County shall pay the amount owing to the Publisher. 3. Term; Amendment. The term of this Agreement shall be in effect for a period of one (I)year and shall be automatically renewed thereafter for succeeding one-year terms until five(5) years hereafter unless sooner terminated. The County may terminate the Agreement upon thirty (30) days' written notice. The Publisher may terminate the Agreement after one (1) year upon thirty (30) days' written notice. Either party may terminate the Agreement upon thirty (30) days' notice in the event the Publisher's Internet provider service is discontinued or changed to make the service incompatible with the County's requirements if the discontinuation or change is not resolved to the satisfaction of the parties. In such event, the Publisher shall refund any hosting charges paid in advance. The parties may at any time amend the terms of this Agreement in writing. The cost to convert the Weld County Code to an electronic version only would be as follows: There would be a one-time fee of$800 for formatting and working with the chapters. This cost would include the conversion and Internet updates. (The existing Table of Up-to-Date Pages would be removed from the Code contents.) In the future, there would be a per-page charge of$15.00 to update the Code on line. This would apply to the pages with changes, including the chapter tables of contents, ordinance tables and Index. An updated CD of the Code would be provided at the cost of$50 after each update. The Code would initially be supplemented and converted within three months. After that time, any new ordinances would be placed on line within one month. This timetable would probably be adjusted after a trial run. If you decide to proceed with this project, we will take care of notifying the outside subscribers. The timing for this would be excellent, as we would shortly be sending them invoices for any 2011 supplements.
