Box 758 Greeley, Colorado 80632 RE: Weld County Lease Assignment cn Weld County Commissioners: Baseline Minerals, Inc. acquired several Weld County Oil and Gas Leases during the March 14, 2011 lease sale. These leases were located in Township 7 North, Range 63 West, 6th P.M., and are more fully described in Exhibit "A" attached and made a part hereof("Leases"). Pursuant to paragraph 9 (A) of the Leases, Baseline Minerals, Inc., requests permission to assign all of the right, title and interest in the Leases as described in Exhibit "A" to Noble Energy, Inc., whose address is 1625 Broadway, Suite 220, Denver, CO 80202. Upon approval by written consent of Weld County Board of County Commissioners, Baseline Minerals, Inc. will prepare the assignment to Noble Energy, Inc. Upon approval of assignment pursuant to paragraph 9 (C) of the Leases, please advise Baseline Minerals, Inc. once relieved from any performance of any terms or conditions there of Under the terms of the Leases you may have the right to consent to the transfer of the Leases to Noble Energy, Inc. Please find the enclosed check in the amount of Two Hundred dollars 00/100 ($200.00)for the authorization fee as referenced in paragraph 9 (A)of the lease. Please execute the enclosed copy of this letter in the space provided below to indicate your written approval and consent to the assignment and transfer of the Leases to Noble Energy, Inc. under the conditions provided in the Leases.
