Annual Meeting of Members of the Weld County Underground Water Users Association
Tuesday, March 22'i, 201 1
Pursuant to Article 11, Sections 2.1 I and 2.12 of the Weld County Underground Water Users
Association's (the"Association" or"WCUWUA") Bylaws, the undersigned hereby appoints Dale
Trowbridge, Secretary of the Association, with respect to any votes the undersigned is entitled to cast by
virtue of the undersigned's ownership of wells or other structures in the Association as proxy to attend the
annual meeting of members of the Association to be held on Tuesday, March 22nd, 2011 at 1:00 p.m. in
Lucerne, Colorado, and any adjournment thereof, and to cast all votes the undersigned is entitled to cast
on the business of the Association as indicated below and, at his discretion, on such other matters as may
properly come before the meeting. If you sign and return this Proxy and Confidential Voting
Instruction Ballot without marking,this proxy will be treated as being FOR the Items listed below.
This Proxy and Confidential Voting Instruction Ballot is solicited by the Board of Directors of
The Weld County Underground Water Users Association. Pursuant to Article II, Section 2.2 of the
Bylaws the undersigned acknowledges and understands that each member of the Association is entitled
to one vote per well or structure upon each matter submitted to a vote at a meeting of the members.
The Board of Directors recommends a vote FOR the following pro osals:

I. Election of Lynn Fagerber as director to a three-year term.
2. Election of Prank Eckhardt as director to a three-year term.
3. Assessments for 2011 to he set according to the annual
schedule set by the Cache La Poudre Water Users Association
and pursuant to the procedures set forth in Article VI of the
WCUWUA's Bylaws, as generally described below:
• 2011 Pumping fee set at $2.50 per acre foot of
pumping
• 2011 well fee set at$10.00 per well owned.

trustee, or guardian, please give full title as such.
Certification: I hereby declare that either all procedures surrounding the meeting, its notice, and this
voting, have been duly met, or if not, I do not object to the procedures used to conduct the meeting, its
notice, and this voting, and that this Proxy and Confidential Voting Instruction Ballot represents the vote
of the members esignated hereon.

Dear Member:
The annual meeting for The Weld County Underground Water Users Association
(WCUWUA) is scheduled for March 22" at 1:00 p.m. at the Association's office in Lucerne,
Colorado located at the address above. When the WCUWUA was established over 35 years ago
the meetings were attended by the members because this was a new venture and the Cache La
Poudre Water Users Association's plan and decree was in the initial stages of formation. After
the plan was decreed, members stopped attending the annual meetings. In fact, for nearly 30
years only the directors have attended the annual meetings.
Each year the directors have met and conducted the business of the organization, which
typically includes setting the well assessments (based directly on the amount of money billed to
the WCUWUA by the parent organization - the Cache La Poudre Water Users Association) and
electing directors and officers. The time spent on the matters requiring member input, including
the business matters of the Association, typically takes 10 tol 5 minutes.
Pursuant to WCUWUA's current Articles and Bylaws, the Association is required to
provide notification of the annual meeting to each member. However, due to the current nature
of the meetings, the lack of attendance by members in the past, and the absence of any urgent
matters, the directors are providing you with the enclosed proxy and voting ballot to till out and
send back to the Association in lieu of your attendance at the annual meeting. The items to be
voted on at the annual meeting include electing two directors for three-year terms and setting
assessments according to the annual schedule set by the Cache La Poudre Water Users
Association. Please note that the board currently consists of six directors, including Mike
Hungenberg, Lynn Fagerberg, Frank Eckhardt, Keith Amen, Bryan Hoffner and Dale
Trowbridge. Only Lynn Fagerberg and Frank Eckhardt are up for re-election this year.
If you would prefer to attend the annual meeting rather than fill out the enclosed proxy
and ballot, or if you have questions or comments about the Association, the items of business,
the proxy or the annual meeting, please contact Dale Trowbridge, Secretary of the Association,
at the number above for further details and so that we can obtain a head count of those planning
to attend in person.
