THIS ASSIGNMENT OF AGREEMENT ("Assignment") is made and entered into
as of this day of March, 2011, by and between NORTH COLORADO
EMERGENCY PHYSICIANS P.C., a Colorado professional corporation
("Assignor"), and BENJI EMS AND MEDICAL, P.C. (Assignee"), and WELD
COUNTY E911 AUTHORITY.
Contract to be Assigned: Agreement for Physician Advisor Services between
Weld County E911 Authority and NCEP dated
Assignor: North Colorado Emergency Physicians, P.C.
Assignee: Benji EMS and Medical, P.C.
Party Consenting to Assignment: Weld County E911 Authority
Effective date of Assignment: March 21, 2011
1. Assignment. Assignor does hereby transfer, assign and set over to
Assignee all of Assignor's rights, privileges, duties and obligations in, to and
under the above-described Contract to be assigned.
2. Acceptance of Assignment. Assignee does hereby accept
assignment of all of Assignor's rights, privileges, duties and obligations in, to and
under the above-described Contract to be assigned.
3. Acknowledgment and Acceptance. This Assignment is
acknowledged, accepted and consented to by Weld County E911 Authority.
IN WITNESS WHEREOF, the parties hereto have caused this Assignment
to be executed as of the day and year first above written.

Dear Mr. Mathis:
I am the attorney for Dr. Kitagawa and North Colorado Emergency Physicians,
P.C. (NCEP).
NCEP is in the course of winding down its business.
Accordingly, this letter is to notify you that the Agreement for Physician Advisor
Services between Weld County E911 Authority Board and NCEP will be terminated 30
days from the day of this letter for the sole purpose of removing NCEP from the contract
and leaving Dr. Kitagawa as the sole contracting party. I have included an Assignment of
Agreement form for this purpose.
Please feel free to contact me or Dr. Kitagawa in regards to this matter.
