RE: APPROVE SECOND AMENDMENT TO LEASE AND AUTHORIZE CHAIR TO SIGN
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, the Board has been presented with the Second Amendment to the Lease
between the County of Weld, State of Colorado, by and through the Board of County
Commissioners of Weld County, on behalf of the Department of Finance and Administration, and
the Colorado Department of Military and Veterans Affairs, commencing upon full execution, and
ending March 31, 2012, with further terms and conditions being as stated in said amendment; said
property being located at 330 Park Avenue, Fort Lupton, Colorado 80621, and
WHEREAS,after review,the Board deems it advisable to approve said amendment, a copy
of which is attached hereto and incorporated herein by reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld
County, Colorado, that the Second Amendment to the Lease between the County of Weld, State of
Colorado, by and through the Board of County Commissioners of Weld County, on behalf of the
Department of Finance and Administration, and the Colorado Department of Military and Veterans
Affairs be, and hereby is, approved.
BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized to
sign said amendment.
The above and foregoing Resolution was, on motion duly made and seconded, adopted by
the following vote on the 17th day of January, A.D., 2011.

INSTRUCTIONS:
1) This Amendment to Lease Agreement [Improved Real Property] is designed for use by state
agencies to amend an existing lease for space in buildings and other improved real property
prepared on an State Controller approved lease form with a revision date of 8/2007 or later,
when the parties are specified as the "Landlord" and "Tenant". This Amendment may be used
for leases prepared on a form prior to the referenced revision date, except the draft must
replace the term "Landlord"with "Lessor"and the term "Tenant"with "Lessee".
2) If at any time a user of this form determines that a certain provision should not be included,
simply strike through the provision following the paragraph number and title. That way a later
reviewer of the lease can immediately determine if and where the lease differs from the
standard form, and subsequent paragraphs need not be renumbered to preserve sequential
numbering. Each strike through should be initialed by the person signing the agreement of
behalf of each party Additions to the form should be indicated in bold type.
3) Don't forget to check the page numbers in the body of the Amendment and any attached
Exhibits to accommodate spacing changes. Exhibits should be numbered separately
from the Amendment. For example, the first page of Exhibit A to the Amendment, would
be numbered "A—1".

SECOND AMENDMENT TO LEASE
The printed portions of this form,except bold additions,have been
approved by the State of Colorado Attorney General
THIS SECOND AMENDMENT TO LEASE, made and entered into this /% day of OAA'
, 20 I/ , for the purpose of amending that certain lease having Contract Routing No. 09 OAA
00060 and C. E. No. PO OAA 09000000036, (the "Lease") dated November 20, 2008, by and between
Weld County Board of County Commissioners, a Political Subdivision, as "Landlord", and THE
STATE OF COLORADO, acting by and through the DEPARTMENT OF Military and Veterans Affairs, as
"Tenant", relating to the leasing of a portion of the building located at 330 Park Avenue, Ft. Lupton, CO
80621 (the"Building"), comprised of seven thousand (7,000) rentable square feet.
WHEREAS, as to Tenant, authority exists in the Law and Funds have been budgeted, appropriated and
otherwise made available and a sufficient unencumbered balance thereof remains available for payment
in Fund Number 100, G/B/L Account Number 1A1, Contract Encumbrance Number — PO OAA
11000000040 or in the Account(s) reflected on the attached COFRS printout..
WHEREAS, The Lessee and the Lessor have agreed to exercise the option to extend the lease
for an additional one(1)year period, until March 31, 2012.
All terms and conditions of the Lease shall remain in effect during the Renewal Term.
NOW, THEREFORE, Landlord and Tenant in consideration of the mutual promises contained herein,
hereto agree to amend the Lease as follows:
1. Article 1(b) Premises, Term, Rent. The term of the Lease is extended from April 1, 2011 through
March 31, 2012,for a montly base rent during the term as follows:

Except as modified by the provisions of this Second Amendment to Lease, all other terms and conditions
in the Lease are hereby ratified and confirmed and remain in full force and effect.
In the event of any conflict, inconsistency, variance or contradiction between the provisions of this Second
Amendment to Lease and any of the provisions of the Lease, the provisions of this Second Amendment
to Lease shall in all respects supersede, govern and control.
The effective date of this Second Amendment to Lease is February 28, 2011 or the date signed by
the State Controller or his designee, whichever is later. In accordance with the requirements of 24-30-202
(1) C.R.S., as amended, this Amendment to Lease shall not be deemed valid until it has been approved
by the State Controller, or such assistant as he may designate.

Shortly after receiving the signed agreements from the Weld County Commissioners, the Department of Military and
Veterans Affairs (DMVA) contacted Ms. Mika and discussed using the "hold-over" option in the current lease
agreement. The "hold-over" option allows the State to continue with the lease on a month-to-month basis, using the
current terms in the lease as written. DMVA explained to Ms. Mika that the new Readiness Center was due to open in
June, therefore the need for another lease for an additional 3-months seemed somewhat absurd for the short time
period.
Ms. Mika agreed, and asked that DMVA provide a letter stating the intent to exercise the "hold-over" option. I have
attached a copy of the emails and letters to Ms. Mika,dated January 25, 2011 and June 30, 2011. The National Guard
has since vacated and facility and the keys were turned in on 31 August 2011.
I hope this helps in completing your files and closing out any issues surrounding this lease.

Re: Lease Agreement dated November 20, 2008 (Contract Routing No. 09 OAA 00060), for the
property located at 330 Park Avenue, Ft Lupton, CO 80621
Dear Ms. Mika:
The State of Colorado, Department of Military and Veterans Affairs hereby respectfully requests an
additional extension to the"Hold Over" provision of the above stated lease. The current"Hold Over"
will continue for an additional month from 31 July 2011 and will terminate on 31 August 2011. All
terms of the Lease Agreement will remain as stated.
This letter also serves as the required 30-day notice that the Department intends to vacate the premises,
located at 330 Park Avenue, Ft Lupton, CO 80621, on or before 31 August 2011.
On behalf of the Department, I want to express our appreciation for the cooperative relationship
between the Department and the Weld County Board of County Commissioners.
