RE: APPROVE ASSIGNMENT OF AGREEMENT FOR PHYSICIAN ADVISOR SERVICES
AND AUTHORIZE CHAIR TO SIGN - NORTH COLORADO EMERGENCY
PHYSICIANS, P.C. / BENJI EMS AND MEDICAL, P.C.
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, the Board has been presented with an Assignment of Agreement among
the County of Weld, State of Colorado, by and through the Board of County Commissioners of
Weld County, on behalf of the Weld County Paramedic Services, North Colorado Emergency
Physicians, P.C., and Benji EMS and Medical, P.C., commencing March 21, 2011, with further
terms and conditions being as stated in said assignment of agreement, and
WHEREAS, after review, the Board deems it advisable to approve said assignment of
agreement, a copy of which is attached hereto and incorporated herein by reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of
Weld County, Colorado, that the Assignment of Agreement among the County of Weld, State of
Colorado, by and through the Board of County Commissioners of Weld County, on behalf of the
Weld County Paramedic Service, North Colorado Emergency Physicians, P.C., and Benji EMS
and Medical, P.C., be, and hereby is, approved.
BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized
to sign said assignment of agreement.
The above and foregoing Resolution was, on motion duly made and seconded, adopted
by the following vote on the 13th day of April, A.D., 2011, nunc pro tunc March 21, 2011.

ASSIGNMENT OF AGREEMENT
THIS ASSIGNMENT OF AGREEMENT ("Assignment") is made and entered into
as of this 13th day of April , 2011, by and between NORTH COLORADO
EMERGENCY PHYSICIANS P.C., a Colorado professional corporation
("Assignor"), and BENJI EMS AND MEDICAL, P.C. (Assignee"), and WELD
COUNTY PARAMEDIC SERVICES.
Contract to be Assigned: Agreement for Physician Advisor Services between
Weld County Paramedic Services and NCEP dated June 21, 2010.
Assignor: North Colorado Emergency Physicians, P.C.
Assignee: Benji EMS and Medical, P.C.
Party Consenting to Assignment: Weld County Paramedic Services
Effective date of Assignment: March 21, 2011
1. Assignment. Assignor does hereby transfer, assign and set over to
Assignee all of Assignor's rights, privileges, duties and obligations in, to and
under the above-described Contract to be assigned.
2. Acceptance of Assignment. Assignee does hereby accept
assignment of all of Assignor's rights, privileges, duties and obligations in, to and
under the above-described Contract to be assigned.
3. Acknowledgment and Acceptance. This Assignment is
acknowledged, accepted and consented to by Weld County Paramedic Services.
IN WITNESS WHEREOF, the parties hereto have caused this Assignment
to be executed as of the day and year first above written.
