HomeMy WebLinkAbout20100810.tiff SOS SECURITY INCORPORATED- WELD COUNTY AGREEMENT FOR PROFESSIONAL SERVICES THIS AGREEMENT ("Agreement") is made by and between the County of Weld, State of Colorado, whose address is 915 10th Street, Greeley, Colorado, 80631 ("County"), and SOS Security Incorporated, whose address is One Security Plaza, 1915 Route 46 East, Parsipanny, New Jersey 07054, ("Contractor"). WHEREAS, County desires to retain Contractor as an independent contractor to perform services as more particularly set forth below; and WHEREAS, Contractor has the time available to timely perform the services, and is willing to perform the services according to the terms of this Agreement. NOW THEREFORE, in consideration of the mutual promises and covenants contained herein, the parties hereto agree as follows: 1. Engagement of Contractor. County hereby retains Contractor, and Contractor hereby accepts engagement by County upon the terms and conditions set forth in this Agreement and SOS Security Incorporated Security Services Proposal/Agreement, which is fully incorporated into this Agreement and attached hereto as Exhibit A. 2. Term. The term of this Agreement shall be as set forth in Exhibit A. 3. Services to be Performed. Contractor agrees to perform the Services listed or referred to in Exhibit A. 4. Compensation. County agrees to pay Contractor for services performed as set forth in Exhibit A. 5. Additional Work. In the event the County shall require changes in the scope, character, or complexity of the work to be performed, and said changes cause an increase or decrease in the time required or the costs to the Contractor for performance, an equitable adjustment in fees and completion time shall be negotiated between the parties and this Agreement shall be modified accordingly by a supplemental Agreement. Any claims by the Contractor for adjustment hereunder must be made in writing prior to performance of any work covered in the anticipated supplemental Agreement. Any change in work made without such prior supplemental Agreement shall be deemed covered in the compensation and time provisions of this Agreement. 6. Reports County Property. Insurance and Indemnification. Contractor shall provide at Contractor's own cost and expense the insurance set forth in Exhibit A, naming"Weld County, by and through the Board of county Commissioners of Weld County, the Weld County Sheriff, and their employees," as "Additional Named Insureds." Contractor shall provide necessary workers' compensation insurance at Contractor's own cost and expense. 8. Termination. Termination shall be as set forth in Exhibit A. 9. Non-Assignment. Contractor may not assign or transfer this Agreement, any interest therein or claim thereunder, without the prior written approval of County. 10. Access to Records. County shall have access to Contractor's financial records as they relate to this Agreement for purposes of audit. Such records shall be complete and available for audit 90 days after final payment hereunder and shall be retained and available for audit purposes for at least five years after final payment hereunder. 11. Time of Essence. Time is of the essence in each and all of the provisions of this Agreement. 12. Interruptions. Neither party to this Agreement shall be liable to the other for delays in delivery or failure to deliver or otherwise to perform any obligation under this Agreement, where such failure is due to any cause beyond its reasonable control, including but not limited to Acts of God, fires, strikes, war, flood, earthquakes or Governmental actions. 13. Notices. Any notice required to be given under this Agreement shall be in writing and shall be mailed or delivered to the other party at that party's address as stated above. 14. Compliance. This Agreement and the provision of services hereunder shall be subject to the laws of Colorado and be in accordance with the policies,procedures, and practices of County. 15. Certification. Contractor certifies that Contractor is not an illegal immigrant, and further, Contractor represents, warrants, and agrees that it has verified that Contractor does not employ any illegal aliens. If it is discovered that Contractor is an illegal immigrant, employs illegal aliens or subcontracts with illegal aliens, County can terminate this Agreement and Contractor may be held liable for damages. 16. Entire Agreement/Modifications. This Agreement(including Exhibit A) contains the entire agreement between the parties with respect to the subject matter contained in this Agreement. This instrument supersedes all prior negotiation, representation, and understanding or agreements with respect to the subject matter contained in this Agreement. This Agreement may be changed or supplemented only by a written instrument signed by both parties. 17. Funding Contingency. No portion of this Agreement shall be deemed to create an 2 obligation on the part of County to expend funds not otherwise appropriated or budgeted for. 18. Severability. If any term or condition of this Agreement shall be held to be invalid, illegal, or unenforceable, this Agreement shall be construed and enforced without such provision, to the extent that this Agreement is then capable of execution within the original intent of the parties. 19. Governmental Immunity. No portion of this Agreement shall be deemed to constitute a waiver of any immunities the parties or their officers or employees may possess. 20. No Third Party Beneficiary. It is expressly understood and agreed that the enforcement of the terms and conditions of this Agreement, and all rights of action relating to such enforcement, shall be strictly reserved to the undersigned parties and nothing in this Agreement shall give or allow any claim or right of action whatsoever by any other person not included in this Agreement. It is the express intention of the undersigned parties that any entity other than the undersigned parties receiving services or benefits under this Agreement shall be an incidental beneficiary only. A. Security Services: SOS will furnish Security Services with professional skill,judgment and due care, and in accordance with generally accepted security industry standards. Security Services will include maintaining overall security and protection of Client's location detailed in this Exhibit A through trained and licensed security personnel. SOS's security personnel will use reasonable and appropriate measures to deter and prevent unauthorized entry, vandalism and theft. Additionally, if required, security personnel will contact the appropriate authorities for assistance and, as directed by Client, will report hazardous conditions and facilitate the overall safety at the Client location. B. Agreement Term: Security services will commence on or before February 16, 2011, and will continue through and including April 13, 2011. Any termination prior to April 13, 2011 shall be subject to the terms and conditions of Section F of this Exhibit A. C. Location: Security services will be provided at Weld County Courthouse, 901 9th Avenue, Greeley, Colorado. Billing Rate: Security Services will be provided at the following billing rate: POSITION BILLING RATE (per hour) Security Supervisor $21.03 Security Officer $14.08 Additionally, Client shall pay a one-time One Hundred Dollar($100) fee per new Security Officer that is hired by SOS under the terms and conditions of this Exhibit A. This fee will help cover costs such as uniforms, background and drug screening and other administrative costs. This fee will only apply to Security Officers that SOS must hire to fulfill its obligations under Exhibit A, and will not apply to officers that SOS already employs as of the date of Exhibit A. Client will be billed for this fee at the first billing cycle, and will pay under the terms and conditions of Section I of Exhibit A. F. Termination: Client may not terminate either Exhibit A or Agreement prior to April 13, 2011. If Client terminates or otherwise ends this Exhibit A or Agreement prior to April 13, 2011, Client will be responsible for the full value of this Exhibit A and Agreement as an early termination penalty. The value of this Exhibit A and Agreement shall be defined as the hours of performance remaining for each Security Supervisor and Security Office prior to and including April 13, 2011, as measured from the date of termination, multiplied by the billing rate for each officer, exclusive of any payroll or other tax deductions. Holidays: SOS will bill the following holidays at the applicable time and one-half billing rate, if worked, • New Year's Day • Independence Day • Martin Luther King Day • Labor Day • Presidents' Day • Thanksgiving Day • Memorial Day • Christmas Day H. Overtime and Special Coverage: All overtime and special coverage requested by Client in excess of forty(40) hours per week per individual guard will be billed utilizing a time and one half billing rate. Every effort will be made to use non-overtime personnel to provide additional coverage, as needed. Payment Terms: SOS will invoice Client weekly in arrears for services performed. Approved invoices shall be payable thirty (30) days following receipt by Client. Client shall also pay all sales taxes, if applicable, which may be imposed with respect to this Exhibit A and Agreement. If an invoice is not paid by Client within sixty (60) days after the date of receipt of the invoice, an additional charge of one (1%) percent per month of the face amount of the delinquent invoice shall become due and payable to SOS as, and for, a "late charge." Client shall pay such charge in addition to, and together with, the full payment due as reflected in the applicable invoice. J. Pricing Changes: Based upon Client's approval, SOS may increase the billing rate for security services to reflect additional costs incurred by SOS arising out of or resulting from any increase or addition to federal, state, or local taxes with respect to: (i) the sale or use of Equipment and/or Supplies; (ii) those individuals who are providing Services to Client; or (iii) any increase in fringe benefit costs (i.e., insurance premiums directly related to security personnel) beyond SOS's control, and which are imposed on SOS by a third party with respect to such individuals. County of Weld, State of Colorado February 3, 2011 Page 4 L. Training: All SOS security personnel shall be trained in accordance the state and/or locally mandated training requirements. M. Equipment/Materials Supplied by SOS: SOS will provide the following equipment/materials at no additional cost: • Uniform • Foul Weather Gear • Flashlight • Daily Post Orders • Emergency Information Sheet • Incident Report Form Any additional equipment not listed in this section that is requested by Client, such as communication devices, will be provided by SOS and paid for by Client. N. Independent Contractor: In all matters pertaining to this Exhibit A and Agreement, SOS shall be acting as an independent contractor. SOS's employees are not the employees of Client under the meaning and application of any federal or state unemployment insurance, old age benefit, social security, or Worker's Compensation or other labor employment laws. SOS agrees to assume and pay all liabilities and perform all obligations imposed by any such law(s) with respect to its performance under this Exhibit A and Agreement. Nothing contained in this Exhibit A or Agreement, nor the performance of this Exhibit A and Agreement by the parties hereunder, shall inure to the benefit of any third party and there are no third party beneficiaries of this Exhibit A or Agreement. Barker, Weld County Attorney, advised you by letter of Weld County's concerns regarding the lack of consistent performance by Veterans Securing America, Inc. ("VSA") to provide security at the Weld County Courthouse("Courthouse"). VSA was awarded the contract to provide security at the Courthouse, beginning June 1S1, 2010. The concerns detailed by Mr. Barker included the following: • A VSA supervisor, who had criminal allegations investigated against him for making prospective female employees disrobe in front of him on site in the Courthouse,was terminated by VSA on July 28, 2010. • During the investigation of the above incident,the Weld County Sheriff's Office ("WCSO") became aware that VSA was conducting drug testing of perspective employees in Courthouse public restrooms by having VSA employees go in with applicants to collect urine samples. This procedure was contrary to WCSO instructions. • During the week of July 26, 2010,the WCSO provided written notice to VSA administration to cease their practice of conducting interviews, drug testing,and storing of VSA uniforms on site. • VSA violated the written notice mentioned above on two subsequent occasions, August 4, 2010, and August 5, 2010,by conducting interviews on site. Once again VSA was directed that interviews were not allowed on site. t_CY)v1w i c.aLto Il,- o11 &O16-O.8 Letter, Gerald A. Gregory February 2, 2011 Page 2 • VSA breached the contract multiple times by not providing the minimum number of eight (8)security guards on site as required in Specification#1 of the contract. A copy of the Specifications is enclosed. Each incident was addressed with VSA administration. These incidents occurred on July 29, 2010,August 2-5, 2010, August 18, 2010 and August 25, 2010, respectively. • VSA charged Weld County separately for training new VSA staff. The contract does not allow for such a separate charge. Weld County mistakenly paid the charge and sought reimbursement. • Weld County did not receive invoices for July,August and September, 2010, as required in Specification#4 of contract You visited Weld County in October,2010, and all the above issues were discussed with WCSO staff. You assured them that all the issues were or would be corrected. However, during the week of December 20'2010,it was brought to the attention of the WCSO that on-site VSA employees had not received paychecks from VSA, and that those employees were contemplating not reporting for work at the Courthouse until they received their paychecks. WCSO staff contacted the VSA administration,who confirmed that VSA on-site employees had not been paid and that VSA"was working on the issue." Although the on-site VSA employees were paid the following day, that incident raised concerns in the WCSO that VSA was having difficulty supplying the requisite number of eight(8)uniformed security guards each day. Mr. Sterling Geesaman, Deputy Bureau Chief, WCSO Offender Supervision Bureau, reports that on January 26, 2011, one of the VSA security guards came to work with a doctor's note stating that he was unable to work that day. The on-site VSA supervisor advised WCSO staff that attempts to call for a replacement were unsuccessful. As a result, VSA provided only seven(7)guards on site for January 26, 2011,instead of the contractually required eight(8) guards. On January 27, 2011, WCSO Commander Matt Bridges contacted Lt. Lee Frausel of VSA in reference to the violation. He advised that although he was aware of the situation,he does not have the reserve of people to cover the Weld County contract. Lt. Frausel advised that VSA will be posting a job announcement for this area. The situation of January 26,2011, coupled with the previous listed incidents,are a clear indication that VSA lacks the ability to consistently fulfill its contractual responsibilities to provide security at the Weld County Courthouse. Therefore,this letter is to serve as notice that the Board of County Commissioners will terminate the contract with VSA, pursuant to Condition #3 on the Purchase Order,as of February 15, 2011. Cooke From the Desk of: Sterling Geesaman, Deputy Chief Offender Supervision Bureau (970) 356-4015 Extension 3933 To the Board of County Commissioners, On January 5, 2011 the County Attorney sent a letter to Veteran's Securing America (VSA) president Jerry Gregory advising him of the Counties concerns based on numerous issues and contract violations that have occurred since his company took over the courthouse security contract. Mr. Gregory was advised that that any further issues similar to those stated in the letter, in the opinion of Weld County, impacts VSA's ability to consistently fulfill its contractual duties to provide Courthouse security will result in consideration by the Board of County Commissioners to terminate the contract, pursuant to Condition #3 on the Purchase Order, a copy of which is enclosed. On January 26, 2011 one of the security guards showed up with a doctor's note stating that he could not work. The on-site VSA supervisor advised attempts to call in a replacements was unsuccessful so VSA had only 7 guards on site for the day instead of the 8 guards required by the contract. On January 27, 2011 the Sheriff's Office contacted VSA Lt. Lee Frausel in reference to the violation. He advised he was aware of what took place yesterday, but that he does not have the reserve of people to cover and knows it is a problem. Lt. Frausel advised that VSA is going to renew a job announcement posting for this area. This is a clear indication that VSA lacks the ability to consistently fulfill its contractual responsibilities. The Sheriff's Office is recommending that the contract with VSA for courthouse security services be terminated. Due to this confusion, vendors were called to substantiate the insurance requirements for this bid. Based on this review, the three low vendors appear to have appropriate insurance. There was uncertainty regarding the experience level of Vets Securing American Inc to provide the security needs of this bid. I followed up with an additional call to the company and learned that the company has been providing security in a variety of venues, (Some with armed and others non- armed work force). When questioned about their low bid, they stated, they wanted to get into the Colorado market, and they are able to provide a more economical bid as they are planning to leverage supervision from their recent Ft. Collins bid to offset the cost of this bid. Vets Securing America Inc., has numerous contracts throughout the US and a recent contract for security for the City of Fort Collins, Police Department. I called, John Stevens with the City of Fort Collins, and learned that Ft Collins Police Department recently (April 1, 2010) entered into with Vets Securing American Inc. This bid was also considerably lower than other bids but did meet the bid requirements. The City responded favorable to this service. Based on this further review, I am recommending that the award for security be awarded to Vets Securing American which is the low bidder. The Sheriff's Office looked at each request and used the criteria below to make a recommendation. Cost of Contract over a (3) year period Courthouse Security Experience Reference Responses Compliance with RFP This criteria was applied to the 3 lowest priced proposals, Vets Securing America Inc., Securitas Security Services USA and Wackenhut Corporation. The Sheriff's Office recommends Wackenhut Corporation be awarded the contract to provide security screening for the courthouse. Vets Securing America Inc. was founded in 2008 and has no experience in providing Courthouse Security. They did not provide proof of insurance which was requested in the RFP. Their proposal for services is $674,030.00 for the 3 year contract period. This is approximately $150,000.00 under the next proposal for the same time period. This indicates a lack of understanding of the costs associated with providing the services requested. Securitas Security Services USA has no experience in providing Courthouse Security. Their proposal indicates a price of$824,207.00 for the 3 year contract period. This company stipulated in their proposal that"If selected, they reserve the right to negotiate terms and conditions of the contract to work towards a mutually acceptable contract." This language causes concern as the RFP was specific to what services are requested. Wackenhut Corporation has been in the security business for over 50 years. They are a large company employing over 40,000 persons. They provided all information requested in the RFP. They have (10) current contracts with different jurisdictions throughout Colorado for Courthouse Security Screening. They have been providing Courthouse Security Services throughout the state for over (10) years. Court Administrators and Police executives responsible for the security contract oversight in these jurisdictions, all stated that Wackenhut has done an excellent job in executing their contracts and have been very impressed with the professionalism Wackenhut employees' display to staff and the public. Wackenhut Corporations proposal indicates a price of$870,610.00 for the 3 year contract period and is approximately $46,000 higher then the next lowest price proposal submitted. While their price for services is higher, their experience, employee training, and resource availability far surpasses the other companies evaluated. They have demonstrated that they are qualified and capable to provide the services requested in a professional manner.
