Dear Weld County Commissioners,
Bayswater Exploration & Production, LLC acquired-22,Weld County Oil and Gas Leases on
January 5, 2011, more specifically described on Exhibit "A", attached hereto. Pursuant to
Paragraph 9 of said Oil and Gas Leases, Bayswater Exploration & Production, LLC requests
permission to assign the leases and all of the lands covered thereby to the following parties in the
following proportions effective as of October 1, 2011:
Kerr-McGee Oil & Gas Onshore, LP 100%
PO Box 173779
Denver, CO 80217-3779
Please execute the enclosed copy of this letter in the space provided to indicate your written
approval and consent to the assignment and transfer of the Oil and Gas Lease as provided above.

Hi Ben,
I wanted to let you know I received your Assignment request; however, I am required to collect the associated fee
before I can process the paperwork. Pursuant to the Lease terms, each Lease Assignment must be accompanied by a
$25 fee. Upon receipt of a check in the amount of$575 ($25 X 23 leases), I will present the Consent Letter to the Board
for approval and signature.
