HomeMy WebLinkAbout20110879.tiff RESOLUTION RE: APPROVE AGREEMENT FOR RIGHT-OF-ENTRY ON WELD COUNTY PROPERTY TO SURVEY FOR POSSIBILE LOCATION OF PIPELINE AND AUTHORIZE CHAIR TO SIGN - DCP MIDSTREAM, LP WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to Colorado statute and the Weld County Home Rule Charter, is vested with the authority of administering the affairs of Weld County, Colorado, and WHEREAS, the Board has been presented with an Agreement for Right-of-Entry on Weld County Property to Survey for Possible Location of Pipeline between the County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld County, and DCP Midstream, LP, 3026 4th Avenue, Greeley, Colorado 80631, commencing upon full execution, with further terms and conditions being as stated in said agreement, for the property described as follows, and Part of the SE1/4SW1/4 of the SW1/4SE1/4, Section 30, Township 5 North, Range 63 West of the 6th P.M., Weld County, Colorado WHEREAS, after review, the Board deems it advisable to approve said agreement, a copy of which is attached hereto and incorporated herein by reference. NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld County, Colorado, that the Agreement for Right-of-Entry on Weld County Property to Survey for Possible Location of Pipeline between the County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld County, and DCP Midstream, LP, be, and hereby is, approved. Box 758, 915 10th Street, Greeley, CO 80632, hereinafter referred to as "Weld County," hereby grants to DCP Midstream, LP, whose address is 3026 4`h Avenue, Greeley, CO 80631, hereinafter referred to as "DCP," including its employees, agents and contractors, a right-of-entry to perform survey work upon property owned by Weld County and described as: Part of the SESW/4 and SWSE/4 Section 30, Township 5 North, Range 63 West, 6th P.M., identified as Parcel # 096530300009 in the Weld County Assessor's office("Property"), according to the following terms and conditions: 1. DCP is in need of performing certain survey work on Property to determine possible location for a pipeline. Weld County hereby grants to DCP an irrevocable and non- assignable right to enter in,on,over and across Property to perform said survey work. 2. While performing said survey work, DCP to take all necessary measures to minimize effects to the Property, including, but not limited to, ensuring that all survey equipment and markers are removed upon DCP exiting the Property, such that the Property is left in as near a status as possible to its original condition. 3. Weld County shall have the right to terminate this Agreement at any time if it determines, in its sole discretion,that the survey work performed by DCP is interfering with Weld County's use of the Property. 4. All tools, equipment, and other personal property taken upon or placed upon the land by DCP shall remain property of DCP and may be removed by DCP at any time within a reasonable period after the termination of this Agreement. 5. If any action of DCP employees or agents in the exercise of these right-of-entry results in damage to the Property, DCP shall be responsible for repair of such damage or an appropriate settlement with Weld County. 6. DCP shall furnish to Weld County a Certificate of Insurance for commercial general liability prior to its entry onto the Property. "Weld County, the Board of County Commissioners of Weld County, its officers and employees," shall be named as Additional Insureds on said Certificate. Work shall not commence until DCP has submitted to the County and received approval thereof of said Certificate of Insurance showing compliance with the following types and coverage of insurance. Comprehensive General Liability Insurance: to include products liability, completed operations, contractual, broad from property damage and personal injury. Nothing expressed or implied in this Agreement is intended or shall be construed to confer upon or to give to, any person other than the parties, any right, remedy, or claim under or by reason of this Agreement of any covenant, terms, conditions, or provisions hereof. All covenants, terms, conditions, and provisions in this Agreement, by and on behalf of the Weld County and DCP, shall be for the sole and exclusive benefit of the Weld County and DCP. c. Severability. If any provision of this Agreement is determined to be unenforceable or invalid for any reason, the remainder of this Agreement shall remain in effect, unless otherwise terminated in accordance with the terms contained herein. d. Authorization. Each party represents and warrants that it has the power and ability to enter into this Agreement, to grant the rights granted herein and to perform the duties and obligations herein described. e. No Third Party Beneficiary Enforcement. It is expressly understood and agreed that the enforcement of the terms and conditions of this Agreement, and all rights of action relating to such enforcement, shall be strictly reserved to the undersigned parties and nothing in this Agreement shall give or allow any claim or right of action whatsoever by any other person not included in this Agreement. The Production Facility shall remain in place until such time as said wells are shut in in accordance with the rules andregulations as promulgated by the Colorado Oil and Gas Conservation Commission (hereinafter referred to as the "Colorado OGCC"). r- 2. N O 3. WEED CONTROL AND MAINTENANCE OF ACCESS ROAD: Gerrity agrees to control weeds on the Property during the time it uses and maintains oo athe property for said Production Facility. Weed control shall consist of either the use of pre-emergent weed killer or the reseeding of Property with a grass or other crop co which will have the effect of eliminating weeds. 4. INDEMNIFICATION AND HOLD HARMLESS: N_ Gerrity hereby agrees to indemnify and hold harmless County, its officers, and N employees from all claims, damages, or costs arising from Gerrity's negligent or unreasonable use of Property which is not due to any act or omission of County, its officers,or employees. 5. NO THIRD PARTY BENEFICIARY ENFORCEMENT: It is expressly understood and agreed that the enforcement of the terms and conditions of this Agreement, and all rights of action relating to such enforcement, shall be strictly reserved to the undersigned parties and nothing contained in this Agreement shall give or allow any claim or right of action whatsoever by any other person not included in this Agreement. SEVFRABILITY: If any term or condition of this Agreement shall be held to be invalid, illegal, or unenforceable, this Agreement shall be construed and enforced without such provision to the extent that this Agreement is then capable of execution within the original intent of the parties hereto. 7. MODIFICATION AND BREACH: This Agreement contains the entire agreement and understanding between the parties to this Agreement and supersedes any other agreements concerning the subject matter of this transaction,whether oral or written. No modification,amendment,novation, renewal,or other alteration of or to this Agreement and the attached exhibits shall be deemed valid or of any force or effect whatsoever,unless mutually agreed upon in writing by the undersigned parties. No breach of any term,provision, or clause of this agreement shall be deemed waived or excused, unless such waiver or consent shall be in writing and signed by the party claimed to have waived or consented. Any consent by any party hereto or waiver of, a breach by any other party,whether express or implied, shall not constitute a consent to, waiver of, or excuse for any other different or subsequent breach. We now have found the need to put an 8'x 15' receiver inside the tank battery on Weld County property. It will be placed next to existing equipment (tank battery) of the producer. It will be within the tank battery site, but I told you we wouldn't need any above ground appurtenances and in fact we do. This doesn't change anything else we are trying to do, and we will give additional compensation for this receiver site. The receiver is a safety mechanism used to keep the line free and clear of liquids. I will send you a formal survey so you can see it as soon as I have it from our surveyor.
