SPECIAL WARRANTY DEED
THIS DEED, made as of the 1st day of May, 2007, by and between
TWIN VIEW ESTATES, LLC, a Colorado Limited Liability Company, the
mailing address of which, for purposes of this Special Warranty
Deed, is 6933 Sedgwick Drive, Fort Collins, Colorado 80525
("Grantor") and MERINO CONSERVATION GROUP, LLC, a Colorado Limited
Liability Company, the mailing address of which, for purposes of
this Special Warranty Deed, is 6933 Sedgwick Drive, Fort Collins,
Colorado 80525 ("Grantee") .
WITNESSETH:
That Grantor, for and ir consideration of the sum of Ten
Dollars ($10. 00) and other good and valuable consideration, to
Grantor in hand paid by Grantee, the receipt of which is hereby
confessed and acknowledged, :ias granted, bargained, sold and
conveyed, and by these presents does hereby grant, bargain, sell,
convey and confirm unto Grartee, its successors and assigns,
forever, that certain real property, located in the County of
Weld, State of Colorado (the "Property") , described as :
Lot C, Amended Recorded Exemption No. 1061-05-2
AMRE-3983, according to the map recorded March 8,
• 2007, at Reception No. 3460801, being a portion
of the West Half of Section 5, Township 4 North,
Range 68 West of the 6th P.M. , Weld County,
Colorado.
TOGETHER with all and singular the hereditaments and
appurtenances thereto belonging, or in anywise appertaining, and
the reversion and reversions, remainder and remainders, rents,
issues and profits thereof; and all estate, right, title,
interest, claim and demand whatsoever of Grantor, either in law or
equity, of, in and to the above bargained premises, with the
hereditaments and appurtenances .
TO HAVE AND TO HOLD the said premises above bargained and
described with the appurtenances unto Grantee, its successors and
assigns, forever. And Grantor, for itself and its successors and
assigns, does covenant and agree that it shall and will WARRANT
AND FOREVER DEFEND the above-bargained premises in the quiet and
peaceable possession of Grantee, its successors and assigns,
against all and every person or persons claiming the whole or any
part thereof, by, through or under Grantor, except and subject to
general property taxes for the year 2007 and subsequent years;
all easements and rights-of-way in place or of record; all oil,
gas, gravel or other mineral leases, reservations or exceptions of
record; any restrictions, reservations or exceptions contained in
any United States or State of Colorado Patents of record; all
zoning and other governmental rules and regulations; and

• covenants, conditions, restrictions and other agreements of
record, if any.
GRANTOR EXPRESSLY EXCEPTS AND RESERVES unto itself and its
successors and assigns, forever, all oil, gas and other minerals
(except sand and gravel, which are conveyed herewith) in, on,
under and that may be produced from the Property, together with
the rights of ingress and egress at all times for the purpose of
mining, drilling, exploring, operating and developing said lands
for oil, gas and other minerals, and storing, handling,
transporting and marketing same therefrom.
Grantor, for itself and its successors and assigns, does
covenant and agree to and with Grantee, its successors and
assigns, that Grantee, its successors and assigns, shall and may
lawfully and at all times hereafter peaceably and quietly have,
occupy, possess and enjoy the premises hereby granted, or intended
so to be, with the appurtenances, without the lawful hindrance or
molestation of Grantor, its successors and assigns, or of any
other person or persons claiming by, through or under Grantor.
IN WITNESS WHEREOF, Grantor has executed this Special
Warranty Deed the day and year first above written.
