Enclosed for Board approval is an Intergovernmental Agreement for RecreationalEducation
Services for Colorado Works Summer Activities Program between the Weld County Department of
Human Services and the City of Greeley. Please place this Agreement on the Consent Agenda.

INTERGOVERNMENTAL AGREEMENT WITH WELD COUNTY DEPARTMENT OF
COUNTY COMMISSIONERS ON BEHALF OF THE WELD COUNTY DEPARTMENT
OF HUMAN SERVICES BETWEEN THE AND THE CITY OF GREELEY,
COLORADO.
THIS AGREEMENT is made and entered into this day of June 2010, by and
between the Board of County Commissioners of the County of Weld, State of Colorado, sitting
on behalf of the Weld County Department of Human Services, hereinafter referred to as "Human
Services" and the City of Greeley, 1000 10111 Street, Greeley, Colorado, hereinafter referred to as
"Summer Provider".
WIfNESSETH:
WHEREAS, the Human Services provides supporting services to eligible children and
juveniles who need educational and/or recreational activities as outlined in its Colorado Works
Plan for Weld County;
WHEREAS, Human Services is in need of recreational and educational providers to
assist Human Services' Summer Activities program in providing services to eligible children and
juveniles;
WHEREAS, Summer Provider has educational and/or recreational activities available
for eligible children and juveniles of Human Services.
NOW, THEREFORE, in consideration of the mutual promises and covenants contained
herein, the parties hereto agree as follows:
I. TERM: The term of this Agreement shall be from April 1, 2010,through and
until December, 2010.
2. SERVICES PROVIDED BY SUMMER PROVIDER: Summer Provider agrees
to provide educational and/or recreational services for eligible children and youth
involved in the Summer Activities Program according to enrollment activities of
the Summer Provider.
3. COMPENSATION: Human Services agrees to pay Summer Provider for
educational and/or recreational services performed pursuant to this Agreement at
the rate not to exceed $75 per participant per term of the Agreement and at a rate
charged to other non-Human Services participants receiving the same
recreational or educational services. The parties agree that the service rate as
contemplated herein shall constitute the entire amount of compensation due to
the Summer Provider for any work performed hereunder.
4. INDEPENDENT CONTRACTOR: Summer Provider agrees that it is an
independent contractor and will not become an employee of Human Services, nor
is the Summer Provider entitled to any employee benefits under I luman Services
a result of the execution of this Agreement.

5. INDEMNIFICATION: To the extent permitted by law, each arty agrees to
indemnify and save the other party harmless from any and all claims,
demands, costs and expenses of every kind whatsoever including reasonable
attorney's fees for the defense thereof, arising from the indemnifying parties
wrongful act or negligence in or about the premises.
6. NON-ASSIGNMENT. Summer Provider may not assign or transfer this
Agreement, any interest therein or claim thereunder, without the prior written
approval of Human Services.
7. TERMINATION: Either party may terminate this Agreement at any time by
providing the other party with a ten (10) day written notice thereof Furthermore,
this Agreement may be terminated at any time without notice upon a material
breach of the terms of the Agreement.
8. TIME OF THE ESSENCE: Time is of the essence in each and all of the
provisions of this Agreement.
9. ENTIRE AGREEMENT/MODIFICATION: This Agreement constitutes the
entire understanding between the parties with respect to the promises and
covenants made therein. No modification of the terms of this Agreement shall be
valid unless made in writing and agreed to by both parties.
10. NON-APPROPRIATION: No portion of this Agreement shall be deemed to
create an obligation on the part of Human Services to expend funds not otherwise
appropriated in each succeeding year.
11. WAIVER OF IMMUNITIES/THIRD PARTY LIABILITY: No portion of this
Agreement shall be deemed to constitute a waiver of any immunities of Summer
Provider or Human Services or their officers or employees may possess, nor shall
any portion of this Agreement be deemed to have crated a duty of care with
respect to any persons other than Summer Providers or Human Services and not a
party to this Agreement.
IN WITNESS WHEREOF, the parties hereto have signed the date and year set forth above.

RESOLUTION 97 ,2010
A RESOLUTION OF THE GREELEY CITY COUNCIL AUTHORIZING THE MAYOR
TO ENTER INTO AN INTERGOVERNMENTAL AGREEMENT WITH THE WELD COUNTY
DEPARTMENT OF COUNTY COMMISSIONERS ON BEHALF OF THE WELD COUNTY
DEPARTMENT OF HUMAN SERVICES.
WHEREAS, Weld County Department of Human Services provides supportive services
to eligible children and juveniles as outlined in its Colorado Works Plan for Weld County; and
WHEREAS, Weld County Department of Human Services is in need of recreational
facilities to assist in their Summer Activities program; and
WHEREAS, the term of said agreement shall be from April 1, 2010 to December 31,
2010; and.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF
GREELEY, COLORADO:
Section 1. The Mayor is hereby authorized to enter into an Agreement with Weld
County Department of Human Services. A copy of said Agreement is hereto attached and
incorporated herein by reference.
Section 2. This Resolution shall become effective immediately upon its passage,as provided
by the Greeley City Charter.
PASSED AND ADOPTED, SIGNED AND APPROVED THIS 21st day of December ,
2010.
