The initial meeting of the Members was held on March 21, 1995
at 10: 30 MST in Boulder, Colorado in person.
The following persons, constituting the initial members of the
company were present, which satisfied the quorum requirements:

David Smoljan was elected chairman of the meeting and Eric
Schunk, as interim secretary, presented and read a waiver notice of

OPERATING AGREEMENT
OF
AKSEL PROPERTIES. L.L.C.
A LIMITED LIABILITY COMPANY
The undersigned natural persons, who are more than eighteen
years of age, hereby establish a limited liability company under
the name hereinabove pursuant to the Colorado Limited Liability
Company Act. Unless otherwise contravened or superseded by
statutory mandate, these Articles shall control and direct all
aspects of the relationship of the Company's members to the Company
and to each other and shall control the operation of the Company
throughout its duration.
Article I: Name of Limited Liability Company. The name of the limited
liability company is Aksel Properties, L.L.C. (hereinafter referred
to as "Company" . )
Article II: Period of Duration. The period of duration of the Company
shall be perpetual.
Article III: Powers, Rights, and Purposes of the Company.
The Company shall have and may exercise all of the rights,
powers and privileges now or hereafter conferred upon limited
liability companies organized under the laws of Colorado. In
addition, the Company may do everything necessary, suitable or
proper for the accomplishment of any of its corporate purposes.
The Company may conduct part or all of its business in any other
part of Colorado, of the United States or the world and may hold,
purchase, lease and convey real and/or personal property in any of
such places.
Article IV: Rights of Members and Managers; Quorum.
(a) The initial members of the Company are David J. Smoljan
and Eric H. Schunk, Esq. and each of their interest in the equity
of the Company shall be according to the capital contributed to the
Company held in the Company account. Additional members may be
admitted to the Company upon application and unanimous vote of the
existing members. Any member may resign from the Company at any
time; however, such member's rights, liabilities, obligations upon
resignation shall be controlled by Colorado law and the terms and
conditions set forth within this Operating Agreement.
(b) Any member may transfer or assign his membership in the
Company to any person or any legal entity recognized under Colorado
law. Any such assignment shall be in writing, a copy of which must
be delivered to the manager of the Company within fifteen days
following the date of execution of the assignment.
(c) Prior to executing any such transfer or assignment, of
following written notice of transfer as hereinabove set forth, the
disposing member shall petition the Company for formal approval of
the transfer or assignment. Provided that all other then existing
members vote unanimously to approve such transfer or assignment,
the transferee or assignee shall receive and be entitled to
exercise all of the rights and privileges of the disposing member,
including membership in the Company and the right to vote. If the
existing members do not unanimously approve the transfer or
assignment, then the transferee or assignee shall not become a
member of the Company, and shall be entitled only to the share of
the Company profits, income and distributions that the disposing
member would have been entitled to pursuant to the Operating
Agreement or any contract with the Company.
(d) A disposing member shall not be relieved of any
contractual or statutory duties that he may owe the Company at the
time of transfer or assignment of such obligations.
(e) Any member shall have the right to inspect and copy any
and all records pertaining to the Company, including but not
limited to, tax records and tax returns, minutes of meetings, bank
records, and any contracts or other documents creating legal
relationships between the members and the Company or the Company
and third parties.
(f) Written notice stating the place, day and hour of the
meeting and, in the case of a special meeting, the purpose for
which the meeting is called shall be delivered not less than ten
days nor more than fifty days before the date of the meeting,
either personally or by mail, by or at the direction of any manager
or person calling the meeting to each member of record entitled to
vote at such meeting.
(g) Any member shall be deemed to have waive notice of any
meeting if he attends such meeting; such attendance shall further
constitute a waiver of any objection to lack of notice or defective
notice unless such objection is stated at the outset of such
meeting.
Article V: Number of Managers. The number of the initial Board of
Managers of the Company shall be one, subject thereafter to the
provisions of this Operating Agreement and the Company Managers,
but shall be only limited by the majority of the elected managers
and the requirements set forth in the Colorado Limited Liability
Company Act:

Article V: Distributions and Finance.
(a) The initial capital contribution of a member may be in
the form agreed upon by all of the members, including cash,
property or services, or .a promissory note or other obligation to
contribute cash or property or to perform services. A separate
statement reflecting capital contributions shall be prepared by the
Company accountant or attorney and attached with the first annual
minutes.
(b) Profits and losses of the Company shall be shared by and
allocated to the members based upon the actual value of each
member's total contributions to the Company or as to each member's
equitable interest in the Company. The records of contribution or
equity interest, as prepared by the Company accountant or attorney
and maintained in the Company minute book, shall be the sole and
conclusive reference as to such values or allocations.
(c) Distributions of cash and other assets of the Company
shall be made on the basis of the actual value, as stated in the
Company records, of the contributions made or equity held by each
member.
(d) Upon resignation from membership in the Company, such
member shall be entitled to receive, within 60 days after
resignation, the fair market value of his membership interest in
the Company as of the date of resignation based upon his right to
share in distributions from the Company.
(e) A member may not receive a distribution from the Company
to the extent that such distribution, after giving effect to the
distribution, and all liabilities of the Company, other than
liabilities to members on account of their membership interests,
would exceed the fair market value of the Company assets. If the
Company lacks the necessary liquidity to pay a resigning member, it
may elect to pay such member by means of an unsecured promissory
note payable in annual installments up to ten years at any annual
interest rate of one point below the prime rate then being charged
by BankOne of Boulder, or its corporate successor.
(f) If a member has received the return of any part of his
contribution without violation of the Operating Agreement or the
Colorado Limited Liability Company Act, he shall be liable to the
Company for a period of six years thereafter for the amount of
returned contribution, but only to the extent necessary to
discharge the Company's liability to creditors who extended credit
to the Company during the period the contribution was held by the
Company.

(g) If a member has received the return of any part of his
contribution in violation of the Operating Agreement or the
Colorado Limited Liability Company Act, he shall be liable to the
Company for a period of six years thereafter for the amount of
contribution wrongfully returned.
Article VI: Name and Address of Registered Agent The address of the
initial registered office of the Company is 1877 Broadway, Suite
601, Boulder, Colorado 80.302 . The name of the registered agent at
such address is Eric H. Schunk, Esq.
Article VII: Management of Company. The following provisions are
inserted for the management of the business and for the conduct of
the affairs of the Company, and the same are in furtherance of and
not in limitation or exclusion of the powers conferred by law.
(a) The business and affairs of the Company shall be managed
by its initial members: New members shall not become managers
unless by the additional unanimous vote of the then existing
members. By unanimous vote of the members, management of the
Company may be delegated to one or more persons appointed to such
position for such terms, and upon such conditions and limitations,
as members may approve in writing. Unless otherwise specified,
managers, elected by members, shall hold their management position
for a period of one year.
(b) The members, by vote or concurrence of a majority of the
outstanding memberships of the Company, entitled to vote on the
subject matter, may take any action which, except for this
provision, would require a two-thirds (2/3) vote under the Colorado
Limited Liability Company Act, if applicable.
(c) An annual meeting of members shall be held on the third
Friday of April of each year, or as soon thereafter as the members
may conveniently assemble. Special meetings of members may be
called at any time or times by any of the company managers, or by
at least one-half of the then members who are eligible to vote.
(d) Unless otherwise ordered by a court of competent juris-
diction, at all meetings of members, the majority (represented
numerically as 50% + 1) of those admitted members, as that term is
defined by the Company Managers and/or provisions of this Operating
Agreement, entitled to vote at such meeting, represented in person,
by mail or by proxy, shall constitute a quorum.
(e) Any vacancies occurring in the Board of Managers may, but
not need be, filled by the majority vote and appointment of the
members entitled to vote. If such vacancy is filled, the appointed
manager shall serve the unexpired term of his predecessor in
office. A manager chosen to fill a position resulting from an
increase in the number of managers shall hold office until the next
annual meeting of the members or until his successor has been
elected and qualified.

• (f) Any manager may be removed from office at any annual
meeting or at a special meeting called for that purpose, upon a
showing that (i) such manager has acted in violation of the
authority and direction delegated to him by the other managers;
(ii) such manager has acted in violation of the Articles of
organization or in violation of this operating Agreement; or (iii)
such manager has acted in a manner that is contrary to the best
interests of the Company. Removal of a manager shall be only upon
the unanimous vote (excluding any manager/member who is the subject
of removal) of the members entitled to vote.
(g) The Company shall conduct all banking operations through
such banks or other financial institutions as the managers may
determine. The managers may designate one or more of their number
to hold check writing authority.
(h) The Company may borrow funds, and carry an aggregate debt
or line of credit in the amount up to $500, 000. 00 upon the
initiative and signature of one or more managers, as the Board of
Managers may agree. Borrowing in excess of the $500, 000. 00 limit
shall require the approval of the majority of members by special
meeting.
Article VIII: Additional Powers and Limitations.
(a) Transactions with Interested Persons. No contract or
other transaction between the Company and one or more of its
managers, or between the Company and any other corporation,
partnership, association or other organization in which one or more
of its managers, or members are directors and/or officers or have
a financial interest, shall be void or voidable solely for that
reason, or solely because the manager and/or member is present at
or participates in the meeting of the Board of Managers or
committee thereof which authorizes, approves or ratifies the
contract or transaction, or solely because his or their votes are
counted for such purpose, if (i) the material facts as to his or
their relationship or interest and as to the contract or trans-
action are disclosed or are known to the Board of Managers or the
committee, and the Board of Managers or committee in good faith
authorizes, approves or ratifies the contract or transaction by the
affirmative vote of a majority of the disinterested managers, even
though the disinterested managers are less than a quorum; or (ii)
the material facts as to his or their relationship or interest and
as to the contract or transaction disclosed or are known to the
members and/or managers entitled to vote thereon, and the contract
or transaction is specifically authorized, approved or ratified in
good faith by vote of the members; or (iii) the contract or
transaction was fair to the Company. Common or interested managers
may be counted in determining the presence of a quorum at a meeting
of the Board of Managers or the committee thereof which authorizes,
approves or ratifies the contract or transaction.

(b) Indemnification. The Company shall indemnify, to the
extent permitted by law, any person who is or was a manager,
member, agent, fiduciary or employee of the Company against any
claim, liability, or expense arising against or incurred by such
person as a result of actions reasonable taken by him at the
direction of the company. The Company shall further have the
authority to the full extent permitted by law to indemnify its
managers, members, agents, fiduciaries and employees against any
claim, liability or expense arising against or incurred by them in
all other circumstances and to maintain insurance providing such
indemnification.
(c) Liability of Managers. No manager of this Company shall
have any personal liability for monetary damages to the Company or
its members for breach of his fiduciary duty as a manager except
that this provision shall not eliminate or limit the liability of
a manager to the Company or its members for (i) any breach of the
manager's duty of loyalty to the Company or its member, (ii) acts
or omissions not in good faith or which involve intentional
misconduct or a knowing violation of the law, (iii) acts specified
in and in contravention of C.R.S. Section 7-5-114 , or (iv) any
transaction from which the manager derives an improper personal
benefit.
