RE : AUTHORIZATION TO SIGN NATURAL GAS DIVISION ORDER REGARDING
STREAM , INC . , C - 111 PETROLEUM CENTER , SAN ANTONIO , TEXAS
78209 , LOCATED IN WELD COUNTY , COLORADO .
WHEREAS , the Board of County Commissioners of Weld County ,
Colorado , pursuant to Colorado statute and the Weld County Home
Rule Charter , is vested with the authority of administering the
affairs of Weld County , Colorado , and
WHEREAS , Weld County , Colorado , is the holder of a certain
lease with Stream , Inc . Said lease covers land more particularly
described as follows , to -wit :
Southwest of the Northeast Quarter ( SW NE ) of
Section 23 , Township 11 North , Range 56 West
in Weld County , Colorado .
WHEREAS , Stream , Inc . , has submitted. a Natural Gas Division
Order on the subject property .
NOW , THEREFORE , BE IT RESOLVED by the Board of County Com-
missioners of Weld County , Colorado , that said Board does hereby
execute the Natural Gas Division Order and further authorizes the
Chairman of the Board of County Commissioners to sign the same .
The above and foregoing Resolution was , on motion duly made
and seconeded , adopted by the following vote on the 10th day of
May , A . D . , 1978 .

NATURAL GAS DIVISION ORDER
April ,17, 1978 TO: STREAM, Inc. ,
C-111 Petroleum Center,
San Antonio, Texas 78209
The undersigned, and each of them guarantee and warrant that they are the
legal owners, subject to all valid oil and gas leases of record and gas
purchase contracts, if any in the proportions set out on the reverse hereof,
of all the gas produced from the following lands designated as the
#1 Weld County-Wheeler Estate and described as:
Southwest of the Northeast Quarter (SW NE)
Section 23 , Township 11 North , Range 56 West in Weld • County,
State of Colorado, and commencing at 7 a.m. the first day of production,
1978, subject to the covenants appearing below, which same are binding upon
the undersigned, their heirs, devisees, successors, legal representatives
and assigns, you are authorized until further written notice to receive gas
therefrom, giving credit as directed on the reverse hereof.
The following covenants are also part of this division order and shall be
binding on the undersigned, their successors, legal representatives and assigns:
FIRST: The gas received and purchased hereunder shall become your property
as soon as the same is received into your custody or that of any carrier
designated by you.
S E:OND: Settlements and payments shall be made monthly for gas received and
purchased during the preceding month, by check, to the respective parties at the
addresses given, for the amount of such purchase price due said parties respect-
ively, less any taxes required by law to be deducted and paid by you ds purchaser,
expert that you are authorized to withhold payment due any individual payee until
at least fifteen dollars ($15.00) has accumulated to the credit of such payee,
it b .ing agreed, however, that regardless of the amount so accumulated to the
credit of such payee, you will, in December of each year, make payment of the
full amount so credited to each payee for gas purchased during the previous
twelve months.
THIRD: Satisfactory abstracts or other evidence of title will be furnished
you at any time on demand. In the event of failure to furnish evidence of title,
or in the event of any dispute or question at any time concerning the title of
said land and/or the gas produced therefrom, you are authorized to withhold the
proceeds of all gas received and run, without interest, until such dispute, defect,
or, question of title is corrected or removed, to your satisfaction, or until
indemnity satisfactory to you has been furnished; and in the event any action or
suit is filed in any court affecting the title to the land above described or the
no produced therefrom, to which any of the undersigned is a party, written notice
of the filing of such suit or action shall be immediately furnished you by the
undersigned, stating the court in which the same is filed and the title of such
suit or action. You will not be responsible for any change of ownership in the
absence of actual notice and satisfactory proof thereof. You are hereby relieved
of any responsibility for determining when any money or other payments, payable
from any interest herein set forth, have been satisfied or discharged, and the
undersigned, whose interests are affected by such money or other payments, agree
to give smitten notice to you at your office in San Antonio, Texas, of the satis-
faction or discharge of such money or other payments, and to hold you harmless
from all loss, cost, expense, or damage that may result from any overpayment in
the absence of such written notice.
FOURTH: This division order shall be valid and binding on each party hereto as
soon as signed by said party regardless of whether or not any of the other named
owners have so signed. This division order may be executed in any number of counter-
parts each of which shall be bound thereby in the same manner and with like effect
as if every party executing a counterpart hereof had joined in and executed the
same counterpart hereof.
FIFTH: Working interest owners and/or operators who sign this division order,
and each of them guarantee and warrant, for your benefit and that of any pipeline
or other carrier designated by you to run or transport said gas that all gas
tendered hereunder has been or will be produced in accordance with applicable
Jaws and official rules and regulations.
SIXTH: Incorporated herein by reference are the Natural Gas Division Orders
issued by Stream, Inc. to Kansas-Nebraska Natural Gas Company, Inc. , dated
April 1978 for each referenced well.
SEVENTH: In the event the price received by Operator for the sale of gas here-
under is in excess of permissible area or guideline rates established by the
Federal Energy Regulatory Commission and such excess is subject to refund upon a
subsequent finding by the Commission that such excess is unlawful, Operator is
hereby authorized, at its election, to withhold, without interest, that portion
of the proceeds accruing hereunder which is subject to refund until such time as
the refund obligation is eliminated by order of the Federal Energy Regulatory
Commission or by final judgement of a court of competent jurisdiction.

Division Order covering the lease or unit named above is enclosed
in duplicate. If your interest is correctly shown, please execute
and/or secure the execution of the original order in the space pro-
vided and return it to this company at C-lit Petroleum Center, San
Antonio, Texas 78209, retaining the copy for your file.
If the interest in question is in the name of a married person, then
both said person and his or her spouse should execute the Division
Order. If the interest in question is in the name of an unmarried
person, then that person's single status should be recited after
the signature of said person on the Division Order. The signature
of each person executing the order individually should be witnessed
by two competent witnesses.
If the interest is owned by a corporation, it should be executed by
the proper official, attested to and sealed. If the order is executed
by an attorney in fact, a photographic copy of the executed Power of
Attorney should be enclosed when the order is returned.
