Re: Resignation of RTD Board Member Kathi Williams, RTD Director District K
Ladies and Gentlemen;
Adams and Weld Counties have reviewed the voter precincts sent by the Regional Transportation District
on June 20, 2012 for Director District K and have provided the number of eligible electors in their
respective counties. Adams County has provided information that it has 100,272 eligible electors in
District K. Weld County has provided information that it has nine eligible electors in Director District K.
Kathi Williams resigned her position as RTD Board Director, Director District K effective August 1,
2012.

C.R.S. 32-9-112 provides that:
(1) A change of residence of a member of the board to a place outside the director
district from which the member was elected shall automatically create a vacancy on the
board. Upon a vacancy occurring for any reason other than normal expiration of a term,
the vacancy shall be filled by appointment by the board of county commissioner of the
county wherein the director is located.... In the case of a director district which contains
territory in two or more counties the vacancy shall be filled by appointment by the board
of county commissioners of the county wherein the largest number of eligible electors of
the director district reside...
(2) Any director appointed shall serve until the next regular election, at which time the
vacancy shall be filled by election for any remaining unexpired portion of the term.
Based on the information provided,the Adams County commissioners are the appropriate body to appoint
a new RTD Board Director for District K.
As Director Williams was appointed to replace Kenneth Riley who was elected in 2010, the appointee
will serve through December 31,2012. A new election must be held in 2012 for the vacancy, and the
director elected in 2012 will serve through December 31,2014 which would have been the end of
Director Riley's term.
