I _______maneetas . . iiiI � lb . • C. , .. i . r . • ��; t. :�„ rA t.• . i • After recording return to: Rose Rock Midstream 3030 NW Expressway,Ste. 1100 Oklahoma City,OK 73112 PARTIAL ASSIGNMENT OF SURFACE LEASE This Partial Assignment of Surface Lease ("Assignment"), dated this 23 day of October, 2012 ("Effective Date"), is made and entered into by Noble Energy, Inc., whose address is 1625 Broadway, Suite 2200,Denver,Colorado 80202("Assignor"), and Wattenberg Holding,LLC,whose address is 3030 NW Expressway, Ste. 1100,Oklahoma City,Oklahoma 73112("Assignee"). WHEREAS,Assignor is the lessee under that certain Surface Lease between Leonard O.Ball and Tommie L. Ball ("Owner") and Noble Energy, Inc., dated May 4, 2012, a memorandum of which was filed of record in the Weld County, Colorado at Reception Number 3860324 ("Lease") whereby Owner leases to Assignor surface rights to approximately 80 acres more fully described in Exhibit A to the Lease ("Leased Property"); and WHEREAS,Assignor desires to assign to Assignee the Lease as it relates to that specific portion of the Leased Property as described more fully below as the"Assigned Property";and WHEREAS,Owner desires to consent to the assignment of the Assigned Property from Assignor • to Assignee; NOW,THEREFORE,for good and valuable consideration,the receipt and adequacy of which are hereby acknowledged, Assignor does hereby and by these presents GRANT, BARGAIN, SELL TRANSFER, SET OVER AND ASSIGN unto Assignee, subject to the further provisions hereof, the Lease as it relates to that certain portion of the Leased Property as described hereinafter and as described on Exhibit A attached hereto and made a part hereof: Township 8 North, Range 63 West.6i1'P.M.,Weld County State of Colorado Section 25: N2E2E2NE4 (+/-20.014 acres) ("Assigned Property"). This Assignment and the interest conveyed herein are subject to the following: 1. All the terms and provisions of the Lease to the extent of the Leased Property and Assignee agrees to be bound by and assumes all of its respective obligations under and pursuant to the Lease to the extent of the interest assigned herein. 2. All assignments, conveyances, liens or agreements of record in the public records of Weld County,Colorado. • EXHIBIT ft -e. • 3. Assignor and Assignee agree to execute such other documents as may be necessary to effectuate this Assignment. 4. This Assignment shall bind and inure to the benefit of and be binding upon Assignor and Assignee and their respective successors and assigns. 5. Assignee agrees to defend, indemnify and hold harmless Assignor, its directors,officers, employees,agents,successors and assigns from and against any and all suits,claims, judgments, loss,cost,damage,expense(including reasonable attorneys' fees and costs)or liability arising directly and indirectly from(i)Assignee's failure to perform the obligations under the Lease to the extent it applies to the Assigned Property on or after the date of execution of this Assignment; (ii)any condition or activity on,or use of the Assigned Property which gives rise to any cost,fee,penalty or claim relating to the environmental or similar effects of such condition,activity,or use,and(iii)any reclamation,remediation or clean up in any way related to the Assigned Property. 6. If at any point during the Term of the Lease,Assignee in fact ceases using the Assigned Property as a site for an oil and gas pipeline station,which shall include,but not be limited to, use for tanks,pumps,compressor's and other appurtenances,then Assignee shall relinquish its leasehold rights in the Assigned Property and further reassign all right,title and interest to the Assigned Property to Assignor at no cost or expense to Assignor. Should Assignee cease • to use the Assigned Property as a site for an oil and gas pipeline station,then Assignee shall have adequate time to remove its equipment and facilities from the Assigned Property and shall reclaim and restore the Assigned Property prior to reassigning the Assigned Property to Assignor. 7. The Owner expressly consents to the partial assignment of Assignor's rights in the Assigned Property under the Lease to Assignee. 8. Assignor expressly reserves a permanent access easement through and across the Assigned Property as described on Exhibit B attached hereto and made a part hereof. TO HAVE AND TO HOLD the Assigned Property unto Assignee and its successors and assigns forever,together with all rights and privileges appurtenant thereto.
