RE: APPROVE SIXTH AMENDMENT TO AMBULANCE SERVICES AGREEMENT AND
AUTHORIZE CHAIR TO SIGN-BANNER HEALTH, DBA NORTH COLORADO MEDICAL
CENTER
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, the Board has been presented with the Sixth Amendment to the Ambulance
Services Agreement between the County of Weld, State of Colorado, by and through the Board of
County Commissioners of Weld County, on behalf of the Weld County Paramedic Service, and
Banner Health, dba North Colorado Medical Center, commencing on April 1, 2012, and ending
May 31, 2012, with further terms and conditions being as stated in said amendment, and
WHEREAS,after review,the Board deems it advisable to approve said amendment, a copy
of which is attached hereto and incorporated herein by reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld
County, Colorado, that the Sixth Amendment to the Ambulance Services Agreement between the
County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld
County, on behalf of the Weld County Paramedic Service, and Banner Health, dba North Colorado
Medical Center, be, and hereby is, approved.
BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized to
sign said amendment.
The above and foregoing Resolution was, on motion duly made and seconded, adopted by
the following vote on the 4th day of April, A.D., 2012, nunc pro tunc April 1, 2012.

SIXTH AMENDMENT TO
AMBULANCE SERVICES AGREEMENT

THIS SIXTH AMENDMENT TO AMBULANCE SERVICES AGREEMENT (this
"Amendment") is made and entered into as of the signature dates set forth below, to
be effective as of the 1" day of April, 2012, (the "Effective Date"), by and between
Banner Health, an Arizona nonprofit corporation, d/b/a North Colorado Medical Center
("Banner"), and The County of Weld d/b/a Weld County Paramedic Services
("Transporter").
WITNESSETH:
WHEREAS, Banner and Transporter are parties to that certain Ambulance
Services Agreement dated effective as of January 1 , 2007, as the same has been
amended by that certain First Amendment to Ambulance Services Agreement dated
effective as of January 1 , 2008, by that certain Second Amendment to Ambulance
Services Agreement dated effective as of January 1 , 2009, by that certain Third
Amendment to Ambulance Services Agreement dated effective as of January 1, 2010,
and by that certain Fourth Amendment to Ambulance Services Agreement dated
effective as of January 1 , 2011 and by that certain Fifth Amendment dated effective
as of January 1 , 2012 (as amended, the "Agreement"), pursuant to which the
Transporter agreed to provide non-emergency medical transportation (ambulance)
services, as more particularly described therein; and
WHEREAS, the parties desire to amend the Agreement to clarify payment for
services by Banner and to extend the term of the Agreement, in accordance with the
terms and conditions hereof.
NOW, THEREFORE, for and in consideration of the mutual covenants and
promises contained herein, the receipt and sufficiency of which are hereby
acknowledged, it is understood and agreed upon by the parties hereto as follows:
1 . Amendment of the Agreement.
(a) Section 2 of the Agreement is hereby amended to extend the term of
the Agreement for a period of two (2) months, commencing as of the
Effective Date and continuing until May 31, 2012, subject to earlier
termination as provided in the Agreement.

(b) Section 7.2 shall be deleted in its entirety and replaced with the
following language:
7.2 Payment for Services by Banner. Banner agrees that Banner will
reimburse Transporter for the Services as provided for in this
Section 7.2.
i. Bundled Services & VA Transfers. Services that are part of
"bundled" service or are transfers of Veterans
Administration patients to other health facilities shall be
paid by Banner at a base rate, plus a loaded (patient in
ambulance) mileage rate as set forth on Exhibit A. In
addition, Banner will reimburse Transporter for reasonable
and necessary supplies used during the transport of a
patient in this Section 7.2(b)(i) according to the fee schedule
set forth on Exhibit A.
ii. Transportation to NCMC Behavioral Health Unit. Banner
shall reimburse Transporter as provided for in Section
7.2(b)(i), for all non-emergency transports from NCMC to
NCMC Behavioral Health.
Unless the request for Transporter Services falls within Section
7.2 (i) or (ii), Transporter is responsible for billing and collecting
any fees, cost, expenses associated with those Services from
the patient and/or the patient's insurer.
2. Agreement Effective. Except as otherwise expressly provided herein, all
terms and conditions of the Agreement shall remain unmodified and in full force and
effect.
3. Precedence of Amendment. In the event of a conflict between the terms
and conditions of this Amendment and the terms and conditions of the Agreement, the
terms and conditions of this Amendment shall govern and control.
4. Capitalized Terms. All capitalized terms used in this Amendment and not
otherwise defined herein shall have the meaning ascribed to such terms in the
Agreement.
5. Incorporation. This Amendment shall be attached to, and made a part of,
the Agreement.

6. Counterparts. This Amendment may be executed in one or more copies
or counterparts, each of which when signed shall be an original, but all of which
together shall constitute one instrument.
IN WITNESS WHEREOF, the parties hereto have executed this Amendment,
individually or by signature of their duly authorized representative, as of the signature
dates set forth below, to be effective as of the Effective Date.
