AGREEMENT
• This Agreement is made and entered into this 4th day of November, 1994, by
First Security Bank&Trust of Miles City, a Montana banking corporation, of Miles
City, Montana, (hereafter "BANK"), and A.W. Larson, Nancy D. Larson, and Carl
A. Larson, of Miles City, Montana, (hereafter "LARSONS"), and Robert L.
Jacobson, Marie E. Jacobson, and Art E. Jacobson, of Miles City, Montana,N+f--

By promissory note dated January 20, 1994,J &L Enterprises, a Partnership
of Miles City, Montana, consisting of the LARSONS and JACOBSONS above-
named, is obligated to First Security Bank & Trust of Miles City in the original
principal amount of$300,000.00,together with interest as per the terms of said note.
By guaranties dated January 20, 1994, Robert L. Jacobson and Marie E.
Jacobson have personally guaranteed the repayment of the above-described note
dated January 20, 1994.
By promissory note dated December 8, 1993,J&L Enterprises, a Partnership
as described above, is obligated to First Security Bank& Trust of Miles City in the
original principal amount of$100,000.00 plus interest as per the terms of said note.
By guaranties dated December 8, 1993, Marie E. Jacobson and Robert L.
Jacobson have personally guaranteed the repayment of said promissory note dated
December 8, 1993.
• On November 4, 1994, LARSONS purchased all of the right, title and interest
of JACOBSONS in the partnership known as J & L Enterprises.
AGREEMENT
NOW, THEREFORE, for valuable consideration, including the release of
liability set forth herein,
A. BANK hereby releases JACOBSONS as partners and guarantors from
all liability under the promissory notes described above.
