HomeMy WebLinkAbout20120446.tiff RESOLUTION RE: APPROVE EASEMENT AGREEMENT AND AUTHORIZE CHAIR TO SIGN - KERR-MCGEE GATHERING, LLC WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to Colorado statute and the Weld County Home Rule Charter, is vested with the authority of administering the affairs of Weld County, Colorado, and WHEREAS, the Board has been presented with an Easement Agreement between the County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld County, and Kerr-McGee Gathering, LLC, commencing upon full execution, with further terms and conditions being as stated in said agreement, and WHEREAS, after review, the Board deems it advisable to approve said agreement, a copy of which is attached hereto and incorporated herein by reference. NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld County, Colorado, that the Easement Agreement between the County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld County, and Kerr-McGee Gathering, LLC, be, and hereby is, approved. RECITALS: 1. KMGG desires an easement for two (2) pressurized oil and/or natural gas pipelines across parcel #121321100004 owned by the County and the County desires to grant, convey and set over unto KMGG such an easement. The triangular shaped parcel traversed by the easement (the"Property") is adjacent to Weld County Road ("WCR") 43 at its intersection with WCR 32. 2. KMGG is proposing to install two gathering pipelines, one being four (4) inches in diameter and the other eight (8) inches in diameter(collectively, the"KMGG Pipelines") to transport oil and gas from two wells drilled on Farmers Reservoir and Irrigation Company land in Section 15-T3N-R65W and to connect the KMGG Pipelines to KMGG facilities located on Section 21-T3N-R65W. 3. The permit for the portion of the pipeline alignment crossing WCR 43 is being addressed via the County's regular Right-Of-Way permitting process. 4. The continued integrity of KMGG's Pipelines and the safety of all individuals in the area of proposed work near KMGG's facilities are of the utmost importance. KMGG and the County will work cooperatively to ensure that the KMGG Pipelines are protected from damage by possible future County road maintenance, paving, drainage, or road widening projects. NOW THEREFORE, in consideration of the above recitals and the mutual covenants of the parties, it is agreed as follows: 1. RECITALS. The above set forth recitals are incorporated herein as though fully set forth. 2. CONSIDERATION. The County hereby grants this Easement in consideration of Ten Dollars ($10.00) and other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged. 3. EASEMENT DESCRIPTION. The Property upon and through which the Easement is granted is Parcel # 121321100004 located in the NE '/4, Section 21, Township 3 North, Range 65 West of the 6th P.M., Weld County, Colorado. The Property is located at the corner of WCR 32 and WCR 43 approximately 8 miles east of Platteville. The permanent easement(the "Permanent Easement") will be located along the alignment of the Proposed 4" Gas Line and the Proposed 8" Gas Line as shown in Exhibit A, Construction Plans, attached hereto and incorporated herein by reference. More particularly, the Permanent Easement is bounded on the north by a line running parallel with, and 10 feet to the north of, the Proposed 4" Gas Line and bounded on the south by a line running parallel with, and 10 feet to the south of, the Proposed 8" Gas Line. Including the 10 feet between the two Proposed Gas Lines, the total width of the Permanent Easement is 30 feet. The current County roads are classified as collectors with a future ROW of eighty (80) feet. The Permanent Easement includes the restriction that where the installed pipelines run parallel to any road, such pipelines shall be located outside of the future road right of way. 4. ACCESS TO PROPERTY. KMGG shall have access to the Property at all times, either by means of the available public roads and lanes, or by other routes to be designated by Weld County. Following construction of the KMGG Pipelines within the Permanent Easement, KMGG shall continue to have temporary, reasonable access to and use of the 75 foot wide temporary easement for the limited purposes of repair, replacement or other necessary maintenance operations on the KMGG Pipelines. If such temporary, reasonable access requires KMGG to occupy and/or work within the road right of way, then KMGG shall obtain a County right of way use permit prior to conducting work. 5. KMGG RESPONSIBILITIES. a. KMGG has provided to the County design drawings attached as Exhibit A, Construction Plans, of the proposed pipeline alignment and road. Upon completion of the construction work on the KMGG Pipelines, KMGG shall submit to the County a set of "as-built drawings" showing the KMGG Pipeline(s) and related facilities in the Property and Permanent Easement. b. KMGG shall be responsible for all pipeline construction and reclamation of disturbed areas including the shoulders, paving, re-vegetation and drainage improvements of the roadways. Reclamation of disturbed areas shall be to the grade and condition such areas were in immediately prior to any construction or disturbance occurring. c. Following installation, KMGG shall ensure that the depth of soil cover over the KMGG Pipelines is not less than 6 feet. KMGG shall provide pipeline delineators on the Property to mark the location of the KMGG Pipelines. KMGG shall be responsible for the construction of on-site safety improvements for the pipeline crossing including, but not be limited to, installation of adequate pipeline soil cover as indicated in Exhibit A, Construction Plans, and adequate signage notifying third parties of the presence of the KMGG pipelines and the need for caution if excavating. d. KMGG shall provide the County with written safety requirements to be followed by any future contractors operating on the Property (see Section 6(a) of this Agreement). The County shall promptly inform KMGG of any planned contractor construction activities within twenty-five(25) feet of a KMGG Pipeline or above-ground appurtenance. e. Routine maintenance of the KMGG Pipelines that may interfere with traffic travelling on County roads on the Property shall be coordinated with the County. If such maintenance requires KMGG to occupy and/or work within the road right of way, then KMGG shall additionally obtain a County right of way use permit prior to conducting work. Should an emergency situation occur which requires immediate repair and which significantly affects the use of the Property, KMGG agrees to promptly notify the County and any appropriate emergency services of such emergency (see Section 10 of this Agreement), and to deploy appropriate public safety traffic control should the emergency require re- routing of road traffic. 6. COUNTY RESPONSIBILITIES. a. Any contractors operating on the Property shall be advised by the County of KMGG's Pipeline presence and safety requirements and be contractually obligated by the County to comply with such requirements. In addition to any other safety requirement imposed, no contractors shall work within twenty-five feet of a KMGG pipeline or above-ground appurtenance without a KMGG representative being on-site (see Section 4(d) of this Agreement). b. Heavy equipment shall not be allowed to operate directly over the subject KMGG Pipelines unless written approval is first obtained from KMGG. c. The depth of soil cover over the KMGG Pipelines shall not be increased or reduced nor surface modified for drainage unless written approval is first obtained from KMGG. d. In the event that the County wishes to widen or re-construct any portion of WCR 43 or WCR 32 in the vicinity of the pipelines, KMGG shall be notified no less than sixty (60) days prior to the commencement of construction. KMGG shall have the right, at its own cost, to install additional pipeline protection (e.g. sleeves or concrete encasement) or bury the pipeline to a lower depth. 7. COUNTY RETAINED RIGHTS. The County reserves the right of ownership, use, and occupancy of the Property insofar as said ownership, use, and occupancy does not impair the rights granted to KMGG. The parties specifically acknowledge that the County may construct any other public use project on the Property or in its vicinity so long as the public use does not impair the rights granted to KMGG in this Agreement. 8. INDEMNITY. APC and KMGG, and their successors and assigns, indemnify and hold harmless the County, its officers, employees, and agents, against any and all losses, claims, damages or liabilities,joint or several, which are the result of a breach of a legal duty of care owed by KMGG in connection with the operation of the KMGG Pipelines within the ROW or from any other material breach of its duties and obligations imposed in this Agreement. 11111111111111111111111111111 III 1111111 III 11111 1111 1111 3825476 02/17/2012 11:02A Weld County, CO 3 of 7 R 0.00 D 0.00 Steve Moreno Clerk& Recorder Additionally, KMGG shall reimburse the County for any legal or other expenses reasonably incurred in connection with investigating or defending such loss, claim, damage, liability or action. 9. INSURANCE. KMGG shall maintain and provide a certificate of self-insurance to the County covering its obligations and potential liability to the County under this Agreement. 10. EMERGENCY RESPONSE. In the event of an emergency, KMGG shall immediately notify the appropriate emergency services and inform the County Contact person listed below of the nature of the emergency and measures being taken to address the emergency. Required notifications and reports to State and Federal agencies shall be handled as applicable by the KMGG personnel. KMGG may abandon the rights granted to it under this Easement by giving written notice to the County of its intent to abandon. In the event that KMGG abandons the rights granted under this Easement, KMGG shall be responsible for removing the KMGG Pipeline(s) and any surface appurtenances and restoring the surface area to the same condition in which it existed prior to removing said pipeline(s). Removal of the KMGG Pipeline(s) and restoration of the Property shall be at the expense of KMGG and shall occur within six (6) months of an abandonment of rights. Failure to use the KMGG Pipeline(s) to transport oil, natural gas or other hydrocarbon substances for a period of two or more consecutive years shall constitute abandonment. If KMGG fails to remove the KMGG Pipeline(s) and surface appurtenances and restore the Property within six (6) months of abandonment, the County, in addition to any available legal remedies, may itself remove the KMGG Pipeline(s) and surface appurtenances and restore the Property and present KMGG with a bill for reimbursement. KMGG agrees to pay such bill within thirty (30) days of receipt. 12. BINDING EFFECT. The rights and responsibilities granted under this Easement shall extend to and be binding upon the successors and assigns of the parties hereto. The terms, covenants, agreements, and conditions in this Easement shall be construed as covenants running with the land. 13. GOVERNMENTAL IMMUNITY. No term or condition of this contract shall be construed or interpreted as a waiver, express or implied, of any of the immunities, rights, benefits, protections or other provisions, of the Colorado Governmental Immunity Act§§24-10-101 et seg., as applicable now or hereafter amended. 14. ENTIRE AGREEMENT, MODIFICATION, WAIVER OF BREACH. This Easement contains the entire agreement and understanding between the parties and supersedes any other agreements concerning the subject matter of this transaction, whether oral or written. No modification, amendment, novation, renewal, or other alteration of or to this Easement and any attached exhibits shall be deemed valid or of any force or effect whatsoever, unless mutually agreed upon in writing by the undersigned parties. No breach of any term, provision, or clause of this Easement shall be deemed waived or excused, unless such waiver or consent shall be in writing and signed by the party claimed to have waived or consented. Any consent by any party hereto, or waiver of, a breach by any other party, whether express or implied, shall not constitute a consent to, waiver of, or excuse for any other, or subsequent, breach. 15. APPLICABLE LAW. This Easement shall be interpreted and enforced according to the laws of the State of Colorado. Ii SAFETY REQUIREMENTS In accordance with company policy,all activities involving surface disturbance above or near our pipeline will be cleared using the "One Call" system which requires a minimum of 48 hr. advance notice to perform the necessary locates of the pipeline. The pipeline will be marked using one of the approved marking systems dictated by the University of Northern Colorado "One Call". If KMGG/APC receives this notification with less than 48 hr. advance notice, it will be treated as an emergency locate and a concerted effort will be made to provide locating services to the site prior to any excavation activities. As part of the locating service, KMGG/APC will require the KMGG/APC company representative and the contractor to complete our"Red Zone" checklist prior to excavation activities. A copy of that form is attached to this document. This form requires that both the KMGG/APC company representative and the contractor agree that a survey of the area has been done and there are no visible indications that any unknown or unlocated underground utilities are present and that work may commence. As per the county's request, KMGG/APC agree that a company representative will be on-site during any construction activities that are conducted within 25'of any pipeline or above ground appurtenance owned by KMGG/APC or its subsidiaries on this location. Whenever possible, it is requested that we receive a minimum 48 hr. advance notice for scheduling company personnel. If we receive notification with less than the 48 hr.advance notice,we will treat this similarly to the emergency provisions of the "One Call" rules. In addition to the above requirements, KMGG/APC requires that lines be located using a hydro-vac or similar method to expose the pipeline prior to mechanical removal of the soil above the line. All digging within 2' of an active pipeline shall be done by hand. Any other pipelines crossing the KMGG/APC pipelines shall be installed under the existing lines and will have a KMGG/APC company representative on-site to verify that the installation is constructed properly and there is no damage to the KMGG/APC line(s). Red Zone Checklist Instructions: The Red Zone checklist is a tool,which, if properly used,should decrease the number of accidental line strikes during ground disturbances. It is meant to document the use of best management practices to identify and avoid overhead and underground utilities. This document is to be used any time there will be a surface disturbance or excavation deeper than 6 inches. It does not apply to using spoil from an excavation to backfill. The top block is to be filled out by either the Project Manager or his designee. The Anadarko Representative can either be an APC employee or a person who has been hired by APC to oversee operations at a particular job site. The Excavator Representative is either the supervisor of the crew performing the excavation or the operator of the equipment used to perform the excavation. In the checklist below,both parties should put a check mark in the box if/when the statement has been completed.The parties do not have to complete the checklist at the same time, but the form is not deemed complete until all boxes are marked and both parties have signed off on the bottom of page 2. The checklist should be attached to the site sketch along with any Coating&Condition reports,tailgate records and other paperwork that might have been completed as that days work record. Sketches, photos or other documentation should be given to a responsible party to submit to the area pipeline database manager. Before Any Excavations Have Started for the Day: Both the Anadarko Representative and the Excavator Representative should complete all One Call Requests and put a plan in place to protect people and property during the excavation operations. Verify All Locatable Utilities Have Been Marked: Before any excavation activities begin,both the Anadarko Representative and the Excavator Representative should inspect and note any evidence of existing underground utilities. There is also a section reminding them to have someone de-energize any electrical power circuits that may be impacted by the excavation. If An Unmarked Utility is Discovered Before Excavation Begins: Both the Anadarko Representative and the Excavator Representative should double check that proper measures were taken to locate the lines prior to excavation work. Basic Rule for Exposing Any Underground Utility: The basic guidelines in the checklist should be followed while performing an excavation. Both the Anadarko Representative and the Excavator Representative should have a clear understanding of how a line is to be located,what to do when the line is located and what is expected once the line is exposed. BASIC RULES FOR EXPOSING ANY UNDERGROUND UTILTY: Complete necessary paperwork with all personnel present. If new personnel arrive onsite they must O Elreview paperwork prior to engaging in excavation operations. An Authorized APC representative must witness pipeline/wire being exposed and be present for ❑ ❑ backfill operations. Contact One-Call (Dial 811) prior to breaking ground. Have locators find and mark pipe/wire with ❑ electronic locating units.Locate shall be limited to the position of the pipeline/wire and will not include n any estimates as to the depth or how much cover is"safe"to remove. Use vacuum excavation (hydro-vac or air-vac) to expose and verify exact locations of underground n utilities, if possible. Explore 2' on each side of exposed lines. If that option is not available, use the n non-conductive probe method. If using the probe method, scratch the ground (no more than 10" deep) above the utility and probe. If the scratched area has been probed without finding the utility, repeat until the utility is located. Once ❑ El found, the depth of the utility must be continually verified with the probe until 24" of soil remains above. Hand dig the remainder of the soil to expose the utility. n ALL digging within 24"of an underground utility must be"hand dug". ❑ El and the utility is exposed and the ditch is safe to enter, it shall be examined for damage. A "Coating ❑ and Condition Report"should be completed. If there is any damage to a utility, it must be reported to the owner as well as completing an APC 3`a- ❑ ❑ Party Damage Report. ❑ Any damage to underground equipment must be documented and repaired before it is reburied. If Elpossible,the owner of the utility should sign off on the repairs.
