RE: APPROVE AGREEMENT FOR ANALYST 3 RESEARCH SUBSCRIPTION AND
AUTHORIZE CHAIR TO SIGN-ECONOMIC MODELING,LLC
WHEREAS,the Board of County Commissioners of Weld County, Colorado,pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County,Colorado,and
WHEREAS,the Board has been presented with an Agreement for Analyst 3 Research
Subscription between the County of Weld, State of Colorado, by and through the Board of
County Commissioners of Weld County, on behalf of the Department of Human Services,
Division of Employment Services,and Economic Modeling,LLC,commencing May 1,2012,and
ending April 30,2013,with further terms and conditions being as stated in said agreement,and
WHEREAS, after review, the Board deems it advisable to approve said agreement, a
copy of which is attached hereto and incorporated herein by reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of
Weld County, Colorado,that the Agreement for Analyst 3 Research Subscription between the
County of Weld,State of Colorado,by and through the Board of County Commissioners of Weld
County,on behalf of the Department of Human Services, Division of Employment Services,and
Economic Modeling,LLC,be,and hereby is,approved.
BE IT FURTHER RESOLVED by the Board that the Chair be,and hereby is, authorized
to sign said agreement.
The above and foregoing Resolution was,on motion duly made and seconded,adopted
by the following vote on the 25th day of June,A.D.,2012,nunc pro tunc May 1,2012.

Services' Subscription Renewal to the Economic Modeling
LLC
Enclosed for Board approval is the Department's Employment Services subscription renewal to the
Economic Modeling LLC. This Subscription Renewal was reviewed under the Board's Pass-Around
Memorandum dated May 16, 2012, and approved for placement on the Board's Agenda.
Employment Services of Weld County has been using Economic Modeling LLC (EMSI) as a tool for
employment and labor force analysis. We have used specific industry reports for economic
development calls, wage reports, sector growth or declines, etc. This tool is easy to use with quick
access and good reports.
The one-year subscription cost for EMSI would be $5,000 for 10 user IDs. In previous years we have
paid less because the Colorado Workforce Alliance (CUWA) was able to negotiate one Front Range
license at the cost of approximately $4,000 per user and Employment Services had only one user ID.
CUWA was able to negotiate the$5,000 cost and increased access,which is still more than 50%less than
EMSI normally charges. The funds to cover these costs are available in current grants.

Contract: Analyst
Dear Ms. Perez,
The purpose of this letter is to establish the contractual relationship between Employment Services
of Weld County Colorado of Greeley, Colorado (hereinafter, "Client") and Economic Modeling LLC
(hereinafter, "EMSI") of Moscow, Idaho for the provision of Analyst 3(Research Version). Analyst is
a web-based tool that lets clients tap into a comprehensive set of labor market information which
includes data on industries, occupations, demographics, skills, education, and job-postings.
A. Duration and Pricing
Access to Analyst is provided with a discounted payment of$5,000 for one year subscription and
includes county-level and zip-level data for one state. The contract period is for one year, May 1, 2012 .
through April 30, 2013.
B.Timeline and Responsibilities
o EMSI agrees to provide:
• Analyst Version: 3.0 and all subsequently released versions within the contract period -?

• Analyst Users: 10
• Analyst Sections Included:Al (Economy, Input/Output, Education,Workforce,and GIS)
• EMSI Data: County-level and zip-level data for:
• One state
o EMSI agrees to:
• Allow access to Analyst(as specified above)immediately following contract signature,
anticipated no later than May 1, 2012.
• Provide technical assistance as needed by phone or e-mail to Client during the contract
period, at no additional charge;
• Notify Client whenever changes, modifications and/or improvements are made to Analyst
during the contract period;
• Provide user-logins and access for up to ten(10)users at Client(the user accounts must be
used by individuals employed at Client and cannot be generic logins used by multiple
people or shared amongst other people). If login information is shared with any person or
organization not included in this contract, then access will be denied and money will not be
refunded;
• Update the data imbedded in Analyst on a quarterly basis; and
• Provide all software updates at no additional cost throughout the contract period.
o Client agrees to:
• Use Analyst exclusively for the internal purposes of Client; and

• Give user access only to individuals employed at Client.
• Take appropriate measures to prevent EMSI data and login access from being distributed to
any non-Client organization or individual for compensation without EMSI's express written
consent. Failure to do so will result in access being denied and money will not be refunded.
• Not resale EMSI data
C. Budget and payment schedule
Sales tax will be added where applicable.
Analyst License: $5,000
Year 1 05-01-12 through 04-30-13
Total due upon contract signature: $5,000
D.Exit Clause
This agreement gives Client the option to discontinue service for each year by providing written notice to
EMSI within thirty days after receipt of an annual invoice from EMSI prior to the anniversary date of the
subscription. In the event such notice is not provided within thirty days,the subscription to Licensee
automatically carries over to the next year.
E. Data Use Agreement
EMSI is an economic analysis firm that provides data useful in the strategic planning and impact
assessment to educational institutions, workforce development boards, and economic development
councils. The data provided by EMSI is solely for the use of the institution or organization that purchased
such data and is not to be accessed by any other institution or organization without the express written
consent of EMSI. EMSI may immediately terminate this license if Client disseminates EMSI data to any
other organization or individual for compensation without EMSI's express written consent. In such
event, the Client will not be entitled to a refund of amounts paid for the license being so terminated.
EMSI is not liable for misuse of the data, or any planning mistakes based on the said data. Client is fully
responsible for the decisions that are made based on the data provided by EMSI.
For questions concerning the data or data sources, please consult the Analyst tutorial posted on the
website,or contact EMSI at(208)883-3500. EMSI data includes, but is not limited to, any information or
report written or disseminated by EMSI or one of the products produced by EMSI. By using Analyst
Client agrees to the above terms.
F. Publishing EMSI Data
All data retrieved from Analyst must be referenced to EMSI when published.
G. Data Disclaimer
The data, reports,forecasts,and/or services provided by EMSI are generated using government data
and proprietary processes. EMSI uses estimates when there are missing data points, and such
estimates are subject to varying degrees of error. EMSI's data, reports, forecasts, and services may
differ significantly from actual outcomes and are provided"as is,"without warranty for a particular
purpose or project. By purchasing this data, report, product, or service, Client agrees that EMSI shall not
be liable for economic loss arising from their use.
H. Limitation of Liability
EMSI shall in no event be liable for any direct, indirect, incidental,special, or consequential damages
arising out of or relating to the sale of data, reports, forecasts,or services. EMSI's maximum liability,
whether based in contract,tort,warranty,or otherwise, shall not exceed the amount that EMSI received
for the data, report,forecast,or service in question.
I. Indemnification
Client agrees to defend, indemnify and hold EMSI harmless from and against any and all liability,
obligations,judgments, causes of action and costs and expenses(including reasonable attorneys'fees)

' arising directly or indirectly out of the misuse of Analyst by Client, its agents or employees, including
without limitation any and all special consequential damages.
J.Applicable Law
Idaho law will govern the contractual relationship between EMSI and Client. This letter sets forth the
entire agreement between EMSI and Client. No other promises or agreements shall be binding unless
signed by both parties.
