A copy of the policies and procedures concerning Lease Agreements with the County is enclosed, as well as a copy of the bidding procedures. The County owns mineral rights for approximately forty thousand (40,000) acres. On November 19, 1986, the Board of County Commissioners adopted the following mineral leasing policy by resolution: 1. The term of the leasing period shall be a maximum of three (3)years. 2. There shall be a continuation of the sealed bid process with the amendment that the top two (2) bidders and any other bidder within ten percent (10%) may participate in an auction.The opening of the sealed bids and the auction shall be held on the same day. 3. A bid bonus of at least Four Hundred dollars ($400.00), per acre, shall be the minimum amount required. 4. There shall be a continuation of the requirement for certified funds. 5. Where there is a conflict concerning the ownership of the lease, the owner of the lease shall provide evidence of ownership. 6. Royalty interest in the production to be paid to the County shall be at least twenty percent (20%). Specific amount of royalty interest shall be set by the Board of County Commissioners prior to the bidding process. 7. Royalty interest in the production to be paid to the County shall be twenty percent (20%) when bidding is waived on small parcels under five (5) acres, with a minimum of a Four Hundred dollar ($400.00) royalty bonus, per acre. B. On August 29, 1985, the Board of County Commissioners adopted the following policy for extending the terms of all mineral leases. The Board will extend the terms of all mineral leases in which it is the Lessor according to the following conditions: 1. No lease term will be extended for more than six (6) months from the original expiration date as contained in the mineral lease. 2. The Lessee shall pay to the Lessor the sum of one-third (%3) of the original bonus, with a minimum bonus of ten dollars ($10.00) per acre. 3. The Lessee must pay to the Lessor the sum of one dollar ($1.00) per acre leased as delayed rental for the term of the extension. 4. The royalty will remain the same as in the original lease. (Weld County Codification Ordinance 2000-1; Weld County Code Ordinance 2007-6; Weld County Code Ordinance 2009-2) INSTRUCTIONS TO BIDDERS The Weld County, Colorado, Oil and Gas Lease will be used as the bid form. Please note the Weld County Oil and Gas Lease contains a signature sheet which must be signed and notarized. 1. Bids may be found on our website www.co.weld.co.us listed under the Purchasing Dept. Please send a courtesy email or fax to let us know if you are intending to bid on the leases. (see form on website) 2. Bidder must fill in name and address of lessee in the introductory paragraph of the Weld County Oil and Gas Lease. 3. Bidder must complete the first paragraph following "WITNESSETH" of the Weld County Oil and Gas Lease, writing the dollar amount for the bonus amount of the Oil and Gas Lease on a per mineral acre basis. 4. Bidder must sign as lessee and have notarized. (Last page of the Weld County Oil and Gas Lease) 5. Bidder must return EACH bid in a separate envelope and must show name and mailing address in the upper left hand corner of the envelope with bid number and lease number. (Do not write bid amount on envelope) 6. A bid of at least$400.00 per acre shall be the minimum amount required. 7. Certified checks or cashier's check for the bonus amount of bid must accompany the sealed bids. Other forms of security will not be accepted. A filing fee of $10.00 must also accompany the sealed bid. This may be certified check, cashier's check or cash. The check for the bonus amount will be returned to the unsuccessful bidders immediately after the awarding of the bid. The $10.00 for the filing fee is kept by Weld County. 8. There shall be a continuation of the sealed bid process with the amendment that the top two bidders and any other bidder within 10% of the top bid shall participate in an auction. The opening of the sealed bids will take place in the Purchasing Dept at 8:30 am and the auction shall be held the same day during the Board of Commissioners meeting held at 9:00 am. If an auction is held on a parcel of land the higher bidder may give a company check or personal check for the difference between the written bid and oral bid. 9. The term of the leasing period shall be for 3 years. 10. Where there is a conflict concerning the ownership of the lease, the owner of the lease shall provide evidence of ownership. 11. Errors sometimes occur in the listing, though every effort is made to avoid them. The Board is not liable for any inconvenience or loss caused by errors which may occur. 12. The Board of Weld County Commissioners reserves the right to reject any or all bids, to waive any informalities in bids, and to accept the bid that, in the opinion of the Board, is to the best interests of the Board and of the County of Weld, State of Colorado. The Board of Weld County Commissioners shall give preference to resident Weld County bidders in all cases where the bids are competitive in price and quality. 13. Upon approval by the Colorado Oil and Gas Conservation Commission, a drilling unit of approximately 640.00 acres will be established, inclusive of the lands in which you have a lease or other working interest. We are soliciting your participation in the well or wells to he drilled in this unit. You have the option to participate in unit operations. This will require you to: (1) enter into an operating agreement with us, thereby "pooling" your interest; and (2) pay your proportionate share of the costs of drilling and operating wells. The working interest owned by you would translate into a .3781% interest in the initial well. As you can see by the attached cost estimate, the projected cost to drill, complete and equip this well is $3,795,794.00, of which your participation share would be $14,351.90. If you elect this option, please mark where indicated below, and return this letter to me. Upon receipt, we will send you a joint operating agreement to review and execute. On a going forward basis, you will be entitled to a share of production revenues, as well as being responsible for your share of lease operating expenses, as provided in the joint operating agreement. Please be aware that drilling wells, especially the horizontal well being proposed for this drilling unit, carries substantial risk as to whether the initial drilling and completion investment will be recovered. If you do not agree to participate as outlined above, we are entitled to be compensated for this risk, which we are willing to undertake. Should you decline to participate, including by failing to respond to this letter, your working interest will be subject to a non- consent penalty as provided under C.R.S. 34-60-116(7) until such time as your proportionate share of costs, plus penalties. are recovered. At that time, you would then be converted to a regular working interest owner as described above. You are therefore strongly encouraged to obtain competent legal counsel to assist you in reviewing this letter and making an informed decision. As we intend to commence the drilling of this well soon, time is of the essence and your prompt response is requested. Please make the desired selection and return one (1) executed original of this letter to the undersigned no later than thirty (30) days from receipt of this offer. If we do not receive your response by such date, you will be deemed to have elected to not participate in the drilling of the well.
