RE: APPROVE REQUEST TO WAIVE BID PROCEDURE CONCERNING OIL AND GAS
LEASE, ACCEPT OFFER TO LEASE MINERAL ACRE, AND AUTHORIZE CHAIR TO
SIGN - KERR-MCGEE OIL AND GAS ONSHORE, LP
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, Kerr-McGee Oil and Gas Onshore, LP, 1099 18th Street, Suite 1800,
Denver, Colorado 80202, has requested that the bidding procedure be waived according to the
policy as set forth in the Weld County Code for parcels less than five acres, on the following
described mineral acres:
Lot 3, Block 9, containing 0.0673 acres; Lots 27
and 28, Block 11, containing 0.1435; and Lots 9
and 10, Block 14, containing 0.2360 acres; all in
Section 30, Township 2 North, Range 67 West of
the 6th P.M., Weld County, Colorado
WHEREAS, Kerr-McGee Oil and Gas Onshore, LP, is offering to lease the above
described mineral acres, containing .4468 mineral acres, more or less, and
WHEREAS, the Board finds that the lease offer from Kerr-McGee Oil and Gas
Onshore, LP, in the amount of ONE HUNDRED SEVENTY-EIGHT AND 72/100 DOLLARS
($178.72), is acceptable, with the further terms and conditions being as stated in said Small
Tract Oil and Gas Lease, a copy being attached hereto and incorporated herein by reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of
Weld County, Colorado, that the request of Kerr-McGee Oil and Gas Onshore, LP, to waive the
bidding procedure on an Oil and Gas Lease concerning the above described mineral acres, be,
and hereby is, granted.
BE IT FURTHER RESOLVED by the Board that the offer of Kerr-McGee Oil and Gas
Onshore, LP, to lease mineral acres, as hereinabove stated, be, and hereby is, accepted.
BE IT FURTHER RESOLVED by the Board that the Chair, be, and hereby is, authorized
to sign said Small Tract Oil and Gas Lease.

(Small Tract)
THIS AGREEMENT, made and entered into this :)Oa day of 'kelp i ucLnA , 2012, by and
between WELD COUNTY, COLORADO, a political subdivision of the State of Colorado acting by and
through the Board of County Commissioners of the County of Weld, 915 10th Street, P.O. Box 758,
Greeley, CO 80632, hereinafter called Lessor, and:
Kerr-McGee Oil & Gas Onshore LP

hereinafter called Lessee.
WITNESSETH, that Lessor, for and in consideration of the sum of$ 178.72 , cash in
hand paid, the receipt of which is hereby acknowledged, and the covenants and agreements hereinafter
described, has granted, demised, leased and let, and by these presents does grant, demise, lease and let
exclusively unto the said Lessee, the land hereinafter described, with the exclusive right for the purpose
of mining, exploring by geophysical and other methods, and operating for and producing therefrom; oil
and all gas of whatsoever nature or kind, with rights of way and easement for laying pipe lines, and
erection of structures thereon to produce, save and take care of said products, all that certain tract of land
situated in the County of Weld, State of Colorado, described as follows, to wit:
Lot 3, Blk 9, containing 0.0673 acres
Lots 27, 28, Blk 11, containing 0.1435 acres
Lots 9, 10, Blk 14, containing 0.2360 acres
Section 30 Township 2 North, Range 67 West of the 6th P.M., Weld County, Colorado:
and containing .4468 acres, more or less.
1. It is agreed that the lease shall remain in force for a term of three (3) years from this date
and as long thereafter as oil or gas of whatsoever nature or kind is produced from said leased premises
or on acreage pooled therewith, or drilling operations are continued as hereinafter provided. If, at the
expiration of the primary term of this lease, oil or gas is not being produced on the leased premises or on
acreage pooled therewith but Lessee is then engaged in drilling or re-working operations thereon, then
this lease shall continue in force so long as operations are being continuously prosecuted on the leased
premises or on acreage pooled therewith; and operations shall be considered to be continuously
prosecuted if not more than ninety (90) days shall elapse between the completion or abandonment of one
well and the beginning of operations for the drilling of a subsequent well. If after discovery of oil or gas on
said land or on acreage pooled therewith, the production thereof should cease from any cause after the
primary term, this lease shall not terminate if Lessee commences additional drilling or re-working
operations within ninety (90) days from date of cessation of production or from date of completion of dry
hole. If oil or gas shall be discovered and produced as a result of such operations; at or after the
expiration of the primary term of this lease, this lease shall continue in force so long as oil or gas is
produced from the leased premises or on acreage pooled therewith.
2. This is a PAID-UP LEASE. In consideration of the down cash payment, Lessor agrees
that Lessee shall not be obligated, except as otherwise provided herein, to commence or continue any
operations during the primary term. Lessee may at any time or times during or after the primary term
surrender this lease as to all or any portion of said land and as to any strata or stratum by delivering to
Lessor or by filing for record a release or releases, and be relieved of all obligation thereafter accruing as

to the acreage surrendered.
3. In consideration of the premises the said Lessee covenants and agree to pay Lessor
twenty percent (20%) of the proceeds received by Lessee, payable monthly, for the oil, gas and other
hydrocarbons produced and saved from the leased premises.
4. Where gas from a well capable of producing gas is not sold or used, Lessee may pay or
tender as royalty to Lessor One Dollar per year per net mineral acre owned by Lessor and covered by this
lease, such payment or tender to be made on or before the anniversary date of this lease next ensuing
after the expiration of 90 days from the date such well is shut in and thereafter on or before the
anniversary date of this lease during the period such well is shut in. If such payment or tender is made, it
will be considered that gas is being produced within the meaning of this lease.
5. If said Lessor owns less than the entire oil and gas fee simple estate in the above
described lands, then the royalties (including any shut-in gas royalty) herein provided for shall be paid to
the said Lessor only in the proportion which Lessor's interest bears to the entire oil and gas mineral fee
simple estate.
6. Lessee shall have the right to use, free of cost or royalty, gas, oil and water produced on
said land for Lessee's operations thereon, except water from the wells of Lessor.
7. When requested by Lessor, Lessee shall bury Lessee's pipe lines below plow depth.
8. No well shall be drilled nearer than 200 feet to any occupied building on said premises
without the written consent of Lessor.
9. Lessee shall have the right at any time to remove all of Lessee's machinery and fixtures
placed on said premises, including the right to draw and remove casing.
10. The rights of Lessor and Lessee hereunder may be assigned in whole, or in part, upon
payment of a $25.00 fee and written consent of the Board of Weld County Commissioners. No change in
ownership of Lessor's interest (by assignment or otherwise) shall be binding on Lessee until Lessee has
been furnished with notice, consisting of certified copies of all recorded instruments or documents and
other information necessary to establish a complete chain of record title from Lessor, and then only with
respect to payment thereafter made. No other kind of notice, whether actual or constructive, shall be
binding upon Lessee. No present or future division of Lessor's ownership as to different portions or
parcels of said land shall operate to enlarge the obligations or diminish the rights of Lessee, and all
Lessee's operations may be conducted without regard to any such division. If all or any part of this lease
is assigned, no leasehold owner shall be liable for any act or omission of any other leasehold owner.
11. Lessee, at its option, is hereby given the right and power at any time and from time to
time as a recurring right, either before or after production, as to all or any part of the land described herein
and as to any one or more of the formations hereunder, to pool or unitize the leasehold estate and the
mineral estate covered by this lease with other land, lease or leases in the immediate vicinity for the
production or oil and gas, or separately for the production or either, when in Lessee's judgment it is
necessary or advisable to do so, and irrespective of whether authority similar to this exists with respect to
such other land, lease or leases. Likewise, units previously formed to include formations not producing oil
or gas may be reformed to exclude such non-producing formations. The forming or reforming of any unit
shall be accomplished by Lessee executing and filing of record a declaration of such unitization or
reformation, which declaration shall describe the unit. Any unit may include land upon which a well has
theretofore been completed or upon which operations for drilling have theretofore been commenced.
Production, drilling or reworking operations or a well shut in for want of a market anywhere on a unit
which includes all or a part of this lease shall be treated as if it were production, drilling or reworking
operation or a well shut in for want of a market under this lease. In lieu of the royalties elsewhere herein
specified, including shut-in gas royalties, Lessor shall receive on production from the unit so pooled

royalties only on the portion of such production allocated to this lease; such allocation shall be that
proportion of the unit production that the total number of surface acres covered by this lease and included
in the unit bear to the total number of surface acres in such unit. In addition to the foregoing, lessee shall
have the right to unitize, pool or combine all or any part of the above described lands as to one or more of
the formations thereunder with other lands in the same general area by entering into a cooperative or unit
plan of development or operation approved by any governmental authority and, from time to time, with
like approval, to modify, change or terminate any such plan or agreement and, in such event, the terms,
conditions and provisions of this lease shall be deemed modified to conform to the terms, conditions and
provisions of such approved cooperative or unit plan of development or operation and, particularly, all
drilling and development requirements of this lease, express or implied, shall be satisfied by compliance
with the drilling and development requirements of such plan or agreement, and this lease shall not
terminate or expire during the life or such plan or agreement. In the event that said above described
lands or any part thereof shall hereafter be operated under any such cooperative or unit plan of
development or operation whereby the production therefrom is allocated to different portions of the land
covered by said plan, then the production allocated to any particular tract of land shall, for the purpose of
computing the royalties to be paid hereunder to Lessor, be regarded as having been produced from the
particular tract of land to which it is allocated and not to any other tract of land; and the royalty payments
to be made hereunder to Lessor shall be based upon production only as so allocated. Lessor shall
formally express Lessor's consent to any cooperative or unit plan of development or operation adopted by
Lessee and approved by any governmental agency by executing the same upon request of Lessee.
12. All express or implied covenants of this lease shall be subject to all Federal and State
laws, executive orders, rules or regulations, and this lease shall not be terminated, in whole or in part, nor
Lessee held liable in damages, for failure to comply therewith, if compliance is prevented by, or if such
failure is the result of, any such law, order, rule or regulation.
13. Lessor does not warrant title to the leased premises, but it shall, upon request, allow
Lessee access to such abstracts and other title papers as it has in its files. Lessee shall have the right at
any time to redeem for Lessor, by payment, any mortgages, taxes or other liens on the above described
lands in the event of a default of payment by Lessor, and be subrogated to the rights of the holder
thereof.
14. Lessee shall indemnify Lessor against all liability and loss, and against all claims and
actions, including the defense of such claims or actions, based upon or arising out of damage or injury,
including death, to persons or property caused by or sustained in connection with operations on this
leased land or by conditions created thereby, or based upon any violation of any statute, ordinance or
regulation.
15. Upon failure or default of Lessee to comply with any of the terms and provisions hereof
including but not limited to the failure to comply with laws, rules and regulations covering Colorado oil and
gas operations, Lessor is hereby authorized upon notice and hearing, as hereinafter provided, to cancel
this lease as to all of the leased land so claimed or possessed by Lessee hereunder. In the event of any
such default or failure, Lessor shall, before making any such cancellation, send to Lessee by certified
mail, to the post office address of said lessee as shown by the records of Lessor, a notice or intention to
cancel for such failure or default, specifying the same, stating that if within thirty (30) days from the date
of mailing said notice, Lessee shall correct such failure or default, no cancellation will be made. If such
failure or default is not corrected with thirty (30) days after the mailing of such notice, and if Lessee does
not request a hearing on such notice within thirty (30) days, this lease will terminate and be canceled by
operation of the paragraph without further action by Lessor, or further notice to Lessee.
16. All of the provisions of this lease shall be binding upon the heirs, personal
representatives, successors and assigns of Lessor and Lessee.
17. Lessee shall not conduct operations of any kind upon the surface of the lands herein
described without the express written consent of Lessor.

18. Neither party shall be responsible for delays or failures in performance resulting from acts
or occurrences beyond the reasonable control of such party, including, without limitation: fire, explosion,
power failure, flood, earthquake or other act of God; war, revolution, civil commotion, terrorism, or acts of
public enemies; any law, order, regulation, ordinance, or requirement of any government or legal body or
any representative of any such government or legal body; or labor unrest, including without limitation,
strikes, slowdowns, picketing or boycotts. In such event, the party affected shall be excused from such
performance (other than any obligation to pay money) on a day-to-day basis to the extent of such
interference (and the other party shall likewise be excused from performance of its obligations on a day-
to-day basis to the extent such party's obligations relate to the performance so interfered with).
IN WITNESS WHEREOF, Lessor has hereunto signed and caused its name to be signed by the
CHAIR, BOARD OF COUNTY COMMISSIONERS OF THE COUNTY OF WELD, with the seal of the
office affixed, and Lessee has signed this agreement, the day and year first above written.

against the subject lands, including liens for taxes and judgments not of record, statutory liens
and mechanic's or materialmen's liens not of record, operator's liens not of record, and statutory
liens securing the payment of proceeds of production from the captioned property;
(i) all financing statements and other documents reflecting security interests
in crops or fixtures pertaining to the subject lands;
(j) the records of the Colorado Bankruptcy Court or any other United States
Bankruptcy Court, as well as any applicable bankruptcy, insolvency, reorganization, moratorium
or other similar laws, or the possible effect of such laws on title to the subject lands and leases or
any interests assigned therefrom;
(k) adverse rights or defects unknown to us but of which you have actual
knowledge or the law may presume you have such knowledge;
(1) matters concerning whether there is a right of access to the subject lands
from a public road;
(m) railroad or other rights-of-way or claims not reflected by the Materials
Examined, the existence of which may be determined by a physical inspection of the subject
lands;
(n) the compliance of your operations with all applicable federal, state, county
and local laws, rules, and regulations, as well as all rules and regulations of the Colorado Oil and
Gas Conservation Commission, and their effect on your operations, including but not limited to
laws,rules and regulations pertaining to well, spacing,payment of proceeds and the deductibility
of post-production costs;
(o) environmental considerations imposed by local, state or federal authorities
or related to federal regulations for obtaining drilling permits or other requirements relating to
drilling upon federal lands;

COMMENTS AND REQUIREMENTS
NOTE: For purposes of this title opinion, all references to "Section 30" refer to Section
30, T2N, R67W, 6th P.M. All references to records and the recording of documents refer to the
records in the Office of the Clerk and Recorder, Weld County, Colorado, unless otherwise
specified.
1. Status of Oil and Gas Leases. The subject oil and gas leases have primary terms
which have expired. Additional information regarding the subject leases can be found in our
tabulation of the Oil and Gas Leases. For purposes of this opinion, we assume that the subject
leases are held by production and that any required rental and shut-in royalty payments were
timely and properly made. The Materials Examined do indicate that wells may have been drilled
on the subject lands pursuant to these leases; however, we have not been provided with any

information regarding the producing status of any existing wells as of the certification date of
this title opinion. The Materials Examined in preparation of this Opinion may contain affidavits of
production, and wellbore-specific instruments affecting the subject leases. We have not listed them
herein as we assume you are aware of existing wells producing from these leases and that the
subject leases are held by production or are otherwise being continued in full force and effect.
We were not provided with copies of all of the subject leases as part of our Materials
Examined. To the extent that we were not provided with copies, we have obtained the
information contained in this title opinion pertaining to those leases from the Prior Title
Opinions. We assume all information contained in the Prior Title Opinions to be complete and
accurate.
The subject oil and gas leases contain special provisions and stipulations. We have
summarized the most significant of these special provisions and stipulations in our tabulation of
the oil and gas leases in this title opinion; however, this does not purport to be a complete listing
of all applicable provisions and stipulations of the lease agreements. You should refer to the
subject lease agreements, and amendments to the subject leases, for complete details regarding
their special provisions. For purposes of this title opinion, we assume that all special provisions
of the subject leases have been satisfied, and we assume that the subject leases are operative in
all depths and formations pertinent hereto.
If production is obtained from a lease which would extend the lease beyond the
expiration of its primary term, Colorado statute (C.R.S. §38-42-106) requires that an affidavit of
production be recorded any time prior to six months after the expiration of the primary term. If
such an affidavit is not timely recorded, then six months after the expiration of the primary term,
the recorded lease ceases to constitute constructive notice to third parties of its existence.
REQUIREMENT: You should ensure that all special provisions of the subject
lease have been satisfied, and you should satisfy yourself that the subject oil and
gas leases are held by production or are otherwise being continued in full force
and effect covering all of the subject lands. You should determine whether the
subject leases are subject to surface use agreements and/or surface use
restrictions, and you should comply with all such agreements and restrictions.
Upon production of oil or gas in paying quantities from the proposed well, you
should record an affidavit of production pursuant to C.R.S. §38-42-106 in Weld
County, Colorado. You should familiarize yourself with, and comply with, all of
the provisions of the subject leases, amendments to the subject leases, and any
applicable agreements pertaining to the subject leases.

2. Unrecorded Agreement with True Oil LLC. Although not included in the index
of documents examined as part of the Materials Examined, we are aware of the existence of an
unrecorded agreement by and between Kerr-McGee Oil & Gas Onshore LP and True Oil LLC.
By Letter Agreement dated June 12, 2007, acknowledged August 2, 2007, Kerr-McGee and True
Oil agreed to a procedure by which True Oil was granted the option to acquire certain interests in
the Codell and Niobrara formations in the wellbores of the wells to be recompleted by Kerr-
McGee as set forth in an attached exhibit. By Amendment to Letter Agreement dated July 17,
2007, the parties amended the Letter Agreement to provide, among other provisions, that for any
New Drill that may be proposed by Kerr-McGee covering leases and lands in which True Oil
owns only an undivided interest in the J Sand formation, such New Drill will be subject to the
terms of the Agreement as though the New Drill had been included in the exhibit attached to the
agreement.
The Materials Examined indicate that True Oil LLC does own an interest in the subject
leases in the J Sand formation; however, it appears from the Prior Title Opinion that this interest
is limited to production from wells physically located in the SE/4, Section 30. Because the
subject well is located in the NE/4, Section 30, we assume for purposes of this title opinion that it
is not subject to the terms and conditions of the agreement; that is, it appears that Kerr-McGee is
not obligated to inform True Oil of its option in the subject well as it pertains to production from
the Codell and Niobrara formations. For wells located in the SE/4, if True Oil elects to acquire
an interest in the Codell and Niobrara formations, Kerr-McGee must submit to True Oil an APE
covering all costs for the proposed well, which will include the J Sand as well as the Codell and
Niobrara drilling costs together with completion costs in the target formation (i.e., the Codell and
Niobrara formations). As you are a party to this agreement, we assume that you are familiar with
the terms and conditions of the Agreement, and that you will comply with all such terms and
conditions.
REQUIREMENT: You should determine whether the agreement described in
the comment, as amended, is applicable to the subject well and, to the extent that
this agreement is applicable to the subject well, you should comply with all of its
terms and conditions.
3. Reservation in Favor of True Oil Company. The Prior Title Opinions indicate
that an Assignment and Bill of Sale dated December 15, 1997, recorded February 6, 1998 at
Reception No. 2592990, from Amoco Production Company to HS Resources, Inc., is in the chain
of title for one or more of the subject oil and gas leases. From prior examinations of this
instrument, we are aware that it is subject to a reservation that includes "[t]hose interests in the
properties...necessary to vest in True Oil Company ("True") record title to its beneficial interest,
distributed to True pursuant to that certain Dissolution and Termination Agreement dated
effective December 14, 1997, under which the Wattenberg Partnership was dissolved..." For
purposes of this title opinion, we assume that the stated reservation does not include the
assignor's interest in the subject leases.

REQUIREMENT: You should satisfy yourself as to the correctness of the
assumption stated in the Comment. If you determine that our assumption is
incorrect,you should inform this office to determine whether a supplemental title
opinion and additional requirements are necessary.
4. Planned Mixed-Use Residential Development in the Subject Lands. The
Materials Examined note the annexation of portions of the subject lands into the Town of
Firestone, Colorado, and they note the subdivision of portions of the subject lands into lots for
mixed-use residential and other development plans. As you are aware, the documents of title
pertaining to subdivided lands in Weld County, Colorado, are indexed separately from the title
documents covering the unplatted portion of the section, and an examination of the documents
indexed against the unplatted portion of the section does not necessarily reflect all documents
indexed against the subdivided lands. For purposes of this title opinion, we assume that all
pertinent documents of title were provided to this office for the preparation of this title opinion.
As it appears that residential development of some or all of the subject lands has
occurred, or may occur in the future, you should continue to monitor this development closely,
being especially mindful of the potential for the conveyance of mineral ownership interests to lot
owners within any subdivided lands as this can impact the division of interest as scheduled in
this title opinion. You should conduct your operations in the subject lands with due regard for
any applicable setback requirements and all other federal, state and local rules and regulations
pertaining to your operations. To the extent that the subdivisions are annexed into a
municipality, you should also familiarize yourself and comply with any municipal laws, rules
and regulations affecting your operations.
REQUIREMENT: As stated in the Comment.
5. Royalty Interest of Tom L. Russell and Margaret I. Russell. Comment and
Requirement No. 17 of the Prior Title Opinion covering the E/2, Section 30, states that Tom L.
Russell and Margaret I. Russell reserved the oil, gas and other minerals in the NE/4, Section 30
for so long as Lease No. 2 remains in full force and effect. Although the Prior Title Opinion
does not list the owners of the remainder royalty interest upon the termination of Lease No. 2,
the prior opinion seems to indicate that the royalty interest credited herein to Tom L. Russell and
Margaret I. Russell would vest in the owners of the surface estate (or their successors) in the
NE/4, Section 30, excluding the 5-acre tract excluded by that lease agreement.
REQUIREMENT: Advisory only; however, should Lease No. 2 terminate for
any reason, it should be noted that Tom L. Russell and Margaret I. Russell (or
their successors) apparently would lose their royalty interest in Lease No. 2 and,
at that time, you would need to conduct additional research to determine the
owners of the mineral estate in the NE/4, Section 30.

6. Joint Operating Agreement covering NE/4, Section 30. The Prior Title Opinion
covering the E/2, Section 30, notes that a Joint Operating Agreement dated May 28, 1975, by and
between Amoco Production Company and H. L. Willett covers the subject lands in the NE/4,
Section 30. By Letter Agreement dated December 14, 1995, the parties agreed to amend this
Operating Agreement to cover the Codell and Niobrara formations in those lands. The parties
further agreed that the production from the J Sand formation would be commingled with the
production from the Codell and Niobrara formations according to the allocation formulas set
forth therein. We were not provided with a copy of either of these documents as part of our
Materials Examined; therefore, we are unable to comment further regarding their impact on your
proposed operations in connection with the subject well.
REQUIREMENT: You should comply with the terms and conditions of the
described Joint Operating Agreement.
7. Mineral Ownership Information Pertaining to the Platted Portion of the NW/4
Section 30. All mineral ownership information reflected in this title opinion pertaining to the
platted portion of the NW/4, Section 30, was obtained from selected documents of title provided
to this office by Kerr-McGee Oil & Gas Onshore LP. Based upon information and belief, the
platted portion of the NW/4 (being a part of the Town of Firestone, Colorado) was subdivided in
1907, and the individual lots were deeded off over the course of several years following the
subdivision. Because the documents of title pertaining to subdivided lands are indexed
separately in Weld County, the abstract of title and DMS report provided to our office by Pensar
Petroleum, LLC, covering the NW/4, Section 30, would not include the title documents
pertaining to the lots in the subdivided lands. It is our understanding from the Katie Petross of
Kerr-McGee that the deeds conveying these lots were not examined from 1907 to the present;
rather, for the purpose of preparing her mineral ownership summary, she examined and provided
title documents covering a limited period of time. Certainty of mineral title would require an
examination of all deeds pertaining to the subject lands from patent to the present. Because all
documents of title were not examined in these lands, we cannot confirm the completeness or
accuracy of the mineral ownership in these lands, and this title opinion is limited accordingly.
REQUIREMENT: For certainty of title, all documents of title pertaining to the
platted portion of the subject lands should be provided to this office for
examination and possible revision of this title opinion. Alternatively, you can rely
upon the mineral ownership information provided in this title opinion and assume
the risk of adverse claims of mineral ownership in the platted portion of the
subject lands. You should ensure that all lease assignments are tabulated herein.
8. Estimated Acreage in the Platted Portion of the NW/4, Section 30. For purposes
of preparing the division of interest in this title opinion, we estimated the acreage of the lots in
the platted portion of the subject lands using information obtained from plats of the Town of
Firestone, Colorado, and from information obtained from the Weld County Assessor's Office. In

our estimation of the acreage of the described lots, we assumed that the mineral owners of the
lots also owned the oil, gas and other minerals underlying the streets and alleys in the platted
portion of the subject lands to the centerline of the street and/or alley directly adjacent to their
lot. You should be aware that these acreage figures are estimates only, and our estimates may
vary from the actual acreage of the described lots. For purposes of this title opinion, we assumed
that no portion of the E/2NW/4, Section 30, lies outside the platted portion of the Town of
Firestone, Colorado; however, to the extent that any lands in the E/2NW/4 do lie outside of the
lots lying within the Town of Firestone, the oil, gas and other minerals underlying those lands
would be owned of record by Elsie Deffke Bliss, a/k/a Margaret D. Bliss, a/k/a Margaret E.
Bliss.
REQUIREMENT: For certainty of the accuracy of the acreage attributable to
the lots contained in the platted portion of the subject lands, you should obtain
and provide a land survey to our office. In the alternative, division orders should
be executed and obtained from all parties-in-interest reflecting their assent to the
division of interest as reflected in this title opinion. This requirement should
include execution by Elsie Deffke Bliss, a/k/a Margaret D. Bliss, a/k/a Margaret
E. Bliss, reflecting no mineral interest in the E/2NW/4, or other form of
disclaimer.
9. Life Estate Interest of Kathleen Martinez. The Materials Examined reflect that a
mineral ownership interest covering a portion of the subject lands is owned of record by
Kathleen Martinez, as life tenants, with the remainder owned by Kimberli Martinez and
Makaylin.. In general, the remaindermen are entitled to royalty income and, in the absence of
written confirmation, life tenants ordinarily would not be entitled to receive royalty income.
This general rule is sometimes altered by what is known as the "Open Mines Doctrine", which
holds that royalties from any "open mines" (or producing wells) that existed at the time the life
estate was created can still be paid to the life tenants, but that royalties from any wells drilled
after the life estate's creation are to be paid to the remaindermen. More commonly than not,
however, the intent is for the life tenant to receive the royalty income for the duration of the life
estate.
REQUIREMENT: You should obtain written instructions from the life tenant
and remaindermen named in the Comment regarding the proper payment of
royalties attributable to Lots 38, 39 and 40, Block 9, the Town of Firestone,
Colorado. These written instructions should be signed by all life tenants and
remaindermen.
10. Unleased Mineral Interests in the Subject Lands. The Materials Examined reflect
that there are unleased mineral interests in the subject lands. To the extent that any interests
reflected in this title opinion as unleased are presently subject to a valid oil and gas lease, a copy
of the lease agreement should be recorded Weld County, Colorado, indexed against the subject

lands, and your records should be updated accordingly. To the extent that any interests reflected
in this title opinion as unleased are not presently subject to a valid oil and gas lease, you should
obtain and record an oil and gas lease pertaining to these mineral interests, and you should
update your records accordingly. If any unleased mineral owners refuse to execute an oil and
gas lease or otherwise participate in the subject well, you should obtain an order of the Colorado
Oil and Gas Conservation Commission force pooling all such unleased mineral interests and
update your records accordingly.
REQUIREMENT: As stated in the Comment.
11. Requirements Pertaining to the Subject Oil and Gas Leases. In connection with
the subject leases,the following should be noted:
(a) You should obtain and record oil and gas leases from Sabino and Marcia
Munoz, and from Ruben Aguilar and Cristal Puentes, covering Lot 4, Block 7, of the Town of
Firestone, Colorado;
(b) You should obtain and record an oil and gas lease from Weld County,
Colorado, covering Lot 3, Block 9, and covering Lots 27 and 28, Block 1 I, and covering Lots 9
and 10, Block 14, of the Town of Firestone, Colorado .
REQUIREMENT: As stated in the Comment. If any of the described oil and
gas leases are not obtained, or if any of the described oil and gas leases provide
for a royalty rate that is not equal to 12.5%, you should inform this office for the
purpose of obtaining a supplemental title opinion and additional requirements.
12. Interests of the Estate of Roger A. Trujillo. Ownership of a mineral interest
covering Lots 33 through 36, Block 17, of the Town of Firestone, Colorado, is owned of record
by the Heirs of the Estate of Roger A. Trujillo. You should determine the disposition of the
interests of the estate in these lands, you should obtain and record all probate documents and
documents of title creating marketable title in its present owners, and you should update your
records accordingly.
