Re: Consent to Assign Weld County Leases
Weld County Commissioners:
Baseline Minerals, Inc. ("Baseline") recently attended the August 27, 2012 lease sale and acquired
several Oil and Gas Leases from Weld County, a political subdivision of the State of Colorado, acting by and
through the Board of County Commissioners of the County of Weld ("Weld County"). These leases are more
fully described in Exhibit "A" attached and made a part hereof("Leases"). Pursuant to paragraph 9 (A) of the
Leases, Baseline Minerals, Inc., requests the consent of Weld County to assign all of its right, title and interest
in and to the Leases unto Noble Energy, Inc., whose address is 1625 Broadway, Suite 2200, Denver, CO 80202.
Subject to and upon the written approval of Weld County giving consent for Baseline to assign the Leases,
Baseline hereby gives notice to Weld County that it will prepare and execute an Assignment covering the
Leases unto Noble Energy, Inc. Pursuant to paragraph 9(C) of the Leases, please advise Baseline once relieved
of its obligations and performance of any terms or conditions thereof
Under the terms of the Leases you may have the right to consent to the transfer of the Leases to Noble
Energy, Inc. Please find the enclosed check in the amount of Fifty dollars 00/100 ($50.00) for the authorization
fee as referenced in paragraph 9 (A) of the lease.
Please execute the enclosed copy of this letter in the space provided below to indicate your written
approval and consent to the assignment and transfer of the Leases to Noble Energy, Inc. under the conditions
provided in the Leases. At your earliest convenience please return an executed copy of this letter to the
attention of Austin Rose, Baseline Minerals, Inc., 518 17`" Street, Suite 1050, Denver, CO 80202. We
appreciate your consideration and approval of this assignment.
