Forrest Tappy and Judy Tappy Of Stoneham Colorado Re: Purchase of certain parcels in Weld County Forrest and Judy Tappy: The purpose of this letter of intent ("Letter") is to set forth certain understandings and agreements among NEG as purchaser and the Tappy's as seller of certain real property in Weld County. The Tappy's agree to allow NEG to purchase two parcels with the Weld County Assessor account numbers of R1112386 12386 and RI 112486, Exhibit A, for $2,500 each parcel for a total of$5,000. As this purchase is not finalized, the Tappy's are authorizing Brad Lebsock or NEG to speak on behalf of the Tappy's during the site specific development plan and use by special review (USR) application process. The Tappy's understand the NEG is applying to amend the current USR for the use land on the grain elevator that was originally approved in 1984. NEG will be adding the Tappy parcels to this amended USR for the Grain Elevator. The Tappy's are authorizing Brad Lebsock with NEG to speak on their behalf throughout NEG's USR amendment process with Weld County. The authorization is needed to prove that the Tappy's and NEG have an expressed interest in completing the real estate transaction. Terms of sale are: 1. $2,500 per parcel for a total of$5,000 for both parcels. 2. Parcels included: Weld County Assessor Numbers RI112386 and RI 112486. 3. Closing and type of purchase: This will be a cash transaction and it is to be closed by May 31, 2012. It will close as soon as the title company can properly get the land transferred. 4. Through this sales process the Tappy's are authorizing Brad Lebsock of NEG to sign and speak on their behalf for the Grain Bin USR amendment. Page 11 of 126 5. NEG is not to ever allow the Tappy parcels to be used a junk yard and therefore NEC will not be able to sell the parcels for a junk yard at a later date. 6. Tappy's are to lease back use of the building on the Tappy Parcels for 99 years for SI or as long as Forrest Tappy is living and would like use of the building; whichever comes sooner. If a question does not pertain to your use, please respond with "not applicable", with an explanation as to why the question is not applicable. 1. Explain, in detail, the proposed use of the property. a. This property will be used as a commodity receiving and re-loading station. We will take grain in during harvest and ship it out throughout the year. 2. Explain how this proposal is consistent with the intent of the Weld County Code, Chapter 22 of the Comprehensive Plan. This proposal is consistent with the intent of the Weld County Code per Section 22-2-20.B A. Goal 2. States ""Continue the commitment to viable agriculture in Weld County through mitigated protection of established (and potentially expanding) agricultural uses from other proposed new uses that would hinder the operations of the agricultural enterprises." Furthermore, Section 22-2-20.B.2 A. Policy 2.2 A.Policy 2.2 states "Allow commercial and industrial uses, which are directly related to or dependent upon agriculture, to locate within agricultural areas when the impact to surrounding properties is minimal or mitigated and where adequate services and infrastructure are currently available or reasonably obtainable. These commercial and industrial uses should be encouraged to locate in areas that minimize the removal of agricultural land from production." We would also like to emphasis that we have an existing grain elevator that was originally approved in 1984. The current site has obsolete equipment and buildings and needs to be demolished or repaired. We would simply like to maintain the use and expand the uses and the land. We would like to maintain the Agricultural Service Establishment by adding a retail component and grain/seed processing to the land. To demonstrate how this proposal follows the Comprehensive Plan we refer to Section 22-2-20.G. A.Goal 7. which states "County land use regulations should protect the individual property owner's right to request a land use change" and Section 22-2-20.G. A.Goal 7 1. A.Policy 7.1 states "County land use regulations should support commercial and industrial uses that are directly related to, or dependent upon, agriculture, to locate within the agricultural areas, when the impact to surrounding properties is minimal, or can be mitigated, and where adequate services are currently available or reasonably obtainable." For everything that we would like to maintain and add to the property we are following the comprehensive plan. Page 28 of 126 a. This proposal is consistent with the Code in many ways. One way that Northeast Grains, LLC would be following the Comprehensive Plan is as Sec. 22-1-20 references, Weld County is "consistently one of the top ten economically producing agricultural counties in the entire United States. Northeast Grains, LLC is proud to be part of the Comprehensive guiding principles as in section 22-1-120(B), by having a respect for our agricultural traditions by ensuring that the elevator in Stoneham that has proudly served Weld County since the 1970s continues to support Weld County by doing our part to ensure that Weld County consistently remains among the top ten agricultural producing counties in the country. As we are keeping the basic principles of the existing USR, we would simply like to update the USR for the current and future plans. We are doing everything possible to follow the Principal plan components of Sec. 22-1- 130. As the basic use of the facility is not changing we feel that by following the Comprehensive Plan amendment procedure of Section 22-1- 150 will allow us to update our USR, combine the two parcels north of the property and continue to assist in keeping Weld County as a model for the rest of the counties in the United States and to especially keep the county as an industry leader in the agricultural sector. 3. Explain how this proposal is consistent with the intent of the Weld County Code, Chapter 23 (Zoning) and the zone district in which it is located. Section 23-3-40.B An Agricultural Service establishment primarily engaged in performing agricultural, animal husbandry or horticultural services on a fee or contract basis. a. This proposal is consistent with Chapter 23 in that Northeast Grains, LLC would be continuing the directed business practices as this location has done since the 1970s. We would be maintaining the county's valuable resource of agriculture. Per Chapter 23(B)(2) we would be constructing a new scale house/office building on the existing Grain elevator in order to more efficiently receive grain and enhance Weld County and the town of Stoneham by putting up a first class structure. The elevator will receive grain as it has done since the late 1970s and early 1980s. We are simply updated the scale house/office. 4. What type of uses surround the site (explain how the proposed use is consistent and compatible with surrounding land uses). The townsite of Stoneham is located North of the site with Dewey's Bar north of the Tappy property. Rural residential and productive agricultural land are the norm. a. The main traffic flow will be from Marble Ave. which is located on the northeast side of the property. There we have commercial grade gravel that connects to the rode and makes for a seamless transition onto the property. These times of the year would be primarily the months of July and October. The traffic flow would not be anything out of the ordinary that the area has not experienced for the last 35 years. Northeast. has provided adequate justification for the construction of the new office and scale house to utilize the property for an interim period of up to six(6)months from the execution of this Agreement by both parties for the operation of Agricultural Service Establishment ;and WHEREAS. construction of the new office and scale house is to facilitate the use of the elevator to start receiving grains such as Wheat, Corn.Millet,and possibly Sunflowers for the 2012 harvest season, in accordance with the terms and conditions of this Agreement;and WHEREAS. Northeast understands that the construction of the new office and scale house is at their own risk prior to the granting of approval,meeting the conditions of approval and submitting the Special Use Permit Plat for recording. NOW, THEREFORE, in consideration of the foregoing,County consents to Northeast Grains. LLC,occupying the Property for an interim period not to exceed six (6) months from the execution of this Agreement by both parties in order to give Northeast sufficient time to complete the construction of their new facility and to compete the Site Specific Development Plan and Amended Special Use Permit for an Agricultural Service Establishment in Stoneham,Colorado. Northeast,agrees to conduct operations in accordance with the following terms and conditions: Page 1 of3 1. The above recitals are incorporated herein by reference as though set forth herein verbatim. 2. County permission given to Northeast Grains, LLC, through this Agreement is for the purpose of constructing a new office and scale house upon release of Building permit number BCR12-00383 Upon completion of the office and scale house, County grants additional permission by means of a Temporary Certificate of Occupancy for Northeast to occupy the office, scale house and Property. 3. Northeast's employees may occupy existing structures on the Property for meetings or other form of congregation. In addition. Northeast's employees may utilize the existing restroom facilities on the Property. 4. Northeast shall be responsible for excavating, repairing, or patching any damage resulting from ingress or egress from the Property to adjacent roadways. The County shall be consulted prior to any work being conducted on any County road. The type and method of repair will be determined by County and must be performed and completed to the County's reasonable satisfaction. 5. Staging or parking trucks on the travel lanes of the adjacent public roads is prohibited. Nuisance conditions, including, but not limited to, mud and puddles on roads. are to be prevented and immediately addressed by Northeast to the County's reasonable satisfaction. 6. County requires Northeast to submit a complete application for a Site Specific Development Plan and Amended Special Use Permit for an Agricultural Service Establishment within fourteen (14) days from the execution of this Agtcc+iient by both parties. 7. County will not grant a Certificate of Occupancy for the new office and scalchouse until all Conditions of Approval have been met for the Site Specific Development Plan and Amended Special Use Permit for an Agricultural Service Establishment. B. Failure by Northeast to adhere to the terms and conditions of this Agreement, as solely determined by the County. may, at the County's sole discretion, result in the termination of this Agreement. County agrees to notify Northeast in writing about its concerns with any alleged failure of Northeast to adhere to the terms and conditions set forth herein and Northeast shall have ten (10) days to cure any such failure to comply upon receipt of County's notification. Should Northeast fail to remedy the condition outlined by County within ten (10) days and should County thereafter terminate this Agreement. Northeast shall have thirty (30) days to return the Property to the condition it was in prior to the execution of this Agreement. Northeast Grains, LLC plans on getting the elevator back in operation to start to receiving grains such as Wheat,Corn, Millet,and possibly Sunflowers at the elevator. We also intend to build a new scale house/office on the property. In order to build the new scale house/office we have properly applied for a building permit with the Weld County Department of Planning Services. The building permit number for this new building is BCR12-00383. We also,currently have an application in process with the Planning and Zoning department for a Site Specific Development Plan and Use by Special Review(USR). We understand that there is a 20 day referral process for the permit. We are writing this letter to request that we receive the entire building permit as soon as possible by having the Department of Planning Services waive the 20 day referral process. Northeast Grains, LLC understands we will be building the new scale house and office at our own risk, understanding that the amendment by special review will not be 100%completed. We ask for this waiver due to wheat harvest potentially coming early with the unusual warm spring we have had. If you could please waive the 20 day referral process and grant us the full building permit we would greatly appreciate it. We desperately need to pour the concrete foundation for the building as soon as possible in order to have the building completed before wheat harvest. The concrete foundation has to cure for at least 21 days before the rest of the building can be built. This is why getting the building permit released as soon as possible is extremely important in order to start the building process and have the scale house/office operational before wheat harvest. Railroad Street" is justified through the USR, because it is consistent with the industrial idea of the lot (being adjacent to the former railroad) and the street does not appear to be a throughway but, rather, an access to those railroad lots.
