CHANGE ORDER ONE
Tuns CHANGE ORDER is entered by and between Weld 911 Emergency
Telephone Service Authority Board ("E-911") and GeoComm, Inc., a Minnesota
corporation("Contractor').
WHEREAS, E-91 I and Contractor entered into that certain Agreement for
Consulting Services dated August 3, 2012 (the"Contract"):
WHEREAS. due to the recent changes of the PSAP model to be utilized in the
future in Weld County, the scope of work. schedule of completion and compensation
pursuant to the Contact need to be modified.
THEREFORE, E-911 and Contractor agree as follows:
I. Exhibit B to the Contract is modified as follows:
A. Contractor shall provide a PSAP Structure Summary
Memorandum on or before the tenth business day following
substantive response by E-911 to the questions submitted on
November 20. 2012.
13. All Phase Two services shall be completed no later than forty
business days following the acceptance of the PSAP Structure
Summary Memorandum..
C. All Phase Three services shall be completed no later than sixty
business days following acceptance of the PSAP Structure
Summary Memorandum.
2. In the event E-911 fails to provide Contractor with the response to the
questions submitted on November 20, 2012. as required by Section 1(A)
hereto, by April 15, 2013. either party in its discretion may terminate the
Contract upon written notice to the other party. In the event of termination
of the Contract pursuant to this paragraph.. Contractor shall be entitled to
payment for all unpaid services performed pursuant to the Contract prior
to date of termination.
3. Section 4 is hereby modified to increase the total compensation to be paid
by E-911 by Eight Thousand Eight Hundred Twenty-Five Dollars &
00/100 ($8,825.00). Four Thousand Four Hundred and Twelve Dollars &
00/100 ($4.412.00) of such amount shall be payable upon completion by
Contractor of all Phase Two services. The remaining amount ($4.413.00)
shall be payable upon completion by Contractor of all Phase Three
services.
4. Section 20 is hereby amended to change the contact for Contractor to:

full force and effect.
