RE : Weld County Lease Assignment
Weld County Commissioners :
Baseline Minerals, Inc . acquired several Weld County Oil and Gas Leases during the March 14,
2012 lease sale . These leases are more fully described in Exhibit "A" attached and made a part hereof
( " Leases" ) . Pursuant to paragraph 9 ( A ) of the Leases, Baseline Minerals, Inc . , requests permission to
assign all of the right, title and interest in the Leases as described in Exhibit "A" to Noble Energy, Inc . ,
whose address is 1625 Broadway, Suite 220, Denver, CO 80202 . Upon approval by written consent of
Weld County Board of County Commissioners, Baseline Minerals, Inc . will prepare the assignment to
Noble Energy, Inc . Upon approval of assignment pursuant to paragraph 9 ( C ) of the Leases, please
advise Baseline Minerals, Inc . once relieved from any performance of any terms or conditions thereof.
Under the terms of the Leases you may have the right to consent to the transfer of the Leases to
Noble Energy, Inc . Please find the enclosed check in the amount of Four Hundred Fifty dollars 00/ 100
( $ 450 . 00 ) for the authorization fee as referenced in paragraph 9 ( A ) of the lease .
Please execute the enclosed copy of this letter in the space provided below to indicate your
written approval and consent to the assignment and transfer of the Leases to Noble Energy, Inc . under
the conditions provided in the Leases . At your earliest convenience please return an executed copy of
this letter to the attention of Kara Zeeb , Baseline Minerals, Inc . , 518 17th Street, Suite 1050, Denver, CO
80202 . We appreciate your consideration and approval of this assignment .
