PROPERTY LEASE AGREEMENT
This Property Lease Agreement ("Lease") is made and entered into this 27 day of
R/L , 2012, by and between Robert and Mariana Rohn hereinafter referred to
as"Lessor"and Sterling Energy Investments LLC,whose address is 1225 17th Street, Suite 2520,
Denver, Colorado 80202, its successors and assigns hereinafter referred to as"Lessee".
Whereas, Lessee desires to lease property in Weld County, Colorado, for the purpose of
installing a natural gas compressor station with associated facilities. Lessee shall, under the
terms of this lease, have the exclusive right of ingress and egress, and the right to enjoy the
exclusive use and occupancy of the above described land. Lessee has the right to assign this lease
or the right to sublease the above described property at any time for the purpose stated herein.
Whereas, Lessor warrants that they are the owner of certain real property located in Weld
County;and
Whereas, Lessor desires to lease the following described property to Lessee for the
purpose described above:
A tract of land located in the Northeast portion of the Southeast Quarter of Section
1 in Township 9 North, Range 60 West, of the 6th P.M, Weld County, Colorado. Refer to
the attached "Exhibit A".
Therefore, in consideration of the promises and mutual covenants and conditions set forth
below,the parties agree as follows:
1. Purpose. Lessor agrees to lease to Lessee a two hundred feet by two hundred feet
(200' x 200')parcel of land in Weld County,Colorado. See"Exhibit A".
2. To pay lessor upon execution and delivery of this lease,the sum of One Thousand
Dollars ($1,000.00), the receipt is hereby acknowledged by said Lessor, and the
sum of One Thousand Dollars ($1,000.00) per year rental beginning April 15,
2012, and each year thereafter during the term hereof.
3. Term. The term of this Lease shall be for a 15 year period, beginning on the date
of execution of this Lease for 15 consecutive years, with the unrestricted option of
the Lessee to continue to lease said property described Exhibit A thereafter. The
annual rent shall be renegotiated at that time and shall be based upon changes in
land values in the area on comparable rentals made of similar lands in the area.

4. Restoration of Property. Lessee agrees that upon completion of its construction
activities, the portion of the property disturbed from Lessee's activities will be
reclaimed and reseeded as per local Soil Conservation Service recommendations.
5. Upon termination of this lease,to remove from said demised and leased premises,
all structures, equipment, appliances, and appurtenances which may be placed
thereon it, and to restore said premises, insofar as is reasonable practicable, to the
condition which existed immediately prior to the leasing thereof. Lessor will be
notified in writing of termination.
6. Indemnification. Lessee agrees to indemnify and hold Lessor harmless against
any and all claims, damages, and costs incurred as a result of Lessee's use, of the
property for the purposes described herein except in so far as the claims,damages
and costs are caused or contributed to by Lessor's negligence or wrongful conduct
or omissions.
