My performance by Siemens against this order is subject to and contingent upon credit approval,at Siemens'sole discretion.Siemens reserves the right to modify or withdraw credit terms at any lime without notice,and to require guarantees,security or payment in advance of delivery of the Products,Software and/or Services,as applicable. The payment terms for this Schedule A are as follows:You will receive a first invoice for 90%of the Purchase Price,which Is due no later than 30 days after the initial delivery of any of the Products and/or Software to the Premises;and a second invoice for the remaining 10%of the Purchase Price,which Is due no later than 30 days after the Cutover Date of the MAC Products and/or MAC Software.100%of the total MAC Products and/or MAC Software transportation charges and applicable taxes and governmental fees,for which you are liable,will be invoiced to you as separate line items on the second invoice,and are due at the same time as the payment of the Purchase Price on the invoice. In the event you fall to make any payments when due under this Schedule A or subsequent orders relating to the Products,Software and/or Services,as applicable,Siemens may immediately suspend performance until payment is received.If any amount due is not paid in accordance with the specified terms,you agree to pay Siemens on demand a late charge of 1.5%per month or the maximum rate permitted by law,on such overdue amount.The late charge win accrue from the due date until such amount is paid. This Schedule A and any subsequent Installation Change Order does not provide any estimated taxes.Taxes will be verified against local sales tax regulations and other applicable laws or regulations and reflected in Siemens'invoices to you. Notwithstanding anything to the contrary in the Agreement,you are responsible for the Products'transportation charges to your Premises. These charges will be based on the pre-tax net purchase price of the equipment portion of the Products specified in the Schedule A and ICO and will be included on an invoice to you. Should you intend to lease-finance the Products set forth on this Schedule A,you must provide to Siemens notification of such intent and the blowing completed documents properly signed prior to your execution of this Schedule A(1)a purchase order or similar document and a veld, property executed Resale Exemption Certificate from your leasing company,and(2)a Siemens Assignment of On-Order Products document signed by you and your leasing company.It Siemens does not receive this required documentation by the time this Schedule A is signed,the order will be deemed a completed purchase transaction,the lease/sales designation is void and of no effect,and you will be liable to pay Siemens the Purchase Price on the Schedule A,including aU applicable taxes,pursuant to Siemens'standard payment terms,specified above. The lease/sales designation of this Schedule A is valid only upon acceptance by Siemens of the required documents,which acceptance shall be made by execution of the Schedule A end the Assignment on Order of Products by Stamens. If Siemens Is providing installation Services,and Siemens determines that a site survey is required,the prices in this Schedule A are preliminary prices pending a full ste survey of the Premises.Final prices will be provided only after completion of such a survey.Siemens provides remote project management and eight hours of in-service support as a default with all Siemens provided installations.On-site project management and flexible deployment services are listed as budgets to provide services based on the presented requirements of the installation. My Siemens provided education and training on a Siemens Ordering Document must be completed in total within six months after(i)the later of the shipment date,Cutover Date or date of acceptance,as applicable,for the Product(s)set forth on the Ordering Document,or(II)the signature date on the Ordering Document if only Siemens provided education or training Services,and no Product(s),are set forth on the Ordering Document In the event any ordered Siemens provided education and/or training is not completed in such period,Customer shall be deemed to have canceled such training and/a education.The Customer agrees that any damages Incurred by Siemens as a result of such cancellation are difficult to ascertain and that as liquidated damages and not as a penalty,all payments for the Siemens provided training deemed cancelled • shell be forfeited by Customer end Siemens will not refund or credit any charges for such education and/or training,nor apply the amount of any such education and/or training charges to any other subsequent Ordering Document Customer may place with Siemens. Overview Siemens Enterprise Communications,Inc. ("Supplier")will perform an assessment of your network to determine if it is performance characteristics are suitable to support planned Voice over IP(Vail') project(s)with separated duplex processors. Supplier will conduct a current-state("as-is")on-site analysis to identify potential problem areas and will include specific action steps necessary to mitigate or eliminate those problems. Weld County will select a site from which to base the assessment,generally recommended to be a"core"or central location. Ideally, that location is also where network administrators or other IT resources are located. Supplier will simulate voice traffic and perform measurements that indicate the effect of the coexistence of that voice traffic with the traffic regularly traversing the network. The analysis begins with an in-depth review of the network to be evaluated as well as a review of the role of Weld County in the assessment. Next,one or more Supplier personnel will test remotely to study the network and perform the analysis described above. The analysis concludes with a detailed written report of the findings,a conference call to review the findings,and a report detailing specific action steps required to remedy the problem areas identified in the assessment. Primary data collection and analysis will be performed at the following sites as identified in the site table in Section 2 below will be remotely assessed. The scope of the Network Assessment is: LAN Only WAN Only X LAN and WAN This accresment is(check one): X A new assessment to determine whether a planned Supplier HiPath Solution will function properly on the current-state network A follow up assessment to validate that recommendations set forth in a prior assessment were implemented consistent with the recommendations. Scope of Services Tasks In Scope 4 • Gather existing data network documentation and review with the Weld County technical contact for accuracy and completeness.Review key network device configurations as well as the Wide Area Network(WAN),where applicable. • Gather existing voice network documentation and review with the Weld County technical contact for accuracy and completeness.The voice network review will be limited to information required for the planned converged network. • Review the network router and/or switch configurations and associated network connectivity for each device that is in the voice critical path. • Identify and document single points of failure in voice critical path in the LAN and/or WAN in the links connecting the sites identified in the site table above. • Perform a traffic utilization analysis on the VolP voice path segments using state-of-the art diagnostic tools. • Perform further evaluation of any potential network bottlenecks and traffic patterns. • Perform RTP traffic load testing across the network utilizing provided customer call patterns. • Develop and document recommended configuration changes to be implemented as a result of the findings of this Readiness Assessment. Services Not in Scope—Additional Fees May Apply • Modifications to network infrastructure electronics,including switches and routers. • Design and/or implementation of Quality of Service(QoS)or other traffic prioritization strategies. • On-site visits include a single visit for base site. Additional visits required by customer would result in additional fees charged. • Sites included in this SOW that are not ready to be assessed will be billed and will require a future assessment to be billed separately. • Expedite cancellation and rescheduling could result in additional fees. • Any changes in scope and/or assumptions would result in additional fees applied and schedule changes. • Re-assessments will be quoted as an additional fee to the current project. 5. Deliverables Supplier will conduct a follow up conference call in which they will detail the results of the analysis. Written documentation,in electronic format,will be provided prior to that meeting. This documentation is considered work-for-hire and becomes the property of Weld County effective upon receipt of payment for these services. Deliverables include: • Updated network topology map of the key LAN and/or WAN network components that are along the voice path.Connections to remote sites are shown on the drawings,but details at the core sites are limited to the information collected or provided during the on-site assessment. This map will be in Visio 2003 format and will be delivered electronically before the debrief session. 5 • Identification of any single points of failure along the voice path of the existing network. • Network Traffic Analysis reports for all analyzed LAN and/or WAN segments. • Recommended network design enhancements that may include one or more of the following: • Network equipment upgrade recommendations • Network software and configuration recommendations • Network bandwidth expansion recommendations 6. Customer Requirements Weld County must prepare the site and provide Supplier with information described below.Network diagrams and configuration information must be provided at least 10 days prior to the scheduled engagement to allow the lead Consultant enough time to study the network and prepare for the assessment. Weld County agrees to: I) Provide Supplier with a full network diagram of all switches and routers than will transport VolP traffic.This information must be provided with the SOW. If unable to provide sufficient network documentation,the customer may engage Supplier to develop network documentation on behalf of the customer. A separate Statement of Work outlining this work must be executed before such work will be considered in-scope. • Routers and switches included in the voice path,including all port IDs • Data circuits,indicating type and speed(with CIR if applicable) • LAN wiring information media type and cable grade 2) Provide Supplier with SNMP read-only access for all voice path networking equipment at all locations within the scope of this assessment. 3) Provide Supplier with complete router and switch configuration,including: • Router and switch configuration information • SNMP read community strings for the voice path networking equipment. • IP Addresses for each routers and switches(loopback interface when available) • Software(IO5) versions 4) Provide on-site technical resources that are knowledgeable with the network,has full access to all locations where on-line network electronics are stored,and other miscellaneous support activities. 5) Install endpoints for testing RTP traffic flows. Endpoints must be installed at each remote location or on each LAN segment and remain running throughout the duration of the analysis. Complete instructions for endpoint installation and configuration will be provided in a separate document. Minimum configuration for the endpoint PCs: • Windows 2000 or Windows XP OS • Pentium IV processor,minimum I GHZ clock speed,256 MB RAM 7) Provide Supplier with endpoint IP addresses. 6 8) Place endpoints on the appropriate VLAN if you intend to run voice traffic on a separate VLAN. (recommended) 9) Enable RTP header compression,if applicable. 10) Implement QoS/Diffsery or other traffic prioritization technologies prior to the assessment,if applicable. 11) Provide real or estimated call traffic requirements between each site from each direction. • Number of site-to-site calls at each peak hour. • Average duration of site-to-site calls 7 7. Network Performance Requirements This section is to be used as a general guideline only,to provide information as to the minimum performance characteristics the network must demonstrate in order to support basic VoIP traffic. • Broadcast Traffic • Minimize broadcast domains(suggested 100 devices if possible) • Broadcast/Multicast traffic< 10% • Latency • End-to-end LAN/MAN< 10 ms • End-to-end WAN latency less than 100 ms • Total end to end latency<250 ms • Jitter • End-to-end WAN jitter less than 30 ms peak • End-to-end LAN jitter less than 10 ms peak • Loss • Packet loss less than 1%peak over 5 minute period • Bandwidth • Frame Relay,minimum 256KB CRR • Peak link usage on the LAN trunks less than 75% • Peak link usage on the WAN less than 75% • All Switches should be manageable • Separated Processor Environment(Data Traffic Assessment) • Bandwidth Requirements: I GB • In separated processor configurations,bandwidth usage on the cluster interconnect links should be routinely monitored.If occupancy consistently exceeds 70%, additional bandwidth may be required. • Latency Requirements:Tests indicate roundtrip latency should be less than 10 msec.longer delays may impede signaling,resulting in feature malfunctions,or result in unwanted alarms and recovery actions. 8 8. Travel and Expenses All remote sites will be assessed concurrently unless otherwise noted and agreed upon prior to assessment. Rescheduled assessments may be subject to additional charges. Reasonable and customary travel expenses(T&E)will be billed separately at actual cost and are not included in this fixed price. Supplier will make reasonable efforts to control T&E expenses by taking advantage of advance purchase airline tickets. If short-term schedule changes are requested by Weld County,cancellation charges may apply. In the event of a conflict of scope,terms,or conditions between this document and other contract documents(e.g., Supplier"Schedule A"),the other document will prevail.
