WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to Colorado statute and the Weld County Home Rule Charter, is vested with the authority of administering the affairs of Weld County, Colorado, and WHEREAS, the Board has been presented with an Agreement for Professional Services between the County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld County, on behalf of the Clerk and Recorder's Office, and US Imaging, Inc., commencing upon full execution of said agreement, with further terms and conditions being as stated in said agreement, and WHEREAS, after review, the Board deems it advisable to approve said agreement, a copy of which is attached hereto and incorporated herein by reference. NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld County, Colorado, that the Agreement for Professional Services between the County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld County, on behalf of the Clerk and Recorder's Office, and US Imaging, Inc., be, and hereby is, approved. BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized to sign said agreement. CR0027 AGREEMENT FOR PROFESSIONAL SERVICES THIS AGREEMENT is made by and between the County of Weld, State of Colorado, whose address is 915 10`h Street, Greeley, CO 80631 ("County"), and US Imaging, Inc., whose address is 400 S. Franklin Street, Saginaw, MI 48607 ("Contractor"). WHEREAS, County desires to retain Contractor as an independent contractor to perform Services as more particularly set forth below; and WHEREAS, Contractor has the time available to timely perform the Services, and is willing to perform the Services according to the terms of this Agreement. NOW THEREFORE, in consideration of the mutual promises and covenants contained herein, the parties hereto agree as follows: 1. Engagement of Contractor. County hereby retains Contractor, and Contractor hereby accepts engagement by County upon the terms and conditions set forth in this Agreement. 2. Term. The term of this Agreement shall be from the date of this Agreement as set forth above, through and until the date of completion of the Services promised herein. 3. Services to be Performed. Contractor agrees to perform the Services listed or referred to in Exhibit "A" (hereinafter referred to as "Services"), attached hereto and incorporated herein. Exhibit A is entitled, "Statement of Work to Scan Books and Microfilm for RFQ CR-2011-2," presented to Steve Moreno, Weld County Clerk and Recorder, dated 4. Compensation. County agrees to pay Contractor for Services performed the compensation set forth in Exhibit A. 5. Additional Work. In the event the County shall require changes in the scope, character, or complexity of the Services to be performed from that set forth in Exhibit A, and said changes cause an increase or decrease in the time required or the costs to the Contractor for performance, an equitable adjustment in fees and completion time shall be negotiated between the parties and this Agreement shall be modified accordingly by a supplemental Agreement. Any claims by the Contractor for adjustment hereunder must be made in writing prior to performance of any work covered in the anticipated supplemental Agreement. Any change in work made without such prior supplemental Agreement shall be deemed covered in the compensation and time provisions of this Agreement. 6. Independent Contractor. Contractor agrees that Contractor is an independent contractor and that neither Contractor nor Contractor's agents or employees are, or shall be deemed to be, agents or employees of the County for any purpose. Contractor shall have no authorization, express or implied, to bind the County to any agreement, liability, or 1 2012-0160 understanding. The parties agree that Contractor will not become an employee of County, nor is Contractor entitled to any employee benefits from County as a result of the execution of this Agreement. 7. Warranty. Contractor warrants that Services performed under this Agreement will be performed in a manner consistent with the professional standards governing such Services and the provisions of this Agreement. 8. Reports County Property. All reports, test results and all other tangible materials produced in connection with the performance of this Agreement, whether or not such materials are in completed form, shall at all times be considered the property of the County. Contractor shall not make use of such material for purposes other than in connection with this Agreement without prior written approval of County. 9. Acceptance of Product not a Waiver. Upon completion of the work, Contractor shall submit to County originals of all test results, reports, etc., generated during completion of this work. Acceptance by County of reports and incidental material furnished under this Agreement shall not in any way relieve Contractor of responsibility for the quality and accuracy of the work. Acceptance by the County of, or payment for, any Services performed under this Agreement shall not be construed as a waiver of any of the County's rights under this Agreement or under the law generally. 10. Insurance and Indemnification. Contractor shall defend and indemnify County, its officers and agents, from and against loss or liability arising from Contractor's acts, errors or omissions in seeking to perform its obligations under this Agreement. Contractor shall provide necessary workers' compensation insurance at Contractor's own cost and expense. 11. Termination. Either party may terminate this Agreement at any time by providing the other party with a sixty (60) day written notice thereof. Furthermore, this Agreement may be terminated at any time without notice upon a material breach of the terms of the Agreement. In the event of an early termination, Contractor shall be paid for work performed up to the time of notice and County shall be entitled the use of all material generated pursuant to this Agreement. 12. Non-Assignment. Contractor may not assign or transfer this Agreement, any interest therein or claim thereunder, without the prior written approval of County. 13. Access to Records. County shall have access to Contractor's financial records as they relate to this Agreement for purposes of audit. Such records shall be complete and available for audit 90 days after final payment hereunder and shall be retained and available for audit purposes for at least five years after final payment hereunder. 14. Time of Essence. Time is of the essence in each and all of the provisions of this Agreement. 2 15. Interruptions. Neither party to this Agreement shall be liable to the other for delays in delivery or failure to deliver or otherwise to perform any obligation under this Agreement, where such failure is due to any cause beyond its reasonable control, including but not limited to Acts of God, fires, strikes, war, flood, earthquakes or Governmental actions. 16. Notices. Any notice required to be given under this Agreement shall be in writing and shall be mailed or delivered to the other party at that party's address as stated above. 17. Compliance. This Agreement and the provision of Services hereunder shall be subject to the laws of Colorado and be in accordance with the policies, procedures, and practices of County. 18. Non-Exclusive Agreement. This Agreement is nonexclusive and County may engage or use other contractors or persons to perform Services of the same or similar nature. 19. Certification. Contractor certifies that Contractor is not an illegal immigrant, and further, Contractor represents, warrants, and agrees that it has verified that Contractor does not employ any illegal aliens. If it is discovered that Contractor is an illegal immigrant, employs illegal aliens or subcontracts with illegal aliens, County can terminate this Agreement and Contractor may be held liable for damages. 20. Entire Agreement/Modifications. This Agreement contains the entire agreement between the parties with respect to the subject matter contained in this Agreement. This instrument supersedes all prior negotiation, representation, and understanding or agreements with respect to the subject matter contained in this Agreement. This Agreement may be changed or supplemented only by a written instrument signed by both parties. 21. Funding Contingency. No portion of this Agreement shall be deemed to create an obligation on the part of County to expend funds not otherwise appropriated or budgeted for. 22. No Conflict. No employee of Contractor nor any member of Contractor's family shall serve on a County Board, committee or hold any such position which either by rule, practice or action nominates, recommends, supervises Contractor's operations, or authorizes funding to Contractor. 23. Severability. If any term or condition of this Agreement shall be held to be invalid, illegal, or unenforceable, this Agreement shall be construed and enforced without such provision, to the extent that this Agreement is then capable of execution within the original intent of the parties. 24. Governmental Immunity. No portion of this Agreement shall be deemed to constitute a waiver of any immunities the parties or their officers or employees may possess. 3 25. No Third Party Beneficiary. It is expressly understood and agreed that the enforcement of the terms and conditions of this Agreement, and all rights of action relating to such enforcement, shall be strictly reserved to the undersigned parties and nothing in this Agreement shall give or allow any claim or right of action whatsoever by any other person not included in this Agreement. It is the express intention of the undersigned parties that any entity other than the undersigned parties receiving Services or benefits under this Agreement shall be an incidental beneficiary only. 26. No Resale of Images. Contractor shall not resell the images produced pursuant to the Services contemplated herein except if such resale is approved by and through written consent of County. Weld County CR-2011-2 December 15,2011 Page 13 Phase 1, 5-7: Scan 35mm Rollfilm Books 488-957 (Years 1963-1982) Weld County Requirements: • Work Area -County will provide a 6' x 12' space inside the County Building, near the vault with access 24 hours per day, 7 days a week, electricity, lighting and heat/air to allow on-site scanning. If on-site access is not available 24/7 within the County Building, County will provide a 8' x 16' space on County Property as close to the vault as possible with 24/7 access, electricity, to allow on-premise scanning in our mobile scan center. If on-site or on- premise is less than 24/7, the on-site time and investment will change according to the hours and days available. • Original Rolls—County will retrieve all the silver original rolls for the book range of this project. • On-Line Inventory Report— US Imaging will provide an On-Line Inventory Report that the County can utilize to key in the first and last Reception#, Book#and Storage Box#, before the film is transported or scanned. • Hardware—County will allocate 73GB hard drive storage to import TIFF images into the system. • Import—County will work with Tyler to import images into the imaging system. • Pilot Review- County will inspect the first 500 images and indexes each time the media changes. • Poor Quality Review— US Imaging will provide a poor quality image report and image viewing software program called PQReview for the County to inspect and approve poor quality images prior to enhancement. US Imaging Requirements: Stage 1 — Capture • On-Site Scanning —We will provide all necessary hardware, software, staff, project managers and mobile scan center to perform scanning on-site or on-premise 24 hours per day, 7 days a week. If access to film is less than 24/7, the time and investment to complete will change according to the days and hours available. • Off-Site Scanning—The microfilm is irreplaceable and extremely valuable, we highly recommend on-site scanning as proposed, however, if the County does not wish to make the investment for on-site scanning, we will utilize our own trucks and drivers to transport the film to directly to and from our facility at no additional charge. (subtract the entire on-site charge from the pricing spreadsheet for Phase 1). • Inventory Report— US Imaging will provide an On-Line Inventory Report for the customer to input tracking information into. If the County does not have time to input the tracking information, US Imaging can inventory the film and populate the Inventory Report for a travel and daily on-site fee. • Rollfilm Inspection — Each roll will be inspected for splices and consistent density throughout each roll. An electronic densitometer will be utilized at each splice to obtain the exact grayscale of each splice of film. Exact grayscale readings will be utilized to determine the optimum scanner settings for each section of film. Microfilm will be cleaned, if necessary, to minimize the amount of dust particles on the film prior to scanning. Splices will be replaced if necessary. If Diazo copies are interfiled with silver film, the Diazo rolls will be removed from the original filing system and stored in order in a separate Diazo filing system away from the silver rolls. If Vinegar Syndrome or Redox is present, we will notify the County and request different film or duplicate the film for the County to replace the deteriorating film. • Rollfilm Scanning - Microfilm contains 256 shades of gray. 100% of the microfilm images will be scanned at 300 dpi and saved in both grayscale JPEG and black &white TIFF formats. Both JPEG and TIFF images are sequentially numbered by a zero filled 8 digit number and stored in folders named by Document Type and Book#. • USB Hard Drives—Within 1 month after scanning, 100%of the single page JPEG &TIFF images will be copied to 2 sets of external 1TB USB Hard Drives. 1 set will be shipped to the County for review and on-site backup. 1 set will be stored at US Imaging for Stage 2 cropping & inspecting and Stage 3 enhancing, indexing & off-site backup. ImageXpress—We will provide the County with a retrieval software program called ImageXpress that will allow the County to easily retrieve the single page TIFF and JPEG images by the Book and Page#from the USB Hard Drives while the images are being processed in Stage 2 and 3. • Pilot Images—500 images from each media change will be cropped, enhanced, grouped as documents, indexed by a Tyler approved Unique Document #, Reception#, Grantors, Grantees, Reception Date, Book and Page#, # of pages and saved as single page TIF's named by an 8 digit Reception# and a 3 digit Extension #. Weld County CR-2011-2 December 15, 2011 Page 15 Stage 2—Crop & Inspect • Automatic Crop & Deskew- Each TIFF image will be automatically cropped to remove solid black borders and deskewed for optimum file compression. Despeckle is not performed on scanned images. • Excess Border Removal—Due to certain camera backgrounds, page sizes, scratches on film and film formats, the automatic crop included in automatic cropping may leave large white borders, black borders, black lines and shadows on the images. Manual cropping is performed to provide a more accurate original page size, fewer bytes per image and better performance of your system and overall appearance of every image. No data or marginal notations will be removed from the image during this process. • Image Inspection — Each image will be visually inspected as a 12"W x 16"H image on 20" Portrait monitors at full size and checked for sequential order, missing pages, duplicate pages, "A" pages, retakes and image quality. Particular attention is to be given to the party names, legal description, signatures, time-date stamps and Book- • Page numbers during this process. If any part of the image is considered illegible it will be added to the Poor Quality Image Report. Issues include: (light, dark, blurry, A Page, missing, duplicate or out of order). • Poor Quality Image Report— US Imaging will provide a report that identifies the Book#, Image#and reason why it has been flagged (light, dark, blurry, A Page, missing, duplicate or out of order). • PQReview -We will provide the County with a software program called PQReview that will allow the County to easily sort the Poor Quality Report by Book-Image#or Poor Quality Issue (light, dark, etc). PQReview can also filter the images by poor quality issue to isolate specific issues of concern and minimize the number of images that need to be reviewed. PQReview will display the poor quality image so the County can see the problem with the image and deselect it from the list if the image is of acceptable quality to the County. PQReview highlights images on the list after they have been inspected so the users know if the image has already been inspected or not. Once inspection is complete, PQReview exports an approved list of images to be enhanced that can be easily e-mailed to US Imaging and provide approval to proceed to Stage 3. This tool dramatically reduces the number of images that need to be inspected by the County and provides the County with complete control over the quality and budget. • Missing Pages—When a missing page is located, US Imaging will e-mail the County and request a copy be scanned and e-mailed or an original be shipped to US Imaging. Pages that cannot be located will be identified as "Unused" and an "Unused Page#" flyer will be inserted in their place. • USB Hard Drives— 100% of the cropped single page TIFF images, the Poor Quality Image Report and PQReview will be copied to 2 sets of external 1TB USB Hard Drives. 1 set will be shipped to the County for review and on- site backup. 1 set will be stored at US Imaging for Stage 3 enhancing, indexing and off-site backup. '/J.____ I i `r. 711121 s roan.! ..1 t' Weld County CR-2011-2 December 15,2011 Page I7 Stage 3 —Enhance & Group • Image Enhancement—US Imaging has the ability to adjust the black and white contrast of poor quality TIFF Images from the 256 shades of gray contained within the JPEG images. We will only enhance County approved images on the poor quality image report. We can adjust the contrast of the entire page or any specific area on a page to provide the most legible images possible. • Rescanning— Some images may be missing, cut off or so poor that enhancement cannot produce a legible image. We will return to the County after all enhancement has been completed to physically rescan the JPEG image a second time at a lighter or darker setting to see if it is possible to obtain a more legible copy. Rescans will be enhanced and inserted into their proper locations. • Grouping —Our experienced staff will inspect 100% of the TIFF images and group individual pages together as documents. Stage 4— Indexing & Formatting • Indexing—All indexing is accomplished via double-key, blind verification. The first indexer keys the characters, A second indexer keys the characters from the same fields without seeing the first indexer's results, software compares the two and if there are any discrepancies, it goes to a third operator who compares them both with the image and keys the correct index. This methodology provides 99.95% accuracy or higher. We add a final QC step thereafter where an operator compares the final index to the image and makes any needed corrections. This allows us to confidently guarantee these accuracy rates at the character level. • Index Fields—Will match those requested in the RFQ. In addition to the RFQ, US Imaging will index the Doc Type of each document. The Doc Type code delivered to the County will come from a pre-determined list between the County and US Imaging. If on-site access is not available 24/7 within the County Building, County will provide a 8' x 16' space on County Property as close to the vault as possible with 24/7 access, electricity, to allow on-premise scanning in our mobile scan center. If on-site or on- premise is less than 24/7, the on-site time and investment will change according to the hours and days available. • Original Rolls—County will retrieve all the silver original rolls for the book range of this project. • On-Line Inventory Report— US Imaging will provide an On-Line Inventory Report that the County can utilize to key in the first and last Reception#, Book#and Storage Box#, before the film is transported or scanned. • Hardware—County will allocate 50GB hard drive storage to import TIFF images into the system. • Import—County will work with Tyler to import images into the imaging system. • Pilot Review- County will inspect the first 500 images and indexes each time the media changes. • Poor Quality Review— US Imaging will provide a poor quality image report and image viewing software program called PQReview for the County to inspect and approve poor quality images prior to enhancement. US Imaging Requirements: Stage 1 —Capture • On-Site Scanning—We will provide all necessary hardware, software, staff, project managers and mobile scan center to perform scanning on-site or on-premise 24 hours per day, 7 days a week. If access to books is less than 24/7, the time and investment to complete will change according to the days and hours available. • Off-Site Scanning—The Books are irreplaceable and extremely valuable, we highly recommend on-site scanning as proposed, however, if the County does not wish to make the investment for on-site scanning, we will utilize our own trucks and drivers to transport the books directly to and from our facility for 50% less than on-site scanning. (simply multiply the on-site charge on the pricing spreadsheet by .50 for Phases 2-4) • Inventory Report— US Imaging will provide an On-Line Inventory Report for the customer to input tracking information into. If the County does not have time to input the tracking information, US Imaging can inventory the film and populate the Inventory Report for a travel and daily on-site fee. • Book Tracking — Labels will be applied to the Counties shelving units to identify the location where books are to returned after scanning. Labels will be removed once scanning is completed. • Book Inspection - If books or pages in mechanical binders require sorting or preparation, we can sort or prep them for$25.00 per hour. If pages are too fragile to handle, we will bring this to the Counties attention and recommend a Book Restoration and Binding Company. • Book Handling - Books will be removed from shelves in sequential order. Bound pages will remain in the binder and placed in a custom book cradle during capture to hold 2 pages (left & right) open, flat, level and in focus. Pages in mechanical binders that are smaller than 12"will be removed from the binders and fed through a document scanner. After scanning, pages will be placed back into mechanical binders and books will be put back onto shelves in order. • Book Scanning — Bound Books contain millions of colors and Photostat Books contain 256 shades of gray. 100% of the microfilm images will be scanned at 300 dpi and saved in both grayscale JPEG and black&white TIFF formats. Both JPEG and TIFF images are sequentially numbered by a zero filled 8 digit number and stored in folders named by Document Type and Book#. • USB Hard Drives—Within 1 month after scanning, 100% of the single page JPEG &TIFF images will be copied to 2 sets of external 1TB USB Hard Drives. 1 set will be shipped to the County for review and on-site backup. 1 set will be stored at US Imaging for Stage 2 cropping & inspecting and Stage 3 enhancing, indexing &off-site backup. ImageXpress—We will provide the County with a retrieval software program called ImageXpress that will allow the County to easily retrieve the single page TIFF and JPEG images by the Book and Page#from the USB Hard Drives while the images are being processed in Stage 2 and 3. • Pilot Images—500 images from each media change will be cropped, enhanced, grouped as documents, indexed by a Tyler approved Unique Document #, Reception#, Grantors, Grantees, Reception Date, Book and Page#, # of pages and saved as single page TIF's named by an 8 digit Reception #and a 3 digit Extension#. Weld County CR-2011-2 December 15,2011 Page 113 Stage 2—Crop & Inspect • Automatic Crop& Deskew- Each TIFF image will be automatically cropped to remove solid black borders and deskewed for optimum file compression. Despeckle is not performed on scanned images. • Excess Border Removal— Due to certain camera backgrounds, page sizes, scratches on film and film formats, the automatic crop included in automatic cropping may leave large white borders, black borders, black lines and shadows on the images. Manual cropping is performed to provide a more accurate original page size, fewer bytes per image and better performance of your system and overall appearance of every image. No data or marginal notations will be removed from the image during this process. • Image Inspection — Each image will be visually inspected as a 12"W x 16"H image on 20" Portrait monitors at full size and checked for sequential order, missing pages, duplicate pages, "A" pages, retakes and image quality. Particular attention is to be given to the party names, legal description, signatures, time-date stamps and Book- • Page numbers during this process. If any part of the image is considered illegible it will be added to the Poor Quality Image Report. Issues include: (light, dark, blurry, A Page, missing, duplicate or out of order). • Poor Quality Image Report— US Imaging will provide a report that identifies the Book#, Image#and reason why it has been flagged (light, dark, blurry, A Page, missing, duplicate or out of order). • PQReview -We will provide the County with a software program called PQReview that will allow the County to easily sort the Poor Quality Report by Book-Image#or Poor Quality Issue (light, dark, etc). PQReview can also filter the images by poor quality issue to isolate specific issues of concern and minimize the number of images that need to be reviewed. PQReview will display the poor quality image so the County can see the problem with the image and deselect it from the list if the image is of acceptable quality to the County. PQReview highlights images on the list after they have been inspected so the users know if the image has already been inspected or not. Once inspection is complete, PQReview exports an approved list of images to be enhanced that can be easily e-mailed to US Imaging and provide approval to proceed to Stage 3. This tool dramatically reduces the number of images that need to be inspected by the County and provides the County with complete control over the quality and budget. • Missing Pages—When a missing page is located, US Imaging will e-mail the County and request a copy be scanned and e-mailed or an original be shipped to US Imaging. Pages that cannot be located will be identified as "Unused" and an "Unused Page#" flyer will be inserted in their place. • USB Hard Drives— 100% of the cropped single page TIFF images, the Poor Quality Image Report and PQReview will be copied to 2 sets of external 1TB USB Hard Drives. 1 set will be shipped to the County for review and on- site backup. 1 set will be stored at US Imaging for Stage 3 enhancing, indexing and off-site backup. Stage 3— Enhance & Group • Image Enhancement— US Imaging has the ability to adjust the black and white contrast of poor quality TIFF Images from the 256 shades of gray contained within the JPEG images. We will only enhance County approved images on the poor quality image report. We can adjust the contrast of the entire page or any specific area on a page to provide the most legible images possible. • Marginal Notations—Photostat Books commonly contain a white border around the black page. Book-Page#, Reference Book-Page#and Release information is commonly located in this white border and are called Marginal Notations. We have the unique ability to include these notations in the image and make all the background white and all the text and handwriting black. • Dual Polarity Correction —The majority of Photostat pages are Black background with white text, however some pages contain a mix where a portion of the page contains black background white text and another portion contains white background with black text. US Imaging has the unique ability to correct this issue and adjust the background polarity so the entire page contains white background with black writing. This will reduce storage space and will save a huge amount of toner when printing. • Multiple Documents Per Page— Most old books were transcribed by hand or typewriter and contain multiple documents on each page. Most imaging systems require each document to have their own set of images so we will duplicate the pages accordingly so that each document has it's own set of images for each document. • Masking —When multiple documents appear on a single image, some Counties request that we mask the unwanted document from the image so 2 documents do not appear on the same page. • Rescanning—Some images may be missing, cut off or so poor that enhancement cannot produce a legible image. We will return to the County after all enhancement has been completed to physically rescan the JPEG image a second time at a lighter or darker setting to see if it is possible to obtain a more legible copy. Rescans will be enhanced and inserted into their proper locations. • Grouping —Our staff will inspect 100% of the TIFF images and group individual pages together as documents. Weld County CR-2011-2 December 15,2011 Page 114 Stage 4—Indexing & Formatting • Indexing—All indexing is accomplished via double-key, blind verification. The first indexer keys the characters, A second indexer keys the characters from the same fields without seeing the first indexer's results, software compares the two and if there are any discrepancies, it goes to a third operator who compares them both with the image and keys the correct index. This methodology provides 99.95% accuracy or higher. We add a final QC step thereafter where an operator compares the final index to the image and makes any needed corrections. This allows us to confidently guarantee these accuracy rates at the character level. • Index Fields—Will match those requested in the RFQ. In addition to the RFQ, US Imaging will index the Doc Type of each document. The Doc Type code delivered to the County will come from a pre-determined list between the County and US Imaging.
