RE: APPROVE AGREEMENT CONCERNING PURCHASE OF RIGHT-OF-WAY FOR
CERTAIN IMPROVEMENTS TO COUNTY ROADS 60.5 AND 53 AND AUTHORIZE
CHAIR TO SIGN ALL NECESSARY DOCUMENTS - CHURCH OF JESUS CHRIST
OF LATTER-DAY SAINTS
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, the Board has been presented with an Agreement Concerning the
Purchase of Right-of-Way for Certain Improvements to County Roads 60.5 and 53 between the
County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld
County, on behalf of the Department of Public Works, and the Church of Jesus Christ of Latter-
Day Saints, 50 East North Temple Street, Salt Lake City, Utah 84150, with terms and conditions
being as stated in said agreement, and
WHEREAS, after review, the Board deems it advisable to approve said agreement, a
copy of which is attached hereto and incorporated herein by reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of
Weld County, Colorado, that the Agreement Concerning the Purchase of Right-of-Way for
Certain Improvements to County Roads 60.5 and 53 between the County of Weld, State of
Colorado, by and through the Board of County Commissioners of Weld County, on behalf of the
Department of Public Works, and the Church of Jesus Christ of Latter-Day Saints be, and
hereby is, approved.
BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized
to sign all related documents.
The above and foregoing Resolution was, on motion duly made and seconded, adopted
by the following vote on the 8th day of October, A.D., 2012.

DEPARTMENT: WELD COUNTY PUBLIC WORKS DEPARTMENT DATE: August 1, 2012

Brief description of the problem/issue:
On June 11, 2012, Weld County offered $1598.00 for acquisition of 0.26 acre of Right of Way, 0.02 acre of
Permanent Easement, and 0.02 acre of Temporary Construction Easement along with $57.00 for damage to the
existing wheat field. On July 3, 2012, the church asked for an additional $1500.00 administrative fee for legal
review, consultant, and closing review. This was approved by Pat Persichino and we notified the church to
proceed; the church would not proceed without funding. We then received the counter offer from the church of
$4000.00. The itemized list attached.
If we agree to this counter offer, it will take three to four weeks for the Church to get approval from their Board.
Since our construction project will be constructed in phases and this area is in the 4th phase, we are not as
rushed as with the previous parcels.
What options exist for the Board? (Include consequences, impacts, costs, etc. of options)
Accept this counter offer and move forward with the final agreement or schedule a work session to discuss
further.
Recommendation to the Board:
Since the total increase is only approximately $900.00 and the cost per acre is $5000, the Department
recommends accepting this counter offer.

WELD COUNTY ROAD 60'/ AND 53 BETWEEN CORPORATION OF THE PRESIDING
BISHOP OF THE CHURCH OF JESUS CI IRIST OF LATTER-DAY SAINTS AND WELD
COUNTY, COLORADO
THIS AGREEMENT is made this Ili day of Otf eer, 2012, by and between
Corporation of the Presiding Bishop of the Church of Jesus Christ of Latter Day Saints, a Utah
corporation sole, whose address is 50 East North Temple Street, Salt Lake City, Utah 84150,
hereinafter referred to as"Owner,"and the County of Weld,a body corporate and politic of the State
of Colorado,by and through its Board of County Commissioners,whose address is 1150 'O' Street,
Greeley, Colorado 80631 hereinafter referred to as "County."
WITNESSETH:
WHEREAS, County finds it necessary to rebuild and improve Weld County Road 6012 and
53, and
WHEREAS, Owner owns the property described in the attached Exhibit "A" hereinafter
referred to collectively as "Right-of-Way", and
WHEREAS, County needs the Right-of-Way in order to complete said rebuilding and
improvement project, and
WHEREAS, said rebuilding and improvement project involves the construction and
realignment of said roadway, and
WHEREAS, Owner wishes to cooperate with County in said road improvement.
NOW, THEREFORE, the parties herein agree as follows:
1. Owner agrees to sell and County agrees to purchase the Right-of-Way shown and/or
described on Exhibit "A" (right of way) attached hereto and hereinafter referred to
herein as the"Right-of-Way"for the sum of One Thousand Three Hundred Two and
no/100 ($1302.00) dollars.
2. Owner agrees to grant the Right-of-Way to County by Deed of Dedication, without

warranty and in form acceptable to Owner, subject to all existing easements, rights,
rights-of-way, reservations, reservations in patents, conditions, restrictions,
covenants,taxes and assessments of record or enforceable at law or in equity. Owner
shall retain the Mineral Rights under the Right of Way, and shall also retain any
water rights currently attached or associated with the Right of Way. For purposes of
this Agreement, "Mineral Rights" include, whether on, in or under the Land, all of
the following: minerals,whether common or precious;coal;carbons;hydrocarbons;
oil; gas; petroleum; chemical elements and substances, whether in solid, liquid or
gaseous form; and steam and all other sources of geothermal energy on, in or under
the Right-of-Way. In the event all or part of the Mineral Rights have been reserved
or severed previously from the surface estate, Owner shall reserve,except and retain
all of the Mineral Rights not previously reserved and Owner shall reserve,except and
retain its after-acquired title to all of the Mineral Rights to the extent that prior
reservations thereof are released or abandoned after the date of the Deed of
Dedication.
3. County shall pay for the cost of obtaining title insurance if County desires to obtain
title insurance for the right of way. County shall pay all fees associated with
recording the Deed of Dedication.
4. The parties hereby agree that neither has made or authorized any agreement with
respect to the subject matter of this instrument other than expressly set forth herein,
and no oral representation,promise,or consideration different from the terms herein
contained shall be binding on either party, or its agents or employees, hereto. This
Agreement embodies all agreements between the parties hereto and there are no
promises, terms, conditions, or obligations referring to the subject matter whereof
other than as contained herein.
5. Although the date of the transfer of the Right-of-Way shall be the date of the delivery
of the documents of conveyance,it is expressly agreed by the parties hereto that upon
execution of this Agreement by County and Owner, County, its contractors, agents,
employees, and all others deemed necessary by County shall have the irrevocable
right to possess and use all of the Right-of-Way for the purpose of said rebuilding
and improvement project. Date of payment of compensation (including the
compensation described in paragraph 1 and all reimbursements described in
paragraphs 6, and 7 hereof) is the date of delivery of the Deed of Dedication.
6. County will reimburse the Owner the sum of Fifty Seven and no/100($57.00)dollars
for the damage to 0.22 acres of existing wheat.
7. County will reimburse the Owner the sum of Two Thousand($2000.00)dollars for
Administration fee (Fifteen Hundred Dollars ($1500.00)) and Broker value finding

IT IS MUTUALLY AGREED that the terms and conditions of this Agreement shall extend to
and be binding upon the heirs, executors, administrators, successors, and assigns of the respective

DEED OF DEDICATION
KNOW ALL MEN BY THESE PRESENTS that Corporation of the Presiding Bishop of
the Church of Jesus Christ of Latter-day Saints, a Utah corporation sole ("Grantor"), whose
address is 50 East North Temple Street, Salt Lake City, Utah 84150, being all of the owners of
certain property in Weld County, Colorado, which is described in the attached exhibit"A" (the
"Property"), do hereby dedicate forever said Property as parts of a public highway, pursuant to
Colorado Revised Statute 43-2-201(1)(a).
GRANTOR SPECIFICALLY RESERVES, EXCEPTS AND RETAINS all Mineral
Rights. For purposes of this instrument, "Mineral Rights" include, whether on, in or under the
Property, all of the following: minerals, whether common or precious; coal; carbons;
hydrocarbons; oil; gas; petroleum; chemical elements and substances, whether in solid, liquid or
gaseous form; and steam and all other sources of geothermal energy on, in or under the above-
