SPECIAL WARRANTY DEED
THIS DEED, dated as ofocidl L9 , 2011, between STREAR FARMS
COMPANY,a Colorado corporation("Grantor"),and BB COLORADO HOLDINGS LLC,a
Colorado limited liability company, whose address is 1628 Garners Chapel Road, Mt. Olive,
North Carolina 28365 ("Grantee").
WITNESS, that Grantor, for the consideration of the sum of Ten and 00/100 Dollars
($10.00) and other good and valuable consideration, the receipt and sufficiency of which are
hereby acknowledged, has granted, bargained, sold and conveyed, and by these presents does
grant,bargain,sell,convey and confirm unto Grantcc, forever,all the real property, together with
improvements situate, lying and being in the County of Weld, and State of Colorado, described
as follows:

INCORPORATED HEREIN BY THIS REFERENCE
(the"Property")
TOGETHER WITH all and singular the hereditaments and appurtenances thereunto
belonging, or in any ways appertaining, and the reversion and reversions, remainder and
remainders, rents, Issues and profits thereof, and all the estate, right, title, interest, claim and
demand whatsoever, of the Grantor, either in law or equity, of, in and to the above bargained
premises,with the hereditaments and appurtenances;
EXCEPTING AND RESERVING unto Grantor all oil, gas, coal and other minerals
underlying the Property and all rights relating thereto, including the right to use of the surface to
extract the same; provided such surface use shall not unreasonably interfere with the use and
enjoyment of the Property by the fee owners and their tenants;
TO HAVE AND TO HOLD the said premises above bargained and described, with the
appurtenances, unto the Grantee, its successors and assigns forever. Grantor, for itself, its
successors and assigns, does covenant and agree that it shall and will WARRANT AND
FOREVER DEFEND the above bargained premises in the quiet and peaceable possession of the
Grantee,its successors and assigns,against all and every person or persons claiming the whole or
any part thereof, by, through or under the Grantor, except for and subject to the "Permitted
Exceptions", which shall mean (a)real property taxes for 2011 and subsequent years,a lien, not
yet due and payable; (b)any matter of record or not of record that in any way affects title to the
applicable parcel of Property which resulted from the acts or omissions of Grantee or ConAgra
Poultry Company; and (c) the reservations, exceptions, easements, rights of way, restrictive
covenants, conditions and other matters listed as Permitted Exceptions on Exhibit B'rattached
hereto.
