RESOLUTION RE: APPROVE FIRST AMENDMENT TO CONTRACT TO BUY AND SELL REAL ESTATE AND AUTHORIZE CHAIR TO SIGN ANY NECESSARY DOCUMENTS - CITY OF GREELEY WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to Colorado statute and the Weld County Home Rule Charter, is vested with the authority of administering the affairs of Weld County, Colorado, and WHEREAS, the Board has been presented with the First Amendment to the Contract to Buy and Sell Real Estate for a parcel of land described in Exhibit A of said amendment between the County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld County, and the City of Greeley, commencing upon full execution, with further terms and conditions being as stated in said amendment, and WHEREAS, after review, the Board deems it advisable to approve said amendment, a copy of which is attached hereto and incorporated herein by reference. NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld County, Colorado, that the First Amendment to the Contract to Buy and Sell Real Estate between the County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld County, and the City of Greeley, be, and hereby is, approved. BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized to sign any necessary documents. WHEREAS, Buyer and Seller previously entered into a Contract to Buy and Sell Real Estate ("Contract"), for purchase of a parcel of land described in Exhibit A attached hereto and incorporated by reference herein; and WHEREAS, a Phase II Environmental Site Assessment discovered a recognized environmental condition on the property; and WHEREAS, Buyer made an inspection objection on August 15, 2013; and WHEREAS, the Parties wish to amend Sections 3 and 30 of the Contract; and WHEREAS, the Parties desire to reduce their agreements to writing; NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein and in the Contract, the Parties agree as follows: 1. Extension of Inspection Resolution Deadline, Due Diligence Documents Objection Deadline, Environmental Inspection Objection Deadline, and Closing Date. Section 3 of the Contract is amended to extend the Inspection Resolution Deadline, Due Diligence Documents Objection Deadline, and Environmental Inspection Objection Deadline to October 15, 2013, and to extend the Closing Date to November 14, 2013. 2. Addition of Section 30.5. Section 30.5, Responsibility for Additional Inspections, is hereby added to the Contract as follows: Notwithstanding § 10.4, following Buyer's inspection objection made on August 15, 2013, any additional inspections, tests, surveys, engineering reports, or other reports ("Work"), not including Work already completed at the request of Buyer, shall be the responsibility of Seller, including payment for and damages to the Property resulting from such Work, unless otherwise agreed to by the Parties. 3. Addition of Section 30.6. Section 30.6, Environmental Indemnification, is hereby added to the Contract as follows: Upon Closing, Seller shall assume all responsibility for Remediation of Hazardous Substances, Wastes or Materials as defined in the Comprehensive Environmental Response, Compensation, and Liability Act, as amended (42 U.S.C. Section 9601, et seq.), the Clean Water Act, as amended (33 U.S.C. 2013-2613 Section 1251, et seq.), the Hazardous Materials Transportation Act, as amended (49 U.S.C. Section 5101, et seq.), the Resource Conservation and Recovery Act, as amended (42 U.S.C. Section 6901, et seq.), the Toxic Substances Control Act, as amended (15 U.S.C. Section 2601, et seq.), and any other applicable Environmental Laws and regulations adopted thereunder, and, to the extent permitted by law, release, defend, indemnify, and hold Buyer harmless against and from all Claims and Losses or any other costs associated with or arising from the Release of Hazardous Substances, Wastes, or Materials in, on, or under the Property attributable to periods of time prior to Closing. 4. Buyer's obligations under this First Amendment to Contract to Buy and Sell Real Estate are contingent upon the approval of the First Amendment by the City of Greeley Water and Sewer Board and City Council. 5. Except as specifically modified herein, all the terms of the Contract remain in full force and effect. 6. A copy of this document may be executed by each party, separately, and when each party has executed a copy thereof, such copies taken together shall be deemed to be a full and complete agreement between the parties.
