RE: APPROVE AGREEMENT FOR RELOCATION OF HEADGATE AND RELATED
FACILITIES AND AUTHORIZE CHAIR TO SIGN - FARMERS INDEPENDENT DITCH
COMPANY (FIDCO)
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, the Board has been presented with an Agreement for Relocation of Headgate
and Related Facilities between the County of Weld, State of Colorado, by and through the Board
of County Commissioners of Weld County, on behalf of the Department of Public Works, and
Farmer's Independent Ditch Company (FIDCO), with terms and conditions being as stated in said
agreement, and
WHEREAS, after review, the Board deems it advisable to approve said irrigation
relocation agreement, a copy of which is attached hereto and incorporated herein by reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld
County, Colorado, that the Agreement for Relocation of Headgate and Related Facilities between
the County of Weld, State of Colorado, by and through the Board of County Commissioners of
Weld County, on behalf of the Department of Public Works, and Farmers Independent Ditch
Company (FIDCO) be, and hereby is, approved.
BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized to
sign said agreement.
The above and foregoing Resolution was, on motion duly made and seconded, adopted
by the following vote on the 10th day of April, A.D., 2013.

Brief description of the problem/issue:
The proposed replacement of Bridge 42/29A and associated realignment of the WCR 42/29 intersection requires
some utility and irrigation facility relocations. Farmers Independent Ditch Company (FIDCO) is required to
relocate an existing irrigation head -gate and pump station. These items are located within an area owned by
FIDCO and will be relocated downstream to a location which no longer conflicts with a concrete box culvert the
County is planning to construct. FIDCO has agreed to perform this work at the projects expense, utilizing their
construction contractor (Quality Well & Pump). This Irrigation Relocation Agreement entails reimbursement of
the estimated costs in the amount of $17,287.84.
This project has been budgeted in 2013 and these proposed irrigation relocation costs have been planned for in
the project budget. Stephanie Arries has reviewed the agreement.
What options exist for the Board:
The Board can choose to sign or not to sign the attached FIDCO Irrigation Relocation Agreement. The concrete
box culvert construction cannot proceed without relocating the irrigation facilities in conflict with the
road/bridge improvements. If the Agreement is approved, Quality Well & Pump will perform the relocation
work and the County will reimburse FIDCO for the costs involved.
Recommendation to the Board:
Public Works recommends signing the FIDCO Irrigation Relocation Agreement. They are willing to complete
the work prior to this upcoming irrigation season.

FIDCO initially submitted a lump -sum cost for the work specified in the Agreement.
Mike Bedell telephoned them to requested a detailed cost breakdown from their contractor, and
requested them to show how they arrived at their final amount (see attached). Mike then
checked the material unit prices and quantities to make sure they were reasonable with
comparable other projects we've had. For one of the high -dollar items, the $4,000 water
pump, he went on the internet to make sure it really costs that much. The labor and
equipment rates were compared to time & materials on similar work we did in the past and
these costs were also comparable to those to CDOT's website that has their cost data. All
this analysis showed that these costs are reasonable.
> Another consideration is that using FIDCO's preferred contractor, who knows their
accepted approaches (their request), gives us an arms length relationship should there be
future concerns on the performance of the reconstructed items.

AGREEMENT FOR RELOCATION OF HEADGATE AND RELATED FACILITIES
BETWEEN FARMERS INDEPENDENT DITCH COMPANY and WELD COUNTY
(WCR 42 and WCR 29 INTERSECTION BRIDGE REPLACEMENT)
THIS AGREEMENT, made by and entered into th•is [o diltay of Q( 1� , 2013, by and
between FARMERS INDEPENDENT DITCH COMPANY, a Colorado non-profit corporation
with an office located at 3005 West 29th Street, Suite Gl, Greeley, Colorado 80634, (hereinafter
referred to as "FIDCO") and THE COUNTY OF WELD, a political subdivision of the State of
Colorado, by and through the Board of County Commissioners of the County of Weld, at P.O.
Box 758, 1150 "O" Street, Greeley, CO 80632 (hereinafter referred to as "County").
WITNESSETH:
WHEREAS, the County has requested FIDCO to relocate one headgate and one pump station
(hereinafter referred to as the "Facilities"), from their current locations in the vicinity of the
intersection of Weld County Road 42 and Weld County Road 29 in preparation of a previously
approved improvements project (hereinafter known as "Project") , and
WHEREAS, FIDCO is willing to relocate said Facilities, which are located in its ditch on
property it currently owns, and
WHEREAS, County is willing to pay for the expenses incurred by FIDCO as a result of the
relocation of the Facilities, as more specifically set forth in this Agreement, and
WHEREAS, the parties acknowledge that a significant portion of the work necessary to relocate
the Facilities has been accomplished.
NOW, THEREFORE, for and in consideration of the mutual covenants and agreements
hereinafter contained, the parties hereby agree as follows:
I. FIDCO RIGHTS and RESPONSIBILITIES
1. FIDCO Facilities Relocation: FIDCO shall relocate one headgate and one
pump station at the locations reflected on page 1 of Exhibits A and B. All work necessary to
accomplish the Facilities relocation projects has been and shall continue to be performed in
accordance with FIDCO specifications, in accordance with accepted engineering practices, and
in compliance with all applicable Weld County, State of Colorado and Federal laws, rules and
regulations.
2. Relocation Not to Conflict with Improvements: FIDCO agrees, and
County has confirmed, that the new locations of the relocated FIDCO Facilities shall not and do
not conflict with the proposed roadway improvements or other utility relocations as shown on the
Project Drawings attached as Exhibit A. FIDCO must locate any other utilities in the area prior
to construction of the Facilities.
3. Timing of Ditch Relocation: FIDCO has accomplished a significant
portion of this relocation project in order to meet the demands of its participants in the 2013

irrigation season. The parties agree that the work shall be completed prior to the commencement
of County's Project.
4. Reliance on FIDCO Expertise: County and FIDCO recognize that County is
relying solely on FIDCO or its authorized agent, to perform the relocation of the Facilities in a
manner which will ensure the future integrity of the ditch and the road improvements to be
constructed by the County. Therefore, as part of its assurances under this Agreement, FIDCO
affirms that it has sufficient liability insurance, (as more fully described in Paragraphs I.6 and
III.8 below), to satisfy any claim of negligence, intentional wrongful acts or other acts or
omissions which may arise as a result of any failure of the road caused by an improper relocation
of the Facilities.
5. FIDCO Warranty: FIDCO warrants that all work performed under this
Agreement will be performed in a manner consistent with the professional standards governing
such work and the provisions of this Agreement and shall conform to the performance standards
and requirements set forth herein and in Exhibit A.
6. FIDCO's Responsibility to Indemnify: FIDCO shall defend and indemnify
County, its officers and agents, from and against loss or liability arising from FIDCO's acts,
errors or omissions in seeking to perform its obligations under this Agreement. FIDCO shall
provide necessary workers' compensation insurance at FIDCOs own cost and expense.
Following the execution of this Agreement and for a period of twelve (12) months following the
completion of the project, FIDCO shall include the County, its officers and agents, as additional
named insureds on a property, casualty, and liability insurance policy, at a minimum of
$1,000,000 coverage limit per occurrence, $300,000 per person.
7. Test Results: Upon completion of the work and if applicable, FIDCO shall
submit to County originals of any test results, reports, etc., generated during completion of this
work. Acceptance by County of reports and incidental material furnished under this Agreement
shall not in any way relieve FIDCO of responsibility for the quality and accuracy of the work.
Acceptance by the County of, or reimbursement for, any of the work performed under this
Agreement shall not be construed as a waiver of any of the County's rights under this Agreement
or under the law generally.
II. COUNTY RIGHTS and RESPONSIBILITIES
1. Estimates of Relocation Expenses: County has agreed to reimburse FIDCO
for the expenses incurred by FIDCO in accordance with this facilities relocation as set forth in
the Estimate of Costs, (a copy of which is attached hereto as Exhibit C and made a part hereof by
this reference).
2. Payment of Estimated Expenses: FIDCO has estimated the total cost of
the Facilities relocation expenses to be Seventeen Thousand Two Hundred Eighty -Seven and
84/100 Dollars ($17,287.84), which includes specific work outlined in the attached Exhibit C,
the cost estimate. If final actual costs of relocation are less than the estimated amount, FIDCO
shall invoice the County for the actual costs. If the final relocation costs exceed the attached
estimate, County shall pay those reasonable additional expenses for which it believes it has
responsibility. County has paid the attorney fees incurred by FIDCO in the negotiation of this

Agreement, (as set forth in the attached Exhibit D, and will pay those reasonable additional fees
for which it believes it has responsibility.
3. County to Stake Right -of -Way: County shall establish and continue to stake
the County right-of-way and easements within the work area prior to relocation of the Facilities.
County shall verify the relocation to confirm that said relocation is clear of Project construction
work.
III. MISCELLANEOUS
1. Board of County Commissioners of Weld County Approval: This Agreement
shall not be valid until it has been approved by the Board of County Commissioners of Weld
County, Colorado or its designee.
2. Agreement Binding: This writing, together with the exhibits, constitutes the
entire Agreement between the parties hereto with respect to the subject matter herein, and shall
be binding upon said parties their officers, employees, agents, and assigns and shall inure to the
benefit of the respective survivors, heirs, personal representatives, successors and assigns of said
parties.
3. No Third Party Beneficiary: It is expressly understood and agreed that
the enforcement of the terms and conditions of this Agreement, and all rights of action relating to
such enforcement, shall be strictly reserved to the undersigned parties, and nothing in this
Agreement shall give or allow any claim or right of action whatsoever by any other person not
included in this Agreement. It is the express intention of the undersigned parties that any entity
other than the undersigned parties receiving services or benefits under this Agreement shall be an
incidental beneficiary only.
4. Time of the Essence: Time is of the essence in each and all of the provisions
of this Agreement.
5. Fund Availability: This Agreement assumes that the relocation of the ditch
will be completed on or before the end of the County's fiscal year. Financial obligations of the
Board of County Commissioners of Weld County payable after the current fiscal year are
contingent upon funds for that purpose being appropriated, budgeted and otherwise made
available. By execution of this Agreement, County does not warrant that funds will be available
to fund this Agreement beyond the current fiscal year.
6. Severability: If any term or condition of this Agreement shall be held to be
invalid, illegal, or unenforceable, this Agreement shall be construed and enforced without such
provision, to the extent that this Agreement is then capable of execution within the original intent
of the parties.
7. Attorneys Fees/Legal Costs: In the event of a dispute between County and
FIDCO, concerning this Agreement, the parties agree that Weld County shall not be liable to or
responsible for the payment of attorney fees and/or legal costs incurred by or on behalf of
FIDCO.

8. Subrogation Waiver: All insurance policies required to be maintained
under the terms of this Agreement or which are in any way related to this Agreement which are
secured and maintained by FIDCO shall include clauses stating that each carrier shall waive all
rights of recovery, under subrogation or otherwise, against Weld County, its officers, employees,
agents, or volunteers.
9. Governmental Immunity: No term or condition of this contract shall be
construed or interpreted as a waiver, express or implied, of any of the immunities, rights,
benefits, protections or other provisions, of the Colorado Governmental Immunity Act §§24-10-
101 et seq., as applicable now or hereafter amended.
IN WITNESS WHEREOF, the parties hereto have executed, or caused to be executed by their
duly authorized officials, two duplicate originals of this Agreement, each of which shall be
deemed an original, on the date first written above.
