Marathon Oil Company ("Marathon") has executed a Purchase and Sale Agreement whereby it has agreed to
sell and assign one hundred percent (100%) of its right, title and interest in and to those certain Weld County
Large -Tract Lease Agreements dated March 14, 2011 between Weld County, Colorado and Marathon Oil
Company, and being more fully described on Exhibit "A" attached hereto, to DJ Resources, LLC, whose address
is 1600 Broadway, Suite 1960, Denver, CO 80202. The Conveyance will be effective as of January 1, 2013.
Pursuant to the Weld County Large -Tract Oil and Gas Leases, your consent is required in order to permit
Marathon to convey its interest. Marathon respectfully requests your consent to sell and assign its interest in
the Weld County Large -Tract Oil and Gas Leases.
Please evidence your consent by executing in the space provided below. Please return the original fully executed
letter to my attention in the enclosed pre -paid envelope. Should you have any questions, please do not hesitate
