Niobrara Joint Venture —Request for Consent to Assign Leases, as described
on Exhibit "A" attached hereto
Dear Ms. Gesick:
Carrizo Oil and Gas, Inc. ("CRZO") and Carrizo (Niobrara) LLC ("Carrizo Niobrara" and
collectively with CRZO, "Carrizo") have entered into purchase and participation agreements with OIL
India (USA) Inc. ("OIL USA"), IOCL (USA) Inc. ("IOCL USA"), and Haimo Oil & Gas LLC
("Haimo"), wherein Carrizo agreed to assign a portion of its interest in certain properties located in Weld
County, Colorado, effective October 1, 2012. Subject to your consent, the leases listed on the attached
Exhibit "A" (the "Leases") are included in this transaction.
Pursuant to the terms and conditions of the Leases, Carrizo requests the consent of the Board of
County Commissioners of the County of Weld to partially assign the Leases and all of the lands covered
thereby to OIL USA, IOCL USA, and Haimo, respectively. Enclosed is Carrizo's check number 98757 in
the amount of $350.00 ($25.00 x 14 leases), as required by the Leases, and represents your fee for your
written consent. Following the assignment of the Leases, the interest ownership of the parties in the
Leases will stand collectively as follows:
Carrizo Niobara 60%
OIL USA 20%
IOCL USA 10%
Haimo 10%
Total: 100%
Please execute the enclosed copy of this letter to indicate your written approval and consent to the
assignment and transfer of the Leases and return one signed copy of same to me in the enclosed, self-
addressed, stamped envelope.

hereby approves, consents to and ratifies the assignment of interests in the Leases between and
among Carrizo, Carrizo Niobrara, OIL USA, IOCL USA, and Haimo, as described on Exhibit "A,"
and to all prior assignments of interests in the Leases vesting title in Carrizo or Carrizo Niobrara.
