Dear Tammy,
On October 1, 2012, Bayswater Exploration & Production, LLC received interest inlnum..vun _ Ie,ee-vend
wells through an Assignment, Bill of Sale and Conveyance from Matrix Energy, LLC. Included in the
conveyed interests was an Oil & Gas lease dated October 10, 1986 between Weld County as Lessor and
Conquest Oil Company as Lessee, more particularly described in the attached Exhibit "A". It has come to
our attention that pursuant to Paragraph 9 of said Oil & Gas Lease, Matrix Energy, LLC needed consent
of the Board of County Commissioners of the County of Weld to officially assign the lease and all lands
covered thereby to Bayswater Exploration & Production, LLC. We have enclosed a check for $25, as
required in Paragraph 9, as fee for your written consent.
Please execute the enclosed copy of this letter in the space provided to indicate your written approval and
consent to the assignment and transfer of the Oil and Gas Lease as provided above and return it to us in
the enclosed envelope.

Section 6: That portion of the following described parcel contained in the
W25W: A strip of land, 60 feet in width, commencing at a point about 380
feet South of the North line of the 52 of Section 1, Township 4 North, Range
67 West, and about 49.5 feet West of the East line of said Section 1; thence
in a Northeasterly direction through, over and aross the Northeast corner
of said Section 1; and through a Northwest corner of the SW of Section,
Township 4 North, Range 66 West to a point about 400 feet East of the
Northwest corner of the SW of said Section 6. It is the intent of the parties
hereto that this lease cover those lands described in that certain Quit Claim
Deed recorded in Book 250 at Page 79 in the real property records of Weld
County, Colorado, insofar as the lands described in said Deed are situated in
the W2SW of Section 6.
