Ashley, herein designated First Parties , and the Town of Windsor, a Municipal Corporation, herein designated Second Party, WITNESSETIF THAT,' WHEREAS, First Parties own a part of Section 21, Township 6 North, Range 67 West of the 6th P.M. in Weld County, Colorado, c o which is adjacent to the town limits of Second Party, and WHEREAS, First Parties anticipate that they will annex CJ said tract of land to said town and when said tract is platted into lots and blocks the same will be known as The Governor ' s Farm, an Addition to the Town of Windsor, Weld County, Colorado, and WHEREAS, the County of Weld has agreed to construct a county arterial highway along a portion of the south boundary line of the Governor' s Farm which requires that the First Parties deed to the County of Weld a tract of land containing 5 . 178 acres more or less, and WHEREAS, the construction of said county arterial high- way is highly beneficial to the Town of Windsor, and WHEREAS , there is a requirement that the First Parties , as the owners of The Governors Farm make adequate provision for surface drainage of water collected within said addition to the Town of Windsor, and WHEREAS, Second Party by its ordinances require an on- site-storage detention pond on the site of any addition to the Town of Windsor, and WHEREAS, Second Party owns a parcel of land which will lie south of said county arterial highway which is suitable for a detention pond, and WHEREAS, the parties hereto desire to enter into an agreement concerning surface drainage into said detention pond and wish to evidence their said agreement in writing. BOOK ` 1846032 324 NOW, THEREFORE, for and in consideration of First Parties conveying a tract of land of approximately 5 .178 acres along the south boundary line of The Governor' s Farm to the County of Weld, for the construction of a- county arterial highway, it is mutually understood and agreed as follows : 1 . That all of the above and foregoing recitals are hereby made a part hereof by reference . 2. That First Parties will upon the execution of this agreement deed approximately 5.178 acres of land, which is more particularly described in attachment Exhibit A, to the County of Weld, State of Colorado, for use in construction of a county arterial highway. 3 . Second Party will establish a detention pond south of the proposed county arterial highway of sufficient size and strength to take care of an estimated 750,000 cf of water to be drained into the detention pond from the surface of The Governor ' s Farm. 4 . First Parties shall be responsible for developing The Governor' s Farm in such a fashion that the surface drainage will drain into an inlet or inlets constructed of pipe to the detention pond. The exact location of the inlet or inlets shall be determined by mutual agreement of the parties hereto at a location or locations to adequately take care of the surface drainage from The Governor ' s Farm when it is fully developed. The inlet, outlet and discharge from the detention pond shall be constructed at the sole expense of Second Party and Second Party further agrees that it will so construct and maintain and drain the detention pond in such fashion so as not to cause damage to the Whitney Ditch or to any other Third Party by reason of collapse or overflow of said detention pond. Second Party further agrees to hold and save First Parties harmless from any claims or demands of any Third Party by reason of the use, storage and drainage of said detention pond including but not limited to any attorneys fees expended by First Parties in defense of any claims made against them by reason1'of" the use of -the detëñtion- pond. 5 . The ordinances of the Town of Windsor provide a requirement for an on-site-storage facility in new additions to 924 1846032 4-3 the Town and Second Party acknowledges that this requirement has been met by the estblishment of the detention pond herein des- cribed. 6 . The performances of the parties hereto is contingent upon the construction of the County arterial highway on the south boundary of The Governor's Farm. 7 . First Parties shall deed to Second Party all of First Parties lands lying south of the proposed County arterial highway in the Governor' s Farm annexation for Second Party's use for drainage detention. THIS AGREEMENT shall be binding upon and inure to the benefit of the successors and assigns of the parties hereto.
