Re: Consent to Assignment Letter
Dear Esther,
Jordance Energy, Inc. has acquired two Oil and Gas Leases from Weld County, said leases being more
particularly described on Exhibit "A", attached hereto. Pursuant to Paragraph 9 of lease dated February
25, 2013 and Paragraph 10 of lease dated January 16, 2013, Jordance Energy, Inc. requests the consent
of the Board of County of Commissioners of the County of Weld to assign said leases and all of the
lands covered thereby to RRM Resources 11, LLC. Please find enclosed a check in the amount of
$50.00 as fee for your written consent.
Please have the appropriate party execute the enclosed copy of this letter in the space provided to
indicate the written approval and consent of the Board of County Commissioners of the County of
Weld to the assignment and transfer of the Oil and Gas Leases as provided above. Following
execution, please return this letter to us in the enclosed envelope.

ASSIGNMENT OF OIL AND GAS LEASES
KNOW ALL MEN BY THESE PRESENTS:
That the undersigned: Jordance Energy, Inc.
3323 South Birch Street
Denver, CO 80222
(hereinafter called Assignor, whether one or more), for and in consideration of One Dollar ($1.00), the receipt and
sufficiency whereof is hereby acknowledged, does hereby sell, assign, transfer and set over unto:
HRM Resources II, LLC
410 17th Street, #1200
Denver, CO 80202
(hereinafter called Assignee), All of Assignor's right, title and interest in and to the Oil and Gas Leases more
specifically described on EXHIBIT "A" attached hereto and made a part hereof, insofar as said leases cover the
lands described on said EXHIBIT "A" in Weld County, State of Colorado , more or less together with
the rights incident to and the personal property thereon, appurtenant thereto, or used or obtained in connection
therewith.
TO HAVE AND TO HOLD the assets unto Assignee, its successors and assigns forever; ON AND SUBJECT TO
THE FOLLOWING TERMS AND CONDITIONS:
Assignor reserves from this conveyance unto itself, its successors and assigns, an overriding royalty interest
("Assignor's Reserved Overriding Royalty Interest") in all oil, gas, and other hydrocarbon substances produced and
saved from the lands under and by virtue of the lease, equal to the positive difference, if any, between (a) 20.5% of
gross production of oil, gas and other hydrocarbons and (b) all royalty, overriding royalty, production payment, net
profits and other like interests in production currently encumbering the lease and of public record in all applicable
jurisdictions. It is the intent of the parties that Assignor shall deliver a net revenue interest of 79.5%. To the extent
that the lease coven less than the entire mineral estate in the lands covered by such lease, or if Assignee acquires
under this Assignment less than the entire working interest created by such lease, then Assignor's Reserved
Overriding Royalty Interest with respect to such lease shall be reduced proportionately.
This Assignment is made without warranty of any kind, whether expressed or implied, at common law, by statute or
otherwise, except Assignor warrants title to the assets against all claims, liens and encumbrances arising by, through
and Assignor, but not otherwise. This Assignment is made with full substitution and subrogation of Assignee in and
to all covenants and warranties of title by others heretofore given or made with respect of the assets or any part
thereof.
Assignor agrees to execute and deliver to Assignee all such other additional instruments, notices, transfer orders and
other documents and to do all such other and further acts and things as may be necessary to more fully and
effectively grant, convey and assign to Assignee all of Assignor's right, title and interest in the assets.
