RE: APPROVE AGREEMENT FOR THE PURCHASE OF PIPELINE RIGHT-OF-WAY FOR
CERTAIN IMPROVEMENTS TO COUNTY ROAD 49 AND AUTHORIZE CHAIR TO
SIGN - HOWARD SHAKLEE IRREVOCABLE TRUST
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, the Board has been presented with an Agreement for the Purchase of
Pipeline Right -of -Way for Certain Improvements to County Road 49, between the County of Weld,
State of Colorado, by and through the Board of County Commissioners of Weld County, on behalf
of the Department of Public Works, and Howard Shaklee Irrevocable Trust, c/o Co -Trustees
Shirley Howard, 27249 County Road 49.5, Greeley, Colorado 80631; Jonathan Birdette Howard,
6018 Chapel Falls Lane, Fulshear, Texas 77441; and Jennifer Mary Christine Howard, Moscow,
107014, Russia, 10, Ulitsa Gastello, Apartment 51, commencing upon full execution of signature,
with further terms and conditions being as stated in said agreement, and
WHEREAS, after review, the Board deems it advisable to approve said agreement, a copy
of which is attached hereto and incorporated herein by reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld
County, Colorado, that the Agreement for the Purchase of Pipeline Right -of -Way for Certain
Improvements to County Road 49, between the County of Weld, State of Colorado, by and
through the Board of County Commissioners of Weld County, on behalf of the Department of
Public Works, and Howard Shaklee Irrevocable Trust, c/o Co -Trustees Shirley Howard, Jonathan
Birdette Howard, and Jennifer Mary Christine Howard, be, and hereby is, approved.
BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized to
sign said agreement.

THIS AGREEMENT is made this a?J day of , 2013, by and between Shirley
Howard, a/k/a Shirley June Howard whose address is 27249 R 49'A, Greeley, Colorado 80631, as
Holder of a Life Estate Interest, and Jonathan Birdette Howard whose legal address is 6018 Chapel
Falls Lane, Fulshear, Texas 77441 and Jennifer Mary Christine Howard, whose legal address is
Moscow, 107014, Russia, 10, Ulitsa Gastello, Apartment 51, Co -Trustees of the Howard Shaklee
Irrevocable Trust, as holder of all Remainder Interests, collectively hereinafter referred to as
"Owner," and the County of Weld, a body corporate and politic of the State of Colorado, by and
through its Board of County Commissioners, whose address is 1150 "O" Street, Greeley, Colorado
80631,hereinafter referred to as "County."
WITNESSETH:
WHEREAS, Owner owns real property described in the attached Exhibit "B" (hereinafter
referred to as "Pipeline Right -of -Way"), and
WHEREAS, County finds it necessary to rebuild and improve Weld County Road 49, which
will involve said road's realignment and construction, (hereinafter referred to as "Road Improvement
Project"), and
WHEREAS, County must acquire said Pipeline Right -of -Way on behalf of a third party (DCP
Midstream, LP, hereinafter referred to as "DCP"), in order to allow said third party to relocate its
facilities thereby allowing County to complete said Road Improvement Project, and
WHEREAS, Owner wishes to cooperate with County in said Road Improvement Project.
NOW, THEREFORE, the parties herein agree as follows:
OWNER'S RIGHTS AND RESPONSIBILITIES:
1. Owner agrees to sell to DCP and County agrees to pay for a limited, conditional,
permanent and exclusive pipeline easement in the Pipeline Right -of -Way Grant, as
shown and/or described on Exhibit "B" (a copy of which is attached hereto and made
a part hereof by this reference), for the sum of Two Thousand Three Hundred Fifty
and no/100 Dollars, ($2,350.00). The parties acknowledge and agree that said
purchase price represents full, fair and valuable consideration.
2. Owner warrants that they are the lawful owners of the area described in Exhibit "B"
and will defend title thereto against all claims.

3. Owner agrees to grant a limited, conditional, permanent and exclusive pipeline
easement in and to the Pipeline Right -of -Way to DCP by execution of that Pipeline
Right -of -Way Grant (a copy of which is attached hereto and made a part hereof as
Exhibit "A"), subject to all terms and conditions of said Pipeline Right -of -Way
Grant, free and clear of all liens and encumbrances, except existing easements.
COUNTY'S RIGHTS AND RESPONSIBILITIES:
1. The parties agree that County shall, on behalf of DCP, promptly pay Owner for the
Pipeline Right -of -Way by County warrant but not later than within forty-five (45)
days of County's receipt of executed originals of this Agreement, W-9 form of
Owner receiving payment and the Pipeline Right -of -Way Grant.
2. Any payment due hereunder may be made direct to Owner or any one of them.
MISCELLANEOUS:
1. It is expressly agreed by the parties hereto that upon execution of this Agreement by
County and Owner, County and/or DCP; its contractors, agents, employees and all
others deemed necessary by County shall have the irrevocable right to possess and
use said the Pipeline Right -of -Way for the purposes of relocating DCP's pipeline,
subject to all terms and conditions of said Pipeline Right -of -Way Grant. This
conveyance shall be limited to construction, operation, access, repair and
maintenance of the Pipeline Right -of -Way, subject to all terms and conditions of said
Pipeline Right -of -Way Grant, and shall not include any rights of entry upon, passage
over, deposit of excavated earth, or storage of material and machinery upon any of
Owner's real property other than the Pipeline Right -of -Way.
2. This Agreement and the transfer of the Pipeline Right -of -Way made pursuant to the
terms herein, shall be binding upon, all and inure to the benefit of and be
enforceable by the parties and DCP and their heirs, executors, administrators,
successors, and assigns.
3. This Agreement shall not be valid until it has been approved by the Board of County
Commissioners of Weld County, Colorado or its designee.
4. No term or condition of this contract shall be construed or interpreted as a waiver,
express or implied, of any of the immunities, rights, benefits, protections or other
provisions, of the Colorado Governmental Immunity Act §§24-10-101 et seq., as
applicable now or hereafter amended.
5. The parties hereby agree that neither has made or authorized any agreement with
respect to the subject matter of this instrument other than as expressly set forth

herein, and no oral representation, promise, or consideration different from the terms
herein contained, or the Pipeline Right -of -Way Grant attached hereto as Exhibit "A'
and attached hereto, shall be binding on either party, or its agents or employees.
6. It is expressly understood and agreed that the enforcement of the terms and
conditions of this Agreement, and all rights of action relating to such enforcement,
shall be strictly reserved to the undersigned parties and DCP, and nothing in this
Agreement shall give or allow any claim or right of action whatsoever by any other
person not included in this Agreement. It is the express intention of the undersigned
parties that any entity other than the undersigned parties receiving services or
benefits under this Agreement shall be an incidental beneficiary only.
7. This Agreement and the Pipeline Right -of -Way Grant attached hereto as Exhibit "A'
and attached hereto embodies all agreements between the parties hereto and there are
no promises, terms, conditions, or obligations referring to the subject matter whereof
other than as contained therein.
8. This transaction shall be governed by and constructed in accordance with the laws of
the State of Colorado.
9. This Agreement may be executed in counterparts, each of which taken together shall
constitute an Original Agreement.

PIPELINE RIGHT-OF-WAY GRANT
FOR AND IN CONSIDERATION OF THE SUM OF Ten Dollars ($10.00) and other good and valuable
consideration for the pipeline to be constructed under the terms hereof, to be paid after a survey establishing the route
of the line has been completed, and before construction is commenced, I/WE,

hereinafter referred to as "Grantor" (whether one or more) does hereby grant, sell, convey, and warrant to DCP
Midstream, LP, its successors and assigns, hereinafter referred to as "Grantee", the right, privilege and exclusive
easement, the width and length as shown on the attached Exhibit A, for the purpose and from time to time, operating,
inspecting, maintaining, protecting, repairing, replacing and removing a single buried pipeline, no greater than six
inches (6") in diameter, and necessary underground appurtenances only, for the transportation of oil, gas, petroleum
products, water, and any products and derivatives of any of the foregoing, and any combinations and mixtures of any
of the foregoing, upon and along a route through the following described land located in WELD County, State of
COLORADO, to wit:
Township 5 North, Range 64 West of the 60i P.M.
Section 18: SW/4
Said permanent exclusive pipeline easement being more particularly described on Exhibit "B" attached hereto
and made a part hereof.
Together with the right of ingress and egress to and from said pipeline or lines, on, over, and across said land and
adjacent land of Grantor.
It is agreed that the pipeline to be laid under this grant shall be constructed and completed only during the period
commencing after November 15th of any calendar year through and concluding on or before April 1st of any subsequent
year, all structures permitted by this grant shall be placed a minimum depth of forty-eight (48) inches below the
surface of the ground to permit normal cultivation at the time of construction, and Grantor shall have the right to fully
use and enjoy the above described premises subject to the rights herein granted.
Grantee agrees to promptly, competently and completely reclaim, at its sole cost and expense, all lands disturbed,
compacted or altered during construction to their original condition and suitable for irrigated agricultural use and
Grantee agrees to remediate, replace and reseed all such lands within that period for construction and completion of the
pipeline to be laid under this grant as recited above.

Grantee shall have the right to clear all trees, undergrowth and other obstructions from the herein granted permanent
right-of-way, and Grantor agrees not to build, construct or create any buildings, structures or engineering works on the
herein granted right-of-way that will interfere with the normal operation and maintenance of said pipeline to be laid
under this grant.
Grantee agrees to pay to the owners and to any tenant, as their interests may be, any and all damages to crops, fences,
irrigation ditches, drain tile, or other improvements on said premises that may arise from Grantee's exercise of the
rights herein granted; provided, however, that after the pipeline or lines has been constructed hereunder, Grantee shall
not be liable for damages caused on the easement by keeping said easement clear of trees, undergrowth, and brush in
the exercise of the rights herein granted. Any payment due hereunder may be made direct to the said Grantor or any
one of them.
The terms, conditions, and provisions of the contract shall extend to and be binding upon the heirs, executors,
administrators, personal representatives, successors, and assigns of the parties hereto.
TO HAVE AND TO HOLD said easement, rights, estates, and privileges unto Grantee, its successors and assigns, as
long as said easement is used for the purposes granted herein.
