HomeMy WebLinkAbout20131319.tiffRESOLUTION RE: APPROVE AGREEMENT FOR RELOCATION OF GAS/OIL FACILITIES AND AUTHORIZE CHAIR TO SIGN - PUBLIC SERVICE COMPANY OF COLORADO WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to Colorado statute and the Weld County Home Rule Charter, is vested with the authority of administering the affairs of Weld County, Colorado, and WHEREAS, the Board has been presented with an Agreement for Relocation of Gas/Oil Facilities between the County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld County, on behalf of the Department of Public Works, and Public Service Company of Colorado, commencing upon full execution of signature, with further terms and conditions being as stated in said agreement, and WHEREAS, after review, the Board deems it advisable to approve said agreement, a copy of which is attached hereto and incorporated herein by reference. NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of Weld County, Colorado, that the Agreement for Relocation of Gas/Oil Facilities between the County of Weld, State of Colorado, by and through the Board of County Commissioners of Weld County, on behalf of the Department of Public Works, and Public Service Company of Colorado be, and hereby is, approved. County Engineer Brief description of the problem/issue: The proposed road widening/improvements at WCR 23 and SH 392 will impact some existing Xcel Energy facilities currently located in an existing private easement. The roadway construction will require relocating an existing 4" valve set and approximately 700' of 4" steel gas transmission line. Xcel Energy has agreed to perform this work at the project expense. This Utility Agreement entails reimbursement of the estimated costs in the amount of $184,000.00. These utility relocation costs are large because the work requires installing temporary bypass valves and facilities so Xcel Energy can maintain the flow of gas during construction. Given these conditions, PW believes the costs are reasonable and eligible for reimbursement utilizing the approved grant funds being administered by CDOT. Weld County funds will be used to pay for approximately 20% of these utility relocation costs. Xcel Energy typically requires CDOT to pay 80% of the estimated costs up front, and they may require this from Weld County also. What options exist for the Board: The Board can choose to sign or not to sign the attached Utility Agreement. The project cannot be completed without relocating the Xcel Energy facilities as described on the drawings attached to the Utility Agreement. If the Utility Agreement is approved, Xcel Energy will perform the relocation work shortly afterwards. AGREEMENT FOR RELOCATION OF GAS/OIL FACILITIES BETWEEN PUBLIC SERVICE COMPANY OF COLORADO AND WELD COUNTY GOVERNMENT THIS AGREEMENT, made and entered into this��day of s7 ne , 2013, by and between PUBLIC SERVICE COMPANY OF COLORADO, a Colorado corporation, located at 1800 Larimer Street, Suite 1100, Denver, Colorado 80202,with an agent for service of process, Corporation Service Company, located at 1560 Broadway, Suite 500, Denver, Colorado, (hereinafter called "PSCo") and THE COUNTY OF WELD, a political subdivision of the State of Colorado, by and through the Board of County Commissioners of the County of Weld, at P.O. Box 758, 1150 O Street, Greeley, CO 80632 (hereinafter called "County"). WITNESSETH: WHEREAS, County has entered into an Agreement with the State of Colorado, Colorado Department of Transportation, (hereinafter referred to as "CDOT"), to construct certain improvements to improve public safety at the intersection, (hereinafter referred to as the "Project"), of Weld County Road 23 (hereinafter referred to as "WCR 23"), and State Highway 392 (hereinafter referred to as "SH 392"), and WHEREAS, PSCo has certain pipelines and related facilities which are located in a private easement in the vicinity of the Project, and WHEREAS, in order to construct the Project, County had to acquire additional right-of-way for CDOT, which acquisition included the surface area above the easement owned by PSCo subject to the prior rights held by PSCo, and WHEREAS, the above referenced right-of-way acquisition necessitates the relocation of PSCo's pipelines to a greater depth than the level currently occupied by said pipelines, and the design of the Project will require the relocation of other related PSCo facilities, and WHEREAS, in recognition of the costs which will be incurred by PSCo to relocate the pipelines and related facilities, County has agreed to reimburse PSCo for those reasonable expenses, and, WHEREAS, PSCo has the experience and expertise needed to relocate said pipelines and related facilities to other locations within PSCo's existing easement and is willing to do so subject to full reimbursement by the County for the cost incurred for said relocation. NOW, THEREFORE, for and in consideration of the mutual covenants and agreements hereinafter contained, the parties hereby agree as follows: I. PSCo RIGHTS and RESPONSIBILITIES 1. PSCo Pipeline Relocation: PSCo shall remove existing pipeline from its current location and shall install new pipeline, as described on the Scope of Work (a copy of which is attached hereto as "Exhibit A" and made a part hereof by this reference) and the Project Drawings, (four (4) pages of which are attached hereto as "Exhibit B" and made a part hereof by this reference), and as itemized in the "PSCo Gas Engineering Task Summary", (a copy of which 1 020/S -/S/2 is attached hereto as Exhibit C and made a part hereof by this reference). All work necessary to accomplish the PSCo pipeline relocation project shall be performed by PSCo in accordance with PSCo specifications, in accordance with accepted engineering practices, and in compliance with all applicable local, State of Colorado and Federal laws, rules and regulations. The parties agree that the relocation of the pipelines and related facilities activities will be within the private easement currently owned by PSCo and within CDOT right-of-way. All work performed pursuant to this Agreement shall be performed in a manner consistent with the professional standards governing such work and the provisions of this Agreement and shall conform to the performance standards and requirements set forth herein and in all Exhibits. 2. Pipeline Relocation Not to Conflict with Improvements: PSCo shall relocate its pipelines and related facilities as described and shown on Exhibits A and B, so that they can accommodate the common use of the property with the proposed roadway improvements or other utility locations and/ relocations. 3. Timing of Pipeline Relocation: PSCo shall relocate the PSCo pipeline and related facilities on or before July 15, 2013 4. PSCo Shall Obtain Right -of -Way Permits: PSCo shall obtain any necessary permits from the State of Colorado required by its pipeline relocation work. II. COUNTY RIGHTS and RESPONSIBILITIES 1. Estimates of Relocation Expenses: County has agreed to reimburse PSCo for the expenses incurred by PSCo in accordance with this relocation as set forth in the "PSCo Gas Engineering Project Estimate", (a copy of which is attached hereto as Exhibit C and made a part hereof by this reference). 2. Increases/Decreases in Estimated Expenses: PSCo has estimated the total cost of said relocation to be One Hundred Eighty Four Thousand Dollars ($184,000.00), which includes specific work outlined in the attached Scope of Work and PSCo Gas Engineering Project Estimate. (See Exhibits A and C.). Prior to PSCo undertaking the relocating, the County shall deposit the sum of One Hundred Eighty Four Thousand Dollars ($184,000) with PSCo. If final actual costs of relocation are less than the estimated amount, PSCo shall invoice the County for the actual costs. If the final relocation costs exceed the attached estimate, County shall pay those additional expenses actually incurred up to a maximum of fifteen percent (15%).. 3. County to Stake Right -of -Way: County shall establish and stake the County and/or CDOT right-of-way and easements within the work area prior to the relocation of the PSCo pipeline. County shall verify the relocation to confirm that said relocations are clear of Project construction work. 4. County's Right to Terminate: The County may terminate this Agreement at any time prior to PSCo's commencement of relocation construction. In such an event, the County shall pay PSCo for all expenses which PSCo incurred for engineering, for materials and for equipment purchased or ordered, prior to the date of termination. III. MISCELLANEOUS 2 1. Board of County Commissioners of Weld County Approval: This Agreement shall not be valid until it has been approved by the Board of County Commissioners of Weld County, Colorado or its designee. 2. Agreement Binding: This writing, together with the exhibits, constitutes the entire Agreement between the parties hereto with respect to the subject matter herein, and shall be binding upon said parties their officers, employees, agents, and assigns and shall inure to the benefit of the respective survivors, heirs, personal representatives, successors and assigns of said parties. No amendment to the Agreement shall be of any force or effect unless it is reduced to writing and executed by both parties. 3. No Third Party Beneficiary: It is expressly understood and agreed that the enforcement of the terms and conditions of this Agreement, and all rights of action relating to such enforcement, shall be strictly reserved to the undersigned parties, and nothing in this Agreement shall give or allow any claim or right of action whatsoever by any other person not included in this Agreement. It is the express intention of the undersigned parties that any entity other than the undersigned parties receiving services or benefits under this Agreement shall be an incidental beneficiary only. 4. Time of the Essence: Time is of the essence in each and all of the provisions of this Agreement. 5. Fund Availability: This Agreement assumes that the relocation of the pipeline will be completed on or before the end of the County's fiscal year. Financial obligations of the Board of County Commissioners of Weld County payable after the current fiscal year are contingent upon funds for that purpose being appropriated, budgeted and otherwise made available. By execution of this Agreement, County does not warrant that funds will be available to fund this Agreement beyond the current fiscal year (December 31, 2013). 6. Severability: If any term or condition of this Agreement shall be held to be invalid, illegal, or unenforceable, this Agreement shall be construed and enforced without such provision, to the extent that this Agreement is then capable of execution within the original intent of the parties. 7. Attorneys Fees/Lesal Costs: In the event of a dispute between County and PSCo, concerning this Agreement, the parties agree that neither party shall be liable to or responsible for the payment of attorney fees and/or legal costs incurred by or on behalf of the other. 8. Governmental Immunity: No term or condition of this contract shall be construed or interpreted as a waiver, express or implied, of any of the immunities, rights, benefits, protections or other provisions, of the Colorado Governmental Immunity Act §§24-10- 101 et seq., as applicable now or hereafter amended. Garcia, Chair JUN 0 3 2013 4 070/.3 -/3/9 0 Xcel Energya RESPONSIBLE BY NATURE"' Scope of Work 4" Oilcom Valve Set Relocation and Pipe Lowering Section I Exhibit A 19 pages 1.0 Executive Summary Rebuild and relocate an existing 4" valve set to accommodate a road realignment of CR 23. The existing valve set is currently in PSCo easement and will be relocated to a new location within the existing 35 foot easement. In addition, approximately 150 feet of 4" transmission line will need to be installed at a new depth to accommodate CR 23 crossing over the pipe. At another location to the north, lowering of approximately 550 feet of 4" transmission pipe will be required where CR 23 will be tied back in to its existing route. At both locations, stopples and bypasses will be required to maintain the flow of gas. The pipe will be lowered per the attached Xcel standard road crossing and will maintain a depth of 6 feet under the road and 4 feet under any drainage ditches. Also. a clearance of 3 feet must be maintained from any other utilities that cross into the easement. 2.0 Project Timing 2.1 COMMENCEMENT OF WORK Company shall endeavor to notify Contractor at least two weeks prior to the commencement date of initial pipeline construction referenced in section 2.3.1. At this time, Company anticipates Contractor's mobilization seven days prior to the commencement date. Company anticipates a majority of the required Company supplied permits will be approved and received prior to the construction commencement date. 2.2 PROSECUTION AND COMPLETION OF WORK Contractor shall, after commencement of the Work, prosecute the Work with due diligence, and in accordance with the terms and conditions of the Agreement, shall not neglect or discontinue the Work at any time. The Contractor shall perform all Work in accordance with accepted industry and Company standards and with the utmost regard for safety of life and property. The Work shall be conducted in such a manner and with such machinery, equipment, tools, labor and supervision, in accordance with the terms and conditions of the General Conditions for Construction Services Agreement, as is deemed necessary by the Company and sufficient to ensure completion thereof in accordance with the following schedule: 2.3 CONSTRUCTION SCHEDULE 2.3.1. Company has provided the project construction schedule (Exhibit 1). Contractor shall develop an installation progression to meet the projected Company schedule. Contractor is encouraged to accelerate with prior Company approval, the projected Company schedule while providing the most efficient and cost effective installation. Contractor shall begin planning and other preparatory Work upon execution by both parties of the Agreement. Contractor shall provide a preliminary construction schedule with Contractor's bid response that meets or accelerates the Company provided schedule. Prior to execution of the Agreement, a final schedule approved by Company, shall be provided by Contractor to Company for incorporation into the Agreement including at a minimum the start, finish and duration of all major tasks to perform the Work including, but not limited to: 2.3.2.1 Preparation of Work plans and pre -mobilization planning, including appropriate engineering tasks such as drills, pipe installation and contingency procedure delivery 2.3.2.2 Welder qualification testing 2.3.2.3 Mobilization of equipment spreads, including dedicated manpower 2.3.2.4 List of anticipated subcontractors to be approved by Company prior to start of construction. 2.3.2.5 Concrete coating of pipe and forming and casting of concrete weights, if applicable 2.3.2.6 Pipeline installation, including stringing, ditching, welding, and backfill 2.3.2.7 Boring and drilling plans and equipment defined 2.3.2.8 Installation of valve assemblies 2.3.2.9 Pipeline testing 2.3.2.10 Caliper pig survey, In Line Inspection (ILI) test support, and final cleaning of pipe 2.3.2.11 Final grading to pre -construction contours, right of way (ROW) restoration and site cleanup 2.3.3. Contractor shall, within seven (7) Working days after contract award, submit a final installation schedule to Company using, Microsoft Project or other form acceptable to Company. Project progress shall be monitored against this schedule. Contractor shall report progress on a daily basis to Company. Any significant deviation to the schedule shall be explained. Should a delay occur, Contractor must provide plans to recover lost time. Company shall designate personnel responsible for coordination and inspection construction activities. 5.2.1.18 Company shall provide all necessary environmental permits for construction. 5.2.1.19 Company shall provide NDE / x-ray services for testing at Company's discretion. 5.2.1.20 Company shall provide survey services 5.2.1.21 Company shall provide SWMP compliance required installation 5.2.1.22 Company shall provide engineering support as necessary. 5.2.1.23 Company shall provide geo-technical soils report 5.2.1.24 Company shall provide cathodic protection system testing Any material, other than line pipe, provided by the Company will be stored prior to the construction start at the Campion Office (4200 South 15E, Loveland, CO). The Contractor will take possession of all Company supplied material after Contractor has signed -off that material has been inspected and the tally verified. Contractor will be required to immediately notify the Company of any damage, defects found, or missing material. After completion of the Work, the Contractor will load surplus Company supplied material, haul to, unload and stockpile at the Company's designated storage yard that will be within a 50 mile radius of the project site. 5.3 Custody of Material 5.3.1. Contractor shall be solely responsible for the material after receiving custody thereof. Contractor to provide Material Receiving Reports to the construction manager (CM) within 24 hours of receipt Any materials lost, stolen, or damaged while in Contractor's custody are chargeable to Contractor. 5.3.2. Contractor shall be responsible to check the quantities of the Company supplied materials; the same as if they were Contractor supplied materials and advise Company of any additional materials that will be required. Contractor shall provide lockable containment units for storage of all materials. Any lost time due to material shortage shall be the Contractor's responsibility. 5.4 Contractor Supplied Items 5.4.1. Contractor shall furnish, with prior written Company approval, all machinery, tools, transportation, labor, and supervision necessary to complete the Work and all incidental and/or expendable material necessary to complete the Work (excluding materials specifically listed as being furnished by the Company herein and on the Construction Drawings). Major items to be furnished by the Contractor may include but not be limited to: 5.4.1.1 Cement, concrete aggregate, ready mixed concrete, sand, form lumber, form clamps, form oil, pressure treated timbers, nails and spikes, tie wires, reinforcing steel bars and mesh, chairs, bar supports, concrete hardener, structural steel, anchor, other bolts, and waterproofing for foundations or valve vaults, if applicable 5.4.1.2 Water for drinking and sanitary purposes (Water for these uses will not be obtained from the construction site) 5.4.1.3 Suitable fill dirt, stone and surfacing material for all permanent sites, including sand padding in pipeline trench and granular material for watercourse crossings (Material will be free of organic materials) 5.4.1.4 Welding equipment and all miscellaneous welding materials and consumables, including welding electrodes and preheating equipment 5.4.1.5 Skids and timbers, padding material for skids to protect pipe coating. All equipment and machinery rates to include fuel, lubricants, and required maintenance or support. 5.4.1.9 All fencing and gates, permanent and temporary, as necessary 5.4.1.10 Temporary weld caps, valves, blind flanges, skillets and test manifolds required to facilitate isolation or pressure tests of fabricated pipe sections and pipeline sections must be of sufficient strength to with stand the test pressures 5.4.1.11 Hydrostatic/high pressure tri-plex pumps, centrifugal pumps (sufficient size to transfer water from frac tanks to pipeline in a timely manner), portable oiless air compressors (1600 scfm or larger, equipped with aftercoolers and desiccant dryers, minimum of 2 units), test heads, and capacity, and quantity as required for the pressure test of all piping systems and appurtenances, as agreed to by Contractor and Company; all temporary valves, fittings, piping, etc. required to conduct the hydrostatic tests and pneumatic tests; test instruments, pressure tubing, valves and fittings; calibrated test equipment, including dead weight set, chart recorder, and digital pressure gauges. Gauges shall be installed at each end of the line and at the mainline valve set; indicating pressure gauge charts; and all accessory supplies and materials to conduct the test, determine the results, and record the results of pressure tests; Contractor will supply frac tank(s) used for transferring water from source to pipeline, to allow entrained air to dissipate before transferring to pipeline. Sock filters, hay bales, and whatever other measures are required per the dewatering permit. 5.4.1.12 Pig traps (launcher/receiver) designed to accept full test pressure and capable of launching/receiving drying pigs and In -Line Inspection (ILI) tools. All flanged fittings and quick closures shall conform to ANSI 600 as minimum, forged steel fittings (WOL/TOL) shall be minimum 3M design. These traps shall have sufficient connections to allow for both watering and de -watering of pipeline. Quick closures are required to allow for quick installation/removal of pigs. Line Locates and Potholing: Company has previously potholed foreign line crossings and recorded such information on the construction drawings (Construction Drawings). The Contractor is not to rely upon that information and the Contractor is directly responsible with identifying, locating, and potholing all foreign line crossing and conflicts. Contractor is required by statute to utilize the State One Call System (811) for utility locate requests. Contractor is required to provide one or more "line locating crews," at a cost and expense to be included in Contractor's proposal, for the sole purpose of locating and marking the existence of above -ground and below - ground obstructions and hazards impacting Contractor's construction activities. Contractor is responsible to locate and clearly mark by any means Contractor deems necessary, any obstruction or safety hazard encountered by Contractor to ensure that Contractor's employees, public, and subcontractors are aware and fully informed of the existence and location of such obstruction or safety hazard. Page 8 of 19 Rev. 7 6/8/12 Xcel Energy RESPONSIBLE BY NATURE" 5.5.2. Irrigation and Drainage: Contractor shall make every effort to locate existing irrigation and drainage facilities within the work area and protect them from harm. If an existing irrigation or drainage facility is damaged, Contractor shall repair, in a workmanlike manner, the damage facility as soon as practical. At no time shall the damaged facility be allowed to remain out of service overnight. The cost for such work shall be included in the Contractor's base unit price proposal, and no separate compensation shall be provided. 5.5.3. Excavations/Trenches/Bellholes: Provide key personnel OSHA Certified as competent person whenever excavation processes occur or are underway. In the event that any Company employees are required to enter an excavation, the Contractor is hereby notified that Company excavation / trenching personal protection requirements are greater than OSHA, for example all soil classification will be Class C and any excavation over 4' in depth that require entry by Company personnel or Company controlled personnel, must be sloped or shored (or protected in an approved manner). The Company form Excavation Inspection/Entry Permit shall be completed as required by the Contractor competent person" prior to entry of any personnel into an excavation. 5.5,4. Staging Area Restoration: In the event the Contractor utilizes a staging area, Contractor is responsible for restoring the area to the original, or better, conditions. 5.5.5. Land Owner Damages: The Contractor shall be responsible for any damages arising from encroachment of Work upon areas not already secured for use by Company 5.5.6. Access Roads: Access to the ROW is limited to public road accesses as shown on the access drawings. At no time is the Contractor authorized to utilize private roadways or field roads to gain access to the Work area. 5.5.7. ROW Special Stipulations or Conditions: In the event of snow, any area where the ROW has been prepared, the Contractor shall remove the snow from the entire Project, before any vehicles can enter the ROW. The Contractor is required to adhere to stipulations and covenants obtained by Company pertaining to the use of the land for the construction of this project. A line list is included (Exhibit 2) that outlines special requirements for individual landowners. Work required to comply with these stipulations shall be considered included with the Contractor's base unit price and no separate compensation shall be provided. 5.5.8. Railroad Coordination: Company will coordinate with the railroads for safety and encroachment upon railroad ROWs. Without prior approval, the Contractor shall not encroach upon railroad ROWs for any purpose. The Contractor is responsible for any damages arising from the encroachment upon railroad ROWs. 5.5.9. Local Electrical Permits: The Contractor is required to obtain any permits required by local authorities to install electrical equipment or services within the Scope of Work. The costs of permits shall be included in the price for the item of Work, and no separate compensation shall be provided. 5.5.10. Survey Coordination 5.5.10.1 The Contractor shall construct the Work in accordance with the stakes set by Company and shall be charged with full responsibility for conformity and agreement of the Work with construction staking. Such staking will define the limits of the construction area, Pipeline centerline, point of intersection (PI) offsets, ROW, temporary use area (TUA), and access. 5.5.10.2 Contractor shall be held responsible for the preservation of all stakes and marks and survey monuments. If any of the stakes or marks or legal bars are carelessly or willfully destroyed or disturbed by the Contractor, its Page 9 of 19 Rev. 7 6/8/12 0 Xcel Energya RESPONSIBLE BY NATURE"' employees or sub -contractors, the cost of replacing them shall be borne by the Contractor. Where stakes are removed for clearing, grading, cutting, topsoil removal, to permit equipment to move along the route, or for any other reason, the Contractor shall be responsible for re- establishing the staked line 5.5.10.3 The Contractor shall perform necessary field surveys for the proper grading of the trench and the bending of pipe, for locating existing underground facilities, and for other pipeline installations except for such field survey work as is specified to be performed by Company. 5.5.10.4 The Contractor shall cooperate with Company's surveyor in order to provide necessary access for performing as -built survey functions and shall take special precautions when working after dark or during inclement weather to ensure the safety of these individuals and their equipment. Where joints of pipe are cut, it shall be the Contractor's responsibility to ensure that the pipe and heat numbers of the parent joint are transferred to the cut end or ends of the parent joint as well as to both ends of all pups resulting from the cutting. 5.5.11. Use this if ILI run is not going to be performed: Contractor shall provide all services for the cleaning the pipeline and running a gauge plate pig, to "prove" the pipeline before the line is placed in-service. Contractor shall supply the labor and equipment necessary to load and unload all pipeline pigs necessary to clean, prove and inspect the pipeline. Contractor shall supply the labor and equipment necessary to excavate and repair pipeline segments, as identified and directed by Company. Use this if ILI run is going to be performed: Contractor shall provide all services for the In -Line Inspection runs. Contractor shall perform the Work as defined in this Scope of Work, utilizing a Company approved Pipeline Inspection firm from the list below. This Work shall be limited to pipeline preparations and support for In -Line Inspection (ILI), as directed by identified Company Representative/Project Manager. The Work shall include but will not be limited to the following: Clean Pipeline: Pipeline to be clean before running any ILI tools; debris buildup on ILI sensors will degrade the collected data. Utility Pig: Basically a gauge plate pig. Most ILI vendors will require the pipeline operator to run a gauge plate to "prove" the pipeline before they will allow any of their smart tools to be run. ILI Tools: Deformation and High Res-MFL; shall included Mapping/Inertial tool to obtain accurate pipeline centerline, GPS, data. This will also provide GPS information on all detected anomalies, bends, welds, in -line fittings,etc. AGM's: Identify various spots along the pipeline (at intervals/distances that are reasonable to allow tracking personnel to leapfrog and get setup at each AGM site to track the passing pig) , i.e. road crossings, water crossings, PI's, valve sets, etc.(where easily accessible) to set your above ground marker (AGM) (equipment detected by passing pig and noted on data log); Survey (establish Lat/Long) each AGM location, so these points become a matter of record and maintained in PDMS. Vendor Questionnaire: This is to be completed by Xcel/Contract engineering, providing the pigging vendor with key information about the pipeline to be inspected. Pigging Parameters: Identify operating pressures and flowrate parameters in order to achieve a - 5-6 mph pig speed. Preliminary Report: A preliminary report is due within 10 days to allow time to select verification digs and conduct excavations to measure actual identified anomaly Page 10 of 19 Rev. 7 6/8/12 Xcel Energy RESPONSIBLE BY NATURE"' against what the pig measured. Operators are required (per API 1163) to provide this feedback to the ILI vendor so they can make adjustments to produce their Final ILI Report. Final Report: As identified in the Company ILI Manual a 45 day delivery of the Final ILI Report. Company acceptable tool suppliers: Enduro TDW/Magpie Rosen GE/PII BJ Pipeline Inspection Services Contractor shall supply the labor and equipment necessary to load and unload all pipeline pigs necessary to clean, prove and inspect the pipeline. Contractor will remain on standby during all pigging operations and assist Company as may be required, but not limited to: Pig tracking, Spill cleanup, Cleaning of removed pigging tools Contractor shall supply the labor and equipment necessary to excavate and repair pipeline segments, as identified and directed by Company. 5.5.12. Contractor shall be held responsible for the preservation of all BMPs. If any of the BMPs are carelessly or willfully destroyed or disturbed by the Contractor, its' employees or sub -contractors, the cost of replacing them shall be borne by the Contractor. Where BMPs are removed for clearing, grading, cutting, topsoil removal, to permit equipment to move along the route, or for any other reason, the Contractor shall be responsible for re-establishing the BMP. 5.5.13. Horizontal Directional Drilling (HDD): Contractor shall be responsible for all HDD Work and is required to make every effort to prevent unforeseen conditions underground including: hydrolock, hydraulic frac out, loss of fluid circulation, line or grade problems, collapse of bore hole, collapse or failure of pipe, heaving or humping, inadvertent fluid return, and striking existing utilities. Company requires that Contractor prepare and present prior to the start of any HDD Work, a detailed contingency plan and specific action plan that will be immediately triggered in the event unforeseen conditions occur. Contingency plan shall be reviewed and approved by Company prior to the start of Work. Contractor shall identify and maintain access to a critical spare part inventory for HDD equipment utilized to complete the Work. Inventory must be obtainable within 24 hours and shall include: hydraulic hoses, fittings, mud motors, bits, reamers, down hole tools, drill pipe, drilling fluid, drilling additive, and tracking equipment. Any equipment breakdown which results in down time in excess of 4 hours must be resolved and equipment fully operational within 24 hours. Contractor shall pull pipe through bore hole within 8 hours of final ream or Company requires the final ream be repeated prior to pulling pipe 5.6 General Contractor Requirements Contractor shall include all associated costs to furnish all labor, equipment, material (excluding those materials identified as provided by Company), consumables and supervision necessary to install and/or comply with the following, but not limited to: Page 11 of 19 Rev. 7 6/8/12 Xcel Energy RESPONSIBLE BY NATURE'S 5.6.1. Upon its receipt of such list, Company shall review the same and notify Contractor within five (5) business days of any proposed revisions thereto. 7.1.1.4 Company's PM and Contractor shall then meet and consult in good faith to agree upon the definitive, final list and plan, including the mutually approved time limits within which Contractor shall perform such remaining Work and the resources to be utilized to complete such Work (such final list, as agreed to by Company, the "Punch -List"). Once the Punch -List is agreed upon, Contractor shall promptly begin working on the items thereon; provided, however, that if Contractor has not completed such Work within the mutually agreed to time limits set forth in the Punch -List, then Company or its designee may have such items completed for the account of Contractor, and Contractor shall promptly reimburse such amounts to Company. Criteria for Final Acceptance. In addition to the Criteria as defined in Section 19, Final Acceptance to the Agreement, Final Acceptance shall include but not be limited to the following: 7.2.1.1 Pipeline is ready to be placed into service. Once Company has made this determination, the Contractor shall prepare the final daily inspection report (DIR) noting that all of the final footages and quantities have been constructed and/or installed. 7.2.1.2 The Contractor shall compile the DIR(s) into a final inspection report and present it to the PM/CM for review and acceptance. Signatures are required by both parties upon acceptance of this report. 7.2.1.3 Within five (5) Days of receipt of a notification, Company shall inspect the Work and either: (a) deliver to Contractor a written notification stating that the conditions set forth in Section 7 have been met or (b) notify Contractor in writing that such conditions have not been met, stating the specific reason(s). If Company notifies Contractor that not all of such conditions have been met, then Contractor shall promptly undertake such action or work as necessary to meet such conditions and shall then notify Company. Such procedures shall be repeated until the Final Acceptance occurs. 7.2.1.4 Work has to be completed in accordance to he tasks on the project schedule and any drawings and/or specifications as applicable; 7.2.1.5 (i) the successful completion of hydro or nitrogen testing (ii) the successful completion of the ILI tool run(s) ; 7.2.1.6 Company has received all specifications, test data, and other technical information required to operate and maintain the pipeline; 7.2.1.7 Company has received all marked -up As -Built Drawings and spare parts lists necessary or appropriate to operate the pipeline in a safe, efficient and effective manner; 7.2.1.8 no Liens attributable to Contractor or any subcontractor shall have attached to any part of the pipeline or facility and remain unsatisfied or unbonded and Contractor shall have provided all final or partial Lien releases and waivers from subcontractors, as may be appropriate in light of the particular subcontractor's Work remaining to be performed; and 7.2.1.9 Contractor has completed all Work, including all painting and the like, other than final painting, items set forth on the Punch -List, the lack of which will not adversely impact the ability of the pipeline to operate as intended and does not offer a danger of damage to the pipeline or injury to personnel. 1.0 PROJECT TEAM ROLES (COMPANY) 1.1 Company shall provide a single point of contact PM related to all construction issues, this PM may delegate authority to a CM for the field aspects and coordination. 1.2 The CM shall coordinate the Contractor and the Company provided services such as materials, operations of Company owned assets, ROW coordination, Inspection, Survey, NDE, SWMP compliance, and ILI coordination. All project communication during the construction phase shall be through the CM, or in the event of a dispute or conflict. directly to the PM. Additional safety -related documents that are specific to work at Company sites or locations are to be provided to Company upon request. 6.1.3. Provide documentation to demonstrate compliance with all federal, state and local safety and health laws and regulations when requested by Company. 6.1.4. Manage both Contractor and subcontractor employees to ensure adherence to all applicable laws and regulations. Would require regulatory compliance period. 6.1.5. Provide employee training that meets regulatory requirements and assures safe work practices. 6.1.6. Adhere to all Company site -specific safety and health rules and requirements. 6.1.7. Provide Company with a site -specific safety and health plan, upon request. 6.1.8. Notify Company of any intention to introduce work -related hazards or hazardous materials into the workplace and provide Material Safety Data Sheet's (MSDS's) for the hazardous materials in advance of the Work. 6.1.9. Immediately report to Company management any fatalities, injuries, property damage or contact from a representative of a regulatory agency (e.g. OSHA). 6.1.17. Provide periodic safety performance reports regarding work performed for Company that include but are not limited to: OSHA recordable rate for work performed under contract with Company, recap of incidents, accidents, injuries or near misses; results of accident investigations and action plans; and any regulatory agency inquiries. 6.2 Contractor Safety Procedures Reporting of Injuries, Property Damage, or Chemical Releases 6.2.1. All personnel injuries that occur on Company property during the project, any damage to Company owned property, or release of chemicals to the environment must be reported to Company's management staff immediately. Contractor employees must report any unsafe conditions, any unsafe acts they may witness, or near miss incidents to their Company point of contact. Also, Contractor, subcontractors or visitors are required to cooperate and provide Company known or pertinent information during accident investigations. 6.3 Emergency Procedures 6.3.1. It is each individual's responsibility to understand the emergency procedures at their work location. In the event of an emergency or emergency drill; Contractors, Subcontractors, and visitors are required to muster at the designated locations. 6.4 Smoking and Substance Use 6.4.1. All Contractors, subcontractors, visitors, and their employees are required to comply with Company's Drug and Alcohol/Fitness for Duty Policy, 9.3. Drunkenness or illegal drug use will result in immediate and permanent dismissal from all Company properties. Smoking is only allowed in designated posted areas. 6.5 Housekeeping and Waste Disposal 6.5.1. All areas in which Contractors are working must be kept clean and organized. At no time will flammable materials be allowed to accumulate, nor will materials or equipment be allowed to create additional hazards. All waste generated must be properly handled and disposed of in accordance with local regulations or as instructed by Company. At no time will chemicals be intentionally released or disposed of in waterways, drains, the ground, paved areas, storm water drains, dumpsters, garbage cans, or the sewer system. For accidental releases, it is the responsibility of the Contractor or subcontractor to see that prompt corrective actions are taken and to notify Company's management staff, as instructed. 6.5.2. Hazard Communication/Employee Right -to -Know 6.5.3. Company's site representative will see that Contractor is provided with information on known hazards so Contractor can inform their employees of such hazards prior to starting Work at Company site. This includes employees that start work during the middle of the project. Safety briefings must include information and training according to OSHA Regulation 29CFR 1910.1200. All briefings must be documented and available for review when requested. 6.6 Stop Work Authority 6.6.1. Contractor employees, or subcontractors, shall have the right and obligation to report unsafe conditions, interrupt or stop work without fear of reprisal, request a potential hazard be evaluated or request additional training. Contractors shall ensure that employees, or subcontractors, are properly trained and qualified in accordance with regulatory requirements and are able to safely perform all assigned tasks. Training records shall be maintained by Contractor and be readily available to Company upon request. 7.0 Operator Qualification Program 7.1 Operator Qualification Plan 7.1.1. Contractor will provide Company with an operator qualification (OQ) plan for tasks identified in the Scope of Work (Section 1 5.1.5). Contractor's OO plan will be maintained in compliance with all current applicable laws, ordinances, statutes, rules, codes, standards, licenses, certificates, franchises, permits and regulations, including regulations found in 49 CFR Part 192 Subpart N (natural gas pipeline facilities) or 49 CFR part 195 Subpart G (hazardous liquid pipeline facilities). During the term of the Agreement, Contractor will provide Company with any updates or revisions to its OQ plan within thirty (30) days of such update or revision.
