Dear Ms. Kirkmeyer,
Marubeni Denver Julesburg LLC ("Marubeni") has executed a Purchase and Sale Agreement whereby it has agreed
to sell and assign one hundred percent (100%) of its right, title and interest in and to those certain Oil & Gas Leases
dated March 14, 2011, between Weld County, Board of Land Commissioners, as Lessor, and Marathon Oil
Company, as Lessee, as more specifically described on Exhibit A attached hereto (hereinafter referred to as "the
Leases"), to DJ Resources, LLC, whose address is 1600 Broadway, Suite 1960, Denver, CO 80202. The
Conveyance will be effective as of January 1, 2013.
Pursuant to the terms of the Leases, your consent is required in order to permit Marubeni to convey its interest.
Marubeni respectfully requests your consent to sell and assign its interest in the Leases.
Please evidence your consent by executing in the space provided below. Please return the original fully executed
letter to my attention in the enclosed pre -paid envelope. Should you have any questions, please do not hesitate to
contact me at the number listed above. If possible, your expedited handling of this matter would be greatly
appreciated.
