Re: The Oil and Gas Leases listed on Exhibit A to this letter (collectively, the
"Leases")
Ladies and Gentlemen:
Anadarko Petroleum Corporation ("Anadarko Petroleum"), Anadarko E&P Onshore LLC
("Anadarko E&P"), Anadarko Land Corp. ("Anadarko Land") and Kerr-McGee Oil & Gas
Onshore LP ("Kerr-McGee") have entered into an Asset Exchange Agreement, dated as of
October 18, 2013, with Noble Energy, Inc. ("Noble") and Noble Energy WyCo, LLC ("Noble
WyCo"), pursuant to which Kerr-McGee will assign and transfer its interests in the Leases to
Noble. Under the terms of the Leases, Kerr-McGee is required to obtain your consent to the
assignment and transfer of the Leases to Noble.
Please execute the enclosed copy of this letter in the space provided below to indicate your
written approval and consent to the assigmnent and transfer of the Leases to Noble under the
conditions provided in the Leases.
At your earliest convenience, please return an executed copy of this letter to the attention of the
undersigned at Anadarko Petroleum Corporation, 1099 18th Street, Denver, Colorado 80202. For
your convenience, we have enclosed a prepaid Federal Express envelope.

In review the leases I have a question on Lease 5A and 5B. When I review the lease (reception number 1781897) it
appears that this lease covers sections 26, 28 and 30. Should there be a third entry (5C) on the exhibit letter to cover
section 30?
