RE: APPROVE INTERGOVERNMENTAL AGREEMENT FOR CONVEYANCE OF
INTEREST IN ROAD RIGHTS -OF -WAY FOR COUNTY ROAD 49 IMPROVEMENT
PROJECT AND AUTHORIZE CHAIR TO SIGN - CITY OF GREELEY
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, the Board has been presented with an Intergovernmental Agreement For
Conveyance of Interest in Road Rights -of -Way for the County Road 49 Improvement Project
between the County of Weld, State of Colorado, by and through the Board of County
Commissioners of Weld County, on behalf of the Department of Public Works, and the City of
Greeley, with terms and conditions being as stated in said intergovernmental agreement, and
WHEREAS, after review, the Board deems it advisable to approve said
intergovernmental agreement, a copy of which is attached hereto and incorporated herein by
reference.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of
Weld County, Colorado, that the Intergovernmental Agreement For Conveyance of Interest in
Road Rights -of -Way for the County Road 49 Improvement Project between the County of Weld,
State of Colorado, by and through the Board of County Commissioners of Weld County, on
behalf of the Department of Public Works, and the City of Greeley„ be, and hereby is, approved.
BE IT FURTHER RESOLVED by the Board that the Chair be, and hereby is, authorized
to sign said intergovernmental agreement:
The above and foregoing Resolution was, on motion duly made and seconded, adopted
by the following vote on the 22th day of July, A.D., 2013.

INTERGOVERNMENTAL AGREEMENT FOR CONVEYANCE OF INTEREST IN
ROAD RIGHTS -OF -WAY BY THE CITY OF GREELEY TO THE COUNTYOF WELD
A
THIS INTERGOVERNMENTAL AGREEMENT is made and entered into this7a�day
of .Tuft , 2013, by and between the City of Greeley, a municipal corporation of the State of
Colorado, whose address is 1000 10t" Street, Greeley, Colorado 80631 (hereinafter referred to as,
"City"), and the County of Weld, a political subdivision of the State of Colorado, whose address
is P.O. Box 758, 1150 O Street, Greeley, Colorado 80632 (hereinafter referred to as, "County").
(Both parties may be referred to herein collectively as, "the Parties.")
WITNESSETH:
WHEREAS, County is planning the improvement of a north -south arterial highway,
being Weld County Road ("WCR") 49, as it will extend north from U.S. Highway 34, with WCR
49 curving west and becoming WCR 47, south of the intersection of WCR 47 and State Highway
263, and
WHEREAS, the improvement will include the intersection of WCR 47 and S.H. 263, a
portion of S.H. 263 going west of the intersection, and will then proceed northward on WCR 47
from its S.H. 263 intersection north for approximately ten (10) miles, and
WHEREAS, the stretches of S.H. 263 and of WCR 47 which are shown in "crosshatch"
on the attached Exhibits "A" and "B," respectively (collectively referred to herein as "the Rights -
of -Way"), are within the corporate limits of City, being a part of the annexation to the City of the
property for the Greeley — Weld County Airport Second Annexation, recorded in the Office of
the Weld County Clerk and Recorder on November 15, 2004, at Reception Number 3235681,
and
WHEREAS, the Colorado Department of Transportation ("CDOT") has agreed to
abandon by resolution and/or transfer by quit claim deed to County the S.H. 263 stretch shown in
Exhibit A, and
WHEREAS, because the Rights -of -Way are now located within the City by virtue of said
annexation, the parties desire for only the rights -of -way for both stretches to be transferred by
quit claim deed from the City to the County, so that County may have ownership and control
over all of the rights -of -way necessary to complete said WCR 47/49 project, and to ensure that
City will be required to pay no costs associated with said project, and
WHEREAS, County and City are authorized to enter into this Agreement pursuant to §
29-1-203, C.R.S., Article II, § 2-3 of the Weld County Home Rule Charter, and § 3-7 of the City
of Greeley Charter.

NOW, THEREFORE, in consideration of the mutual promises and covenants expressed
herein, the parties agree as follows:
1. CONVEYANCE OF THE RIGHTS -OF -WAY TO COUNTY BY QUIT CLAIM
DEED: City agrees to transfer ownership of the Rights -of -Way to County by quit
claim deed for compensation of $1.00. County agrees to provide all legal
descriptions for the Rights -of -Way, and to prepare the quit claim deed.
2. NO ACCESSES FROM THE RIGHTS -OF -WAY: Because every part of the Rights -
of -Way are surrounded either by property owned by the Greeley — Weld County
Airport Authority or by County, County agrees to not grant or open accesses off the
Rights -of -Way to those adjacent properties while they remain under the same
ownership and control. County and DPG Farms currently access the County storage
yard and an easement to the DPG Farms property from S.H. 263. County plans to
change such access to a point south of the WCR 47 right-of-way shown in Exhibit B.
3. NO COST OF IMPROVEMENTS TO THE RIGHTS -OF -WAY ATTRIBUTABLE
TO CITY: City shall not be required to pay any of the costs associated with the
improvements made to the Rights -of -Way which are part of and made necessary by
the WCR 47/49 project, including, but not limited to, the future installation of a
traffic signal at the WCR 47/S.H. 263 intersection. Said traffic signal shall be
installed only upon traffic at the intersection meeting one or more of the traffic signal
warrants identified in the latest edition of the Manual of Uniform Traffic Control
(MUTCD) as produced by the Federal Highway Administration and that an
engineering study, performed by a qualified traffic engineer, indicates that installing a
traffic signal will improve the overall safety and/or operation of the intersection.
Additionally, as long as the County maintains ownership of portions of WCR 47/49
and S.H. 263 as identified in this IGA, it shall also be responsible for maintenance of
the roadway sections at its sole cost and in good repair. Maintenance includes
roadway surface pavement, shoulders, drainage systems, pavement markings and
signage.
4. COUNTY TO DEFEND INDEMNIFY AND HOLD HARMLESS THE CITY. The
County hereby agrees to fully indemnify, save harmless and defend the City, its
agents, servants, officers and employees from and against any and all claims, liability,
losses, and/or causes of action which may arise from the County's ownership and
control of the Rights -of -Way, including but not limited to, city immunity waived
pursuant to the Colorado Governmental Immunity Act, 24-10-101, et.seq, CRS, as the
same may be amended from time to time, as well as any negligent or intentional act
or omission of the County, its agents, servants, or employees in the performance of
ownership and control of the Rights -of -Way conveyed pursuant to this
Agreement. The provisions of this paragraph shall survive termination of this
Agreement for all claims, liability, loses and/or causes of action which occur during
the County's ownership and control of the Rights -of Way.

5. MISCELLANEOUS PROVISIONS:
a. Entire Agreement/Modifications. This IGA contains the entire agreement
between the Parties with respect to the subject matter contained in this IGA. This
instrument supersedes all prior negotiation, representation, and understanding or
agreements with respect to the subject matter contained in this IGA. This IGA
may be changed or supplemented only by a written instrument signed by each of
the Parties. Course of conduct, no matter how long, shall not constitute an
amendment to this IGA.
b. Funding Contingency. No portion of this IGA shall be deemed to create an
obligation on the part of the Parties to expend funds not otherwise appropriated or
budgeted for.
c. Severability. If any term or condition of this IGA shall be held to be invalid,
illegal, or unenforceable, this IGA shall be construed and enforced without such
provision, to the extent that this IGA is then capable of execution within the
original intent of the Parties.
d. Governmental Immunity. No portion of this IGA shall be deemed to constitute a
waiver of any immunities the Parties or their officers or employees may possess
under federal or state constitutional, statutory or common law.
e. No Third Party Beneficiary. It is expressly understood and agreed that the
enforcement of the terms and conditions of this IGA, and all rights of action
relating to such enforcement, shall be strictly reserved to the Parties and nothing
in this IGA shall give or allow any claim or right of action whatsoever by any
other person or entity not included in this IGA. It is the express intention of the
Parties that any individual or entity other than the Parties receiving services or
benefits under this IGA shall be an incidental beneficiary only.

RESOLUTION 36 , 2013
RESOLUTION APPROVING AN INTERGOVERNMENTAL AGREEMENT FOR
CONVEYANCE OF INTEREST IN ROAD RIGHTS -OF -WAY BY THE CITY OF
GREELEY TO THE COUNTY OF WELD
WHEREAS, the City of Greeley and Weld County Government cooperate on numerous land
use and service agreements for the betterment of the citizenries each entity represents; and,
WHEREAS, Weld County intends to make certain capital improvements of a north -south
arterial highway, being Weld County Road (`WCR') 49 as it will extend north from US Highway 34
and which will include the intersection of WCR 47 and S.H. 263; and
WHEREAS, certain portions of the rights -of -way intended for improvement are within the
corporate limits of the City of Greeley by virtue of annexation; and,
WHEREAS, the Colorado Department of Transportation has agreed to abandon and/or
transfer certain of the rights -of -way necessary to complete the project; and,
WHEREAS, the City of Greeley and Weld County Government concur that it is desirable to
transfer ownership of the subject City of Greeley rights -of -way to Weld County Government in order
that the improvements associated with the WCR 47/49 project may be designed and constructed
under a single jurisdiction; and,
WHEREAS, a transfer of the rights -of -way from the City of Greeley to Weld County Government
will ensure that the City will not be required to pay any costs associated with said project; and,
WHEREAS, the City of Greeley and Weld County Government are authorized to enter into this
Agreement pursuant to § 29-1-203, C.R.S., Article II, § 2-3 of the Weld County Home Rule Charter, and
2.07.040 of the Greeley Municipal Code.
NOW, THEREFORE, BE IT RESOLVED BY THE GREELEY CITY COUNCIL AS FOLLOWS:
1. The City Council hereby authorizes the Mayor to sign the Intergovernmental
Agreement with Weld. County Government, attached hereto as Exhibit A and incorporated herein
by reference.
2. This Resolution shall become effective immediately upon its passage, as provided by the
Greeley City Charter.
