I wish to report a series of rain leaks occasioned by recent general rains
that have occurred in Weld County. These leaks are the same leaks reported
to you before; apparently measures to correct the problem - the caulking and
others - have not been effective. In the main, the leaks are at the north
and northeast corners of the building around the building's walls. Water
seeps down between the interior panejsand the cement walls, or in some cases
seep through the ceiling tile. Each time this occurs the carpet is puddled
in these spots in a two to three foot diameter; the ceiling tile becomes sog-
gy, and of course becomes water-stained. As you know, these leaks will gradually
deteriorate and warp your interior wall panels.
O The leaks are located in Room 120 at an east window, in Room 123 at a window
which faces east; there are a series of three leaks at the north end of the
building on the first floor. These are in Room 121, 123, and 128.
As these deficiencies have been with us since our move-in date, I am bringing
the problem to your attention for correction.

unanimously carried a motion on Wednesday, April 24, 1974, that
rent payments on the Walton Buidling not be made until all items
on the building and the grounds are completed to our satisfaction.
I am sure you are aware that all items could have been finished
many weeks ago. Even though you may feel that other parties are
responsible for finishing some items, you are the oumer and we
pay rent to you. We couldn't care less who does the work, just
so long as it is done.
We hope you will give this your immediate enthusiastic attention
so further action does not have to be taken.

Please have them start as soon as possible. Before they start work, please have
them submit written guarantees for materials and workmanship if this is not covered
adequately in the contract.
Mr. box has agreed to pay $1,200.00 which will pay for all but a small portion of
the sod.

ASSIGNMENT OF LEASE BY LESSOR
In consideration of the sum of One Dollar and other good and valuable
considerations, receipt of which is hereby acknowledged, A-B
Corporation, a Wyoming corporation, (the "Assignor") , hereby conveys,
assigns, transfers and sets over to American United Life Insurance
Company, an Indiana corporation with principal offices at One West
26th Street, Indianapolis, Indiana 46206 (the "Assignee") , all right,
title and interest in and to that certain Lease dated May 30 , 19/3
and recorded on November 30, 1973 in Book 704 at Reception Number
1625648 of the Records of Weld County, Colorado, executed by A-B
Corporation, as Lessor, and. County of Weld, State of Colorado, as
Lessee, covering real estate lying and being in the County of Weld,
. State of Colorado, and more particularly described as follows, to-wit:
Lots 1, 2, 3, 4 , 5, 22, 23, 24, 25, and 26, in Block 33,
in Clayton Park, a subdivision of the City of Greeley,
Weld County, Colorado; and all of the vacated alleys
abutting said Lots, and the S 1/2 of vacated C. Street
abutting Lots 1, 4 and 5 and the vacated alley and all
of the N 1/2 of vacated B. Street, abutting Lots 21, 22,
23 and 26 and the vacated alley, in said Block 33, Weld
County, State of Colorado,
together with all rentals and other sums payable by Lessee thereunder
and all options exercisable by Lessor and all amendments of modifica-
tions to said lease, any extensions or renewals thereof, guarantees
of Lessee' s obligations thereunder and all amounts payable by Lessee
• as the purchase price for the leased premises upon exercise of any
option to purchase or otherwise (the said lease being hereafter
referred to as the "Lease") .
This Assignment is given as security for (a) the payment of all sums
due under a loan of $560 , 000, made by Assignee to Assignor, dated of
even date herewith and secured by a deed of trust on the leased real
estate and improvements thereon (the said deed of trust being
• hereinafter referred to as "Mortgage") ; and (b) the performance and
discharge of each obligation, covenant and agreement of the Assignor
contained herein or in the Mortgage or any note secured thereby.
Acceptance of this Assignment shall not impair, affect or modify
any of the terms or conditions of the note evidencing such loan or
the Mortgage securing same.
Assignor and Assignee covenant and agree as follows:
1. The Assignor will:
(a) fulfill or perform each and every condition and covenant of
the Lease by Lessor to be fulfilled or performed;
(b) give prompt notice to the Assignee of any notice of default by
the Assignor under the Lease received by the Assignor, together
with a complete copy of any such notice; and
(c) at the sole cost and expense of the Assignor, enforce, short
of termination of the Lease, the performance or observance of
each and every covenant and condition of the Lease by the
Lessee to be performed or observed.
2. Assignor will not, without first securing the written consent of
the Assignee:
(a) reduce rents or otherwise modify or in any way alter the
terms of the Lease;
(b) terminate the term of the Lease or accept a surrender thereof
unless required to do so by the terms of the Lease;
(c) waive or release the Lessee from any obligations or conditions
by the Lessee to be performed; or
(d) exercise options or give consent to assignment under the terms
of the Lease.
3. The rights assigned hereunder include without limitation, all the
Assignor' s right and power to modify the Lease or to exercise
options or give consents thereunder, or to terminate the term or
to accept a surrender thereof, or to waive, or release the Lessee
from, the performance or observance by the Lessee of any obliga-
tion or condition thereof, or to collect rents and other sums
payable by Lessee thereunder; or to collect sums payable by
Lessee as the purchase price for said premises under terms of the
Lease or otherwise provided, such purchase price will be released
to Assignor in the event Lessee assumes and agrees to pay the deed
of trust indebtedness.
4. At the Assignor's sole cost and expense, the Assignor will appear
in and defend any action growing out of or in any manner connected
with the Lease or the obligations or liabilities of the Lessor,
Lessee or any guarantor thereunder.
5. Should the Assignor fail to do any act as herein provided, then
the Assignee, but without obligation so to do and without notice
to or demand on the Assignor and without releasing the Assignor
from any obligation herein, may make or do the same, including
specifically, without limiting its general powers, appearing in
and defending any action purporting to affect the security hereof
or the rights or powers of the Assignee and performing any obliga-
tion of the Lessor in the Lease contained, and in exercising any
such powers paying necessary costs and expenses, employing counsel
and incurring and paying reasonable attorney' s fees; and the
Assignor will pay immediately upon demand all sums expended by the
Assignee under the authority hereof, together with interest there-
on at the rate of 10% per annum, and the same shall be added to
said indebtedness and shall be secured hereby and by the Mortgage.
6. Except for purchase options in the Lease, if any, the Assignor will
not sell or convey the fee title to the premises without the prior
written consent of Assignee.
7. This Assignment is effective immediately. As such, Assignor
hereby directs County of Weld, State of Colorado to pay all
rentals and other sums that may hereafter become due in respect
of the Lease to Assignee at the address first above set out, or
to such of Assignee's representatives as Assignee shall designate
by written request to Lessee, commencing with rental next due and
payable and continuing until the Mortgage indebtedness is paid
in full or until Assignee shall have notified Lessee, in writing,
•
to discontinue such payments. All such rentals and other sums
shall be held by Assignee without allowance of interest, and shall
be applied to the following purposes , but not necessarily in the
order named, priority and application of such funds being within
the sole discretion of the Assignee :
(a) to the payment of principal and interest on the note secured
by the Mortgage as and when the same becomes due and payable;
(b) to the payment of all other sums due Assignee or otherwise
payable by the Assignor under the note and Mortgage or under
[, the provisions of this lease assignment; and
(c) any amounts not applied as above provided will be refunded
0" monthly mammal& to Assignor, provided no default then exists in any
term or condition of the Mortgage.
Assignor will cause Lessee in the Lease to pay all rents and other
sums payable by lessee under the Lease directly to Assignee as above
provided upon receipt by said Lessee of notice of this assignment
together with a copy hereof. Assignor shall have no right or claim
of any nature against the Lessee for any such rents or other sums
so paid by the Lessee to the Assignee or to the representatives of
Assignee in accordance with the terms of this assignment.
8. At its sole option, Assignee shall have the right, in its own name,
to enforce performance by the Lessee and to sue for and receive
all rents and other sums payable under the Lease, and apply the
same, less costs and expenses of collection, including reasonable
attorney' s fees, as hereinabove provided. Assignor hereby
irrevocably appoints Assignee his attorney in fact to indorse all
checks, money orders or other paper evidencing rents under the
Lease herein assigned, on which Assignor appears as a payee thereof.
9. • After any default by the Assignor in the payment of said indebtedness
or in the performance of any obligation or covenant of the
Assignor herein or in the Mortgage- or any other instrument securing
said indebtedness, the Assignee, at its option, may enter upon
the mortgaged property for the operation and maintenance of
said property in the same manner and to the same extent the Assignor
might reasonably so act. The entering upon and taking possession
of said property shall not cure or waive any default or waive,
modify or affect any notice of default under the Mortgage or
invalidate any act done pursuant to such notice.
10. The Assignee shall not be liable for failure to collect rents
hereunder or to enforce performance by the Lessee and shall not
be obligated to perform or discharge any obligation under the
Lease, or under or by reason of this Assignment. The Assignor
hereby agrees to indemnify the Assignee against and hold it harmless
from any and all liability, loss or damage which it may incur
under the Lease or under or by reason of this Assignment and
of and from any and all claims and demands whatsoever which may
be asserted against it by reason of any alleged obligation or
undertaking on its part to perform or discharge any of the terms
of the Lease; should the Assignee incur any such liability, loss
or damage under the Lease or under or by reason of this
Assignment, or in defense against any such claims or demands, the
amount thereof, including costs, expenses and reasonable attorney' s
fees, together with interest thereon at the rate of 10% per annum,
shall be secured hereby and by the Mortgage, and the Assignor
shall reimburse the Assignee therefor immediately upon demand.

11. The Assignor represents and warrants: (a) the Assignor has not
executed any prior assignment of any of its rights under the Lease;
(b) the Assignor has not done anything which might prevent the
Assignee from or limit the Assignee in operating under any of
the provisions hereof; (c) the Assignor has not accepted advance
rent under the Lease except such as is required to be paid in
advance; (d) there is no present default by Assignor and by
Lessee under the Lease; and (e) the Lease is in full force and
effect and unmodified except two amendments thereto each dated
March 31, 1974.
12. This Assignment shall inure to the benefit of the successors
and assigns of the Assignee and shall bind the Assignor's legal
representatives, successors and assigns.
Upon the payment in full of all indebtedness secured hereby, as
evidenced by the recording of filing of an instrument of satisfaction
or full release of the Mortgage, this Assignment shall become and
be void and of no effect.

This is to notify you that under the provisions of an Assignment of Lease by
Lessor, a copy of which is attached hereto, there was assigned to American
United Life Insurance Company the entire interest of Lessor in and to the
lease above referred to and described.
In accordance with the rights granted us in said assignment, all rental and
other sums payable under the said lease, commencing with rental next due
and payable, should be paid to American United Life Insurance Company, One
West 26th Street, Indianapolis, Indiana 46206, until such time as you are
otherwise notified by us in writing.
We call your particular attention to the following points:
1. That there has been assigned to us all the Lessor's right
and power to receive and collect the purchase price for
the premises in the event lessee exercises the option to
purchase thereunder, or to modify the lease or collect rents
and other sums thereunder, or to terminate the term thereof,
or to accept the surrender thereof, or to waive the perform-
ance or observance by the Lessee of any obligation or con-
dition thereof;
2. That the interest of the Lessor in the lease has been
assigned to us as security for the purposes specified in
the assignment and we therefore assume no obligations under
the lease, such responsibilities being continued in the
Lessor thereunder.

Several months ago county crews were responsible for cleaning up the area
where the net welfare building is located. You asked for and was given
the house located on the site. Sometime later you moved it to the north
of the Welfare building site without permission of the owners. They are
interested in having this house removed immediately and we are requesting
that you do so. If the house is not removed from the property and the area
by March 26, 1974 it will be destroyed.

The City of Greeley building inspector provided a copy of the correction
notice for the building at 313 North 11 Avenue, Greeley on March 1, 1974.
They found the following violations of "City/State laws governing same:"
1. Vacuum breakers required on sillcocks.
2. Full-flow valve required on water heater supply line.
3. Need to provide adequate storm-proof seals on all roof penetrations (gas
line, electrical conduit, etc.)
4. Clean-out required on sink.
5. Provide adequate support for gas piping on roof.
6. All water closet compartments and urinal stalls must have non-absorbent
wall surface, 48 inches above the floor.
7. Open guard rails and stair railings shall have intermediate rails that no
object 9 inches in diameter can pass through.
8. Stair rail located at center of building needs to be secure to the floor.
9. Elevator installation is incomplete.
The report was signed by Bill Trimble, City of Greeley, 353-6123 and dated
March 1, 1974.

3. Mechanical Criteria
a. Heating and Air Conditioning and Mechanical Ventilating:
Heating, air conditioning and ventilating systems shall
be capable of providing and maintaining a temperature of
720 F. , plus or minus 5° F. , throughout both floors of the
leased premises regardless of outside temperature or humidity.
b. Restrooms: Toilet facilities for men and women shall be
provided to accommodate thirty-five (35) men and one hundred
fifteen (115) women, provided on a basis of separate fa-
cilities for employees and the public, in accordance with
Federal and State guidelines.
c. Drinking Fountains: Electrically refrigerated drinking
fountains shall be provided at convenient locations so
that a person will not need to travel more than one
hundred and fifty (15O) feet to reach the same. There
shall be a minimum of two drinking fountains on each
floor of office space.
d. Elevators: One elevator will be provided for personnel
and freight in the building. All elevators shall conform
to the requirements of the current edition of the American
Standard Safety Code for Elevators, Dumbwaiters, and

Volume 1 and Volume 2 of the 1970 Edition of the Uniform
Building Code, including any additions or deletions thereto
as adopted by the City of Greeley, and the Uniform Plumbing
Code, 1970 Edition, including any additions or deletions
thereto as adopted by the City of Greeley.
B. OTHER IMPROVEMENTS
1. Sidewalks: Sidewalks shall be provided as required to accommodate
employee and public traffic to and from the building and parking
lot herein. Said sidewalks shall be a minimum of 4" concrete
placed upon a compacted base.

All drywall which is to receive a painted finish

will be two coats of enamel or two coats of latex
flat.
