Chesapeake Exploration, L.L.C. ("Chesapeake"), has executed a Letter Agreement whereby it
has agreed to sell and assign one hundred percent (100%) of its right, title and interest in and to
that certain Oil and Gas Lease dated May 4, 2011 between Board of County Commissioners,
Weld County, Colorado, as Lessor, and Conquest Land Company, L.L.C., as Lessee, covering
the E 'h of Section 28, Township 5 North, Range 61 West, of Weld County, Colorado, recorded
in the county records of Weld County at Reception Number 3770905 (hereinafter referred to as
the "Lease") to Bonanza Creek Energy, Inc., whose address is 410 17th Street, Suite 1400,
Denver, Colorado 80202. The conveyance will be effective June 1, 2013.
Pursuant to the terms of the Lease, your consent is required to order to permit Chesapeake to
convey its interest. Chesapeake respectfully requests your consent to sell and assign its interest
in the Lease.
Please evidence your consent by executing in the space provided below. Please scan and
return a copy of the fully executed letter to me via email. Should you have any questions, please

This Assignment of Oil and Gas Leases (this "Assignment"), dated effective as of
June 1, 2013, at 7:00 a.m. Central Standard Time (the "Effective Time"), is made by
Chesapeake Exploration, L.L.C., an Oklahoma limited liability company, with a notice
address of P.O. Box 18496, Oklahoma City, Oklahoma 73154-0496 ("Assignor') to
Bonanza Creek Energy, Inc., a Delaware corporation with a notice of address of 410
17th Street, Suite 1400, Denver, Colorado 80202. ("Assignee").
For and in consideration of Ten Dollars ($10.00) and other good and valuable
consideration, the receipt and sufficiency of which are hereby acknowledged, Assignor
does hereby GRANT, BARGAIN, SELL, CONVEY, ASSIGN, TRANSFER, SET OVER
AND DELIVER unto Assignee, subject to the terms and reservations herein, all of
Assignor's right, title and interest in and to all of the oil and gas leases described in
Exhibit "A" attached hereto and made a part hereof and the lands covered thereby,
together with all rights incident thereto and appurtenances thereon (the "Leases");
TO HAVE AND TO HOLD the Leases, together with all rights, titles, interests,
estates, remedies, powers and privileges thereunto or otherwise belonging to Assignee
and Assignee's successors and assigns forever, subject to the following matters:
(1) All Lessors' royalties, overriding royalties and other burdens, reversionary
interests and similar burdens of record;
(2) All easements, rights -of -way, servitudes, permits, surface leases and other rights
in respect of surface operations;
(3) The terms and conditions of the Leases;
(4) All rights reserved to or vested in any municipality or governmental, tribal,
statutory or public authority to control or regulate any of the Leases in any
manner, and all applicable laws, rules and orders of governmental and tribal
authority.
Assignor does hereby warrant title to the Leases and other interests granted
herein to Assignee and its successors and assigns forever and does hereby agree to
defend the same against every person or entity claiming the same, or any part thereof,
by through or under Assignor, but not otherwise. Assignor conveys the Leases and
other Interests granted herein free and clear of any outstanding mortgage, deed of trust,
lien or encumbrance created or incurred by Assignor, but not otherwise. Assignor
hereby grants and transfers to Assignee, its successors and assigns, to the extent so
transferable, the benefit of, and the right to enforce, the covenants and warranties, if
any, which Assignor is entitled to enforce with respect to Assignor's predecessors in title
to the Leases and other interests granted herein.
In addition to this Assignment, Assignor shall execute, acknowledge, and
deliver to Assignee, in a timely manner and without further consideration, any
documents or instruments that Assignee may reasonably require, including, without
limitation, further assignments or conveyances required by any state or federal
authority, deeds and consents to further evidence the assignment and conveyance of
the Leases by Assignor to Assignee.
This Assignment shall bind and inure to the benefit of Assignors and Assignee
and their respective successors and assigns.

IN WITNESS WHEREOF, the undersigned has executed this instrument on the
date of the acknowledgment annexed hereto, but effective for all purposes as of the
Effective Time.
