AMENDMENT NO. 2
TO THE
MEDICAL SERVICES AGREEMENT
WITH
WELD COUNTY, COLORADO
THIS AMENDMENT NO. 2 to the Medical Services Agreement (the 'Agreement") dated March 8, 2010 between Cerner
Health Connections, Inc., formerly known as EMC HealthCare, Inc., (hereinafter "CERNER"), a Delaware corporation having its
principal place of business at 2800 Rockcreek Parkway, Kansas City, Missouri, 64117 and Weld County, Colorado ("Client"), a
political subdivision of Colorado having its principal place of business at 1150 O Street, Greeley, CO 80632, is effective as of
April 10, 2013 ("Amendment No. 2 Effective Date"),
WITNESSETH:
WHEREAS, the parties hereto wish to amend the Agreement, in certain respects,
NOW, THEREFORE, in consideration of the premises, the parties hereto do hereby covenant and agree as follows:
1. The term of the Agreement shall be extended for a period of twelve (12) months beginning on June 15, 2013 in the
amount of forty-one thousand six hundred fifty-two dollars ($41,652) per month, ending on June 14, 2014.
2. In all other respects the Agreement of which they are a part remains unchanged.
IN WITNESS WHEREOF, the parties hereto do hereby execute this Amendment No. 2 as of the Amendment No. 2
Effective Date.

AMENDMENT NO. 1
TO THE
MEDICAL SERVICES AGREEMENT
WITH
COUNTY OF WELD
THIS AMENDMENT NO. 1 to the Medical Services Agreement (the "Agreement") dated March 8, 2010 between IMC
HealthCare, Inc. ("Cerner"), a Delaware corporation having its principal place of business at 2800 Rockcreek Parkway, Kansas
City, Missouri, 64117 and County of Weld ("Client"), a political subdivision of Colorado having its principal place of business at
915 10th St, Greeley, CO, 80632, is effective as of March 30, 2011 ("Amendment No. 1 Effective Date"),
WITNESSETH:
WHEREAS, the parties hereto wish to amend the Agreement, in certain respects,
NOW, THEREFORE, in consideration of the premises, the parties hereto do hereby covenant and agree as follows:
1. Client agrees to purchase at no cost to Cemer all of the furniture to be placed in the waiting room of the Weld
County Health Center managed by Cerner. In turn, Cerner will purchase a medication cart for use within the
health center at no additional cost to Client.
2. Paragraph 13 is hereby deleted from the Agreement and replaced with the following:
Term. The initial term of this Agreement shall be for a period of three (3) years beginning ~? m, e'$.(the
"Commencement Date"), and ending on the third anniversary of the Commencement Date (the "Initial Term").
This Agreement may be renewed after the Initial Term for up to three (3) successive one (1) year terms
("Renewal Term") by written notice given by Weld County to CERNER no later than sixty (60) days before the
expiration of the Initial Term or any Renewal Term.
3. Paragraph 3(c) of the Agreement is hereby deleted and replaced with the following:
3(c): Services provided by Cerner include HIV testing, but do not include treatment for HIV or AIDS.
4. In all other respects the Agreement of which they are a part remain unchanged.
IN WITNESS WHEREOF, the parties hereto do hereby execute this Amendment No. 1 as of the Amendment No. 1
