RE: CORRECTIONS TO OIL AND GAS LEASE COVERING CERTAIN PROPERTY
OWNED BY WELD COUNTY, COLORADO (NE1/4, S21, T5N, R61W) - BONANZA
CREEK ENERGY
WHEREAS, the Board of County Commissioners of Weld County, Colorado, pursuant to
Colorado statute and the Weld County Home Rule Charter, is vested with the authority of
administering the affairs of Weld County, Colorado, and
WHEREAS, Weld County, Colorado, is the owner of vast acres of mineral lands located
in Weld County, Colorado, and
WHEREAS, on July 9, 2003, by Resolution #2003-1839, the Board authorized the Lease
to El Camino Resources, Inc., for 160.0 net mineral acres, more or less, described to -wit:
NE1/4 of Section 21, Township 5 North, Range 61
West of the 6th P.M., Weld County, Colorado, and
WHEREAS, on June 26, 2006, by Consent Agenda approval, the Board consented to
Assignment of the Lease from El Camino Resources, Inc., to Bonanza Creek Operating
Company, LLC, and
WHEREAS, on July 5, 2006, the Board granted a one-year extension which was
inadvertently documented as a six-month extension by Resolution #2006-1791, and
WHEREAS, on January 3, 2007, by Resolution #2007-0017, the Board declared various
leases expired by virtue of the lack of production, including the parcel described above, and
WHEREAS, the Board has been presented with a Division Order, accepted
November 27, 2006, identified as document #2006-3243 in the Commissioner's records, as well
as production records from the Colorado Oil and Gas Conservation Commission, copies of
which are attached hereto and incorporated herein by reference, and
WHEREAS, based on the evidence presented the Board deems it advisable to correct
Resolution #2006-1791 to reflect a one-year extension; recognize the Division Order identified
as document #2006-3243 and the submitted production records as sufficient evidence that the
lease was held by production and did not expire in 2007.

NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of
Weld County, Colorado, that Resolution #2006-1791, dated July 5, 2006, be, and hereby is,
corrected to reflect a one-year extension until July 7, 2007.
BE IT FURTHER RESOLVED by the Board that Lease Expiration Resolution
#2007-0017, dated January 3, 2007, be, and hereby is corrected to strike the reference to the
above listed legal description.
BE IT FURTHER RESOLVED by the Board that the Division Order, identified as
document #2006-3243, and the submitted production spreadsheets are sufficient evidence that
the lease was held by production and did not expire in 2007.
The above and foregoing Resolution was, on motion duly made and seconded, adopted
by the following vote on the 25th day of March, A.D., 2013.

We believe we may have a similar problem with a well in Section 21 of 5N -61W. the well is the Pronghorn 31-21.
It's the very same issue, the well has produced sporadically, there have been a couple of times where it was shut in for
two (2) months and one (1) case where it was shut in for three (3) months and did not produce.
I was hoping to go through this with you again, this is the last lease with you we have questions about.
Attached is the production history for the well, could you please call me when you get a moment to discuss further.

The Commissioners approved the attached Resolution this morning; we'll send you a signed/recorded copy when it is
ready. If production and royalties continue I don't think anything else needs to be done; however, if not, please contact
me to discuss doing a Shut-in to avoid termination of the lease in the future.
